2.2 The Goods shall conform to the specifications and descriptions set forth in Exhibit A and shall be of merchantable quality and suitable for their intended use.

6. Warranties

6.1 Seller warrants that the Goods are free from defects in materials and workmanship for a period of [warranty period] from the date of delivery.

6.2 Buyer shall notify Seller in writing of any defect or nonconformity of the Goods within [notice period] days after

7. Intellectual Property

7.1 Any intellectual property rights in the Goods, including
but not limited to patents, copyrights, trademarks, trade secrets,
or other proprietary rights, shall remain the exclusive property of Seller.

7.2 Buyer shall not use, reproduce, or disclose any of Seller’s intellectual property rights without Seller’s prior written consent.

8.1 This Contract may be terminated by either Party upon [notice period] days’ written notice to the other Party in the event
of a material breach by the other Party of any of its obligations under this Contract.

11.2 This Contract shall be binding upon and inure to the benefit of the Parties and their respective successors, assigns, and legal representatives.
