Until 11 July 2006, GrandNoble owned a property in Jinan City, Shandong Province, China (“theJinan Property”), which was valued at HK$237 million as at31 December 2005.5.On 19 October 2004, Ocean Pearl as vendor and True HonestLimited (“True Honest”) as purchaser entered into an agreement by whichOcean Pearl was to sell to True Honest the shares in Grand Noble atB C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRSTU HK$270 million, of which HK$250 million was to be paid by True Honestby a promissory note, subsequently extended to be due on 29 June 2005.The Promissory Note was secured by a charge of the shares in GrandNoble to the Company (“the Share Charge”).6.True Honest defaulted in making payment under the promissory note. So the Company took steps to enforce the Share Chargeand resumed its ownership of Grand Noble in July 2005. In the audited consolidated financial statements of the Company and its subsidiaries forthe year ended 31 December 2005, the Jinan Property was included in theassets and represented 73% of the net asset value of the group.7.On 4 July 2006, the Company discovered that the Jinan Property had been dissipated and would be put up for auction on7 July 2006. Upon investigation, the Company found that the Jinan Property had been subject to various protection orders granted by the Qingdao Intermediate People’s Court to secure sums allegedly due to Shandong Laigang Construction Company Limited (“Shandong Laigang”)by Grand Noble. After three attempts to sell the Jinan Property by way ofauction had failed, the Qingdao court awarded the Jinan Property to Shandong Laigang on 11 July 2006 to satisfy the debt allegedly owed byGrand Noble. The Company made an announcement regarding this incident on 31 July 2006.8.In November 2006, the Company instructed lawyers to lodgean application with the Qingdao court to set aside the judgment in favourof Shandong Laigang in respect of the Jinan Property on grounds of jurisdiction.B C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRSTU 9.In the financial statements for the year ended31 December 2006, the Company made a provision of HK$237 million towrite off the value of the Jinan Property. Despite an increase of 206% inthe group’s turnover from the preceding year, the loss attributable to shareholders for the year was HK$326.8 million, an increase of 315% compared to the preceding year.10.According to the unaudited balance sheet of the group for thefirst six months in 2007, the amount of non-current assets was HK$0.1million and that of current assets was HK$0.4 million, whereas net liabilities were HK$4.9 million. There was therefore a negative shareholders’ fund of HK$4.4 million.11.On 28 May 2007, Huang Wenxi (“the Investor”) acquired26.77% of the issued shares in the Company and has become a substantial shareholder. She was appointed an executive director and has advancedmoney to the Company to support its working capital.12.On 22 October 2007, HKEx placed the Company in the thirdstage of the delisting procedures.13.The Investor has put forward a rescue proposal under whichshe would acquire a controlling interest in the Company and offer a returnto the creditors for them to discharge and release their claims against the Company. To this end, the Company and the Investor entered into a subscription agreement dated 1 February 2008 (“the Subscription Agreement”) on these principal terms:B C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRSTU(1) the Investor will subscribe and the Company will allot andissue 420 million new shares of the Company (“theSubscription Shares”) at a price of HK$0.40 per SubscriptionShare for a total consideration of HK$168 million (“theSubscription Monies”) on the completion date as defined;(2) the interest-free loans owed and to be owed by the Companyto the Investor (defined as “the Subscriber’s Loans”in theSubscription Agreement) may, at the discretion of the Investor,be fully set off from the Subscription Monies;(3) a sum of up to HK$6 million out of the proceeds from thesubscription of the Subscription Shares will be used to settlethe claims of the Scheme Creditors in the Scheme, whichamounted to approximately HK$4.64 million as at22 May 2008, with any remaining balance to be used for thegeneral working capital of the Company; and(4) completion of the subscription is conditional upon, inter alia, aproposal for the resumption in trading of shares of theCompany on HKEx having been approved in principle byHKEx and the Scheme becoming effective.14.The net proceeds from the subscription is expected to be approximately HK$152.65 million, after fully setting off the Subscriber’sLoans and deducting the amount reserved to settle the claims of Scheme Creditors and HK$1 million for the costs of the Scheme. The Companyintends to apply the net proceeds towards financing the acquisition of suitable businesses in future and for general working capital of the group.B C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRSTU 15.On 16 April 2008, the Company through its financial advisors submitted to HKEx a proposal for the resumption in trading of its sharesand the proposal is pending approval. The implementation of the Schemeis a condition precedent of the subscription which in turn forms part of the resumption proposal.16.The purpose of the Scheme is to clear off all the non-preferential and unsecured creditors of the Company upon completion ofthe restructuring. The essential elements of the Scheme may be summarised as follows:(1) on the effective date of the Scheme, the Schemeadministrators shall instruct the Company to transfer HK$6million to the Scheme trust account;(2) with effect from the effective date, each of the SchemeCreditors discharges and waives all of its claims against theCompany in consideration of the right to participate with eachof the other Scheme Creditors in the distribution of the fundsfrom time to time credited to the Scheme trust account (“theScheme Funds”) on the terms of the Scheme;(3) all Scheme Creditors shall be invited to file their notices ofclaim with supporting evidence and the notices of claim willbe examined by the Scheme administrators who will decidewhether to admit or reject the claims or require furtherevidence. Any Scheme Creditor dissatisfied with the decisionmay refer the matter to an adjudicator for determination andsuch determination shall be final, conclusive and binding onthe Company and such Scheme Creditor; andB C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRSTU(4) the Scheme Funds will be distributed to the Scheme Creditorson a pari passu basis and rateably among them as determinedby the Scheme administrators.17.All the Scheme Creditors are expected to be fully repaid underthe Scheme.18.There are few tangible assets under the control of the Company. The group did not have significant turnover for the six monthsended 30 June 2007 due to shortage of funds. If the Scheme is not approved and implemented, the Subscription Monies and the SchemeFunds will not become available for distribution to the creditors. Thismeans that in the worst scenario, the Company will be placed into insolvent liquidation, resulting in little or no return to the creditors. Also,the resumption proposal will be rejected by HKEx and the shares will be delisted.19.On 15 April 2008, an order was made by Poon J giving leaveto the Company to convene a meeting of the Scheme Creditors to considerand, if thought fit, to approve the Scheme. Directions given for advertisement of the notice convening the meeting and despatch of the Scheme document with an explanatory statement to each of the Scheme Creditors have been complied with.20.The meeting was duly convened on 8 May 2008. The Schemewas approved without modification by 9 out of 10 Scheme Creditorspresent in person or by proxy representing 87.93% in value of the total indebtedness.B C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRSTU 21.There is only one class of creditors for the Scheme. The statutory requirements have all been satisfied.22.The restructuring of the Company would appear to representthe best available option to the Company’s creditors and shareholders. 现公告如下:香港特别行政区、澳门特别行政区永久性居民中的非中国籍人员,因投资、探亲、旅游、商务、研讨、交流等短期入境事由来往内地,可以向中华人民共和国出入境管理局委托的香港中旅集团、澳门中国旅行社递交办理港澳居民来往内地通行证(非中国籍)的申请。
经出入境管理机构批准签发的通行证有效期5年,持证人可以在证件有效期内多次来往内地,每次停留不超过90日。
持证人不得在内地工作、学习或者从事新闻采访活动。

It is hereby announced as follows:Non-Chinese Hong Kong and Macao permanent residents who travel to the mainland of China for short-term purposes such as investment,visiting relatives, tourism, business, seminars and exchanges may apply for the Permit through China Travel Service (Holdings) Hong Kong Limited and China Travel Service (Macao) Ltd. authorized by the Exit and Entry Administration of P.R. According to the recordsof the Companies Registry, the Company did not register a Chinese name, although the Chinese name of the Company had appeared in publicdocuments issued as a result of its status as a listed company.4.Secondly, although the Company was correctly stated in theorder as incorporated in Bermuda, the address given in the order, being anaddress in Hong Kong, was stated to be its registered office, and that isclearly incorrect. The address in Hong Kong stated in the order was in factthe principal place of business of the Company in Hong Kong.5.The Notice of Motion to amend the winding-up order wasmade under Order 20 rule 11 of the Rules of the High Court, whichprovides for amendment of orders to correct errors from accidental slip or omission.6.The Notice of Motion to amend the winding-up petition wasmade under Order 20 rules 5 and 7 of the Rules of the High Court, whichprovide for amendment of the writ or pleading and other originatingprocess.7.These provisions in Order 20 of the Rules of High Courtwould apply to the winding-up proceedings by virtue of rule 210 of the Companies (Winding-up) Rules which provides as follows:“In all proceedings in or before the court, or any Registrar orofficer thereof, or over which the court has jurisdiction under theOrdinance and rules, where no other provision is made by theOrdinance or rules, the practice, procedure and regulations shall,unless the court otherwise in any special case directs, be inaccordance with the rules and practice of the court.”B C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRST 8.The court in rule 210 is the Court of First Instance. I have alsocited to me by Mr Harris, who appeared for the petitioner, two decisions inwhich the court granted leave to amend the winding-up order as well as thepetition upon which the winding-up order was made, to correct an error inthe name of the company, In re Samuel Birch Company Ltd, (1907) WN 31and In re Army and Navy Hotel (1886) 31 Ch D644.9.Further, rule 209 (1) of the Companies (Winding-up) Rulesprovides that:“No proceedings under the Ordinance or the rules shall beinvalidated by any form of defect or by any irregularity, unlessthe court is of opinion that substantial injustice has been causedby the defect or irregularity, and that the injustice cannot beremedied by any order of the court.”10.I am satisfied that it is clearly within my power to make anorder to amend the title of the proceedings and the body of the winding-uporder under Order 20 rule 11, alternatively, under the inherent jurisdictionof the court (see Pearlman (Veneers) SA (Pty) Ltd v Bartels [1954] 3 AllER 659 at 660 F-G).11.In the letter of the Official Receiver to the petitioner dated23 August 2004, the Official Receiver informed the petitioner that there is a company incorporated in Hong Kong and registered in the CompaniesRegistry by the same name in English and by the name in Chinese of 金禾國際控股有限公司 between 15 November 2000 to 23 March 2001, whenthis company changed its name to Rich Jet Investment Limited. Thiscompany has no place of business in Bermuda and is not listed on the Stock Exchange of Hong Kong Limited.B C D E F G H I J K L M N O P Q R S TBCDEFGHIJKLMNOPQRST 12.The Company was allowed to be registered as an overseacompany under Part XI of the Companies Ordinance, Cap. 32 on 23February 2001, notwithstanding at that time there was a company by thesame name in English registered in the Companies Registry.13.The Official Receiver does not oppose the present applications.14.The amendment sought to be made to the title of theproceedings in the winding-up order and the petition, by deleting the nameof the Company given in Chinese, is merely to correct a misnomer. It doesnot alter the substance of the judgment or substitute another party.15.I am satisfied there should be no confusion as to the identity ofthe company being the subject of the proceedings, as it is clear from thebody of the petition that the company being the subject of the winding-uppetition is a company incorporated in Bermuda, it is registered underPart XI of Cap. 32 and its shares were listed on the Stock Exchange. The Registrar of Companies would also appear to have no doubt as to which ofthe companies was ordered to be wound up by the court on 14 June 2004.16.I therefore grant relief as sought in each of the Notices ofMotion. The petitioner seeks an order to dispense with re-advertisement ofthe amended petition. The petition was adjourned on a number ofoccasions after it was presented on 8 January 2003 and the winding-uporder was made well over a year later. Notices were given by creditors of intention to appear at various times. No one would appear to have anydoubt as to the identity of the company that the petitioner sought to windup.
