承包方在____国注册为法人，其主要办事机构位于____，其代表已经被授权签订约束该法人的合同。

双方达成如下协议：This Contract is made at_____________, Che.siville,Parcheesion______________Month______________A.D.__________between_________represented by______.hereinafter called theEmployerand __registeredas a juristic personin_______________(country) with Head Of-fice located at________represented by_______who has been authorized to sign commitment binding on the saidjuristic person, hereinafter called the Contractor.Both parties agree as follows:第一条工程范围Clause l Scope of work考虑到发包方将如下文所述付款给承包方，承包方特此与发包方订立协议，以执行、完成和继续与合同规定相符合的工作。

承包方负责提供与第二条所列文件的条款、条件和要求相一致的、执行和完成工作所必需的所有劳工，包括其管理，材料，工具，建筑方法，设备和装备。

In consideration of the payments to be made by the Employ-er to the Contractor as hereinafter mentioned, the Contractorhereby convenes with the Employer to execute, complete andmaintain the works in conformity with the provision of the Con-tract. The Contractor undertakes to provide all labor,including su-pervision thereof, materials, tools, construction, plant and equip -ment necessary for the performance and completion of the workin accordance with the terms, conditions and requirements of thedocuments set forth in Clause 2.第二条合同文件Clause 2 Contract Documents下列文件应当被认为并被解释为合同的组成部分，即：The following documents shall be deemed to form and beread and construed as part of this Contract, viz:1、投标须知；1. Instruction to tenderers;2、特别条件（如果有）；2. Special conditions (if any);3、详细说明；3. Specifications;4、图纸等。

4. Drawings, etc.第三条履约的保证Clause 3 Performance Security在合同签订日，承包方应当向发包方提供总额为____的履约保证金。

该保证在指定的担保和／或持续期间到期后方可解除，并且承包方因此应当在此期间维持保证的有效性。

如果承包方的义务和责任无论因为任何原因迟延超过规定的完工期，承包方应当同样地延展担保以覆盖这种迟延期间。

On the date of signing the Contract the Contractor has fur-nished________in the amount of_____________ on deposit withthe Employer as the performance security. The said security shallbe released after the expiry of the specified warrantyand/ormaintenance period and the Contractor shall maintain the validityof the security accordingly. In case duties and responsibilities ofthe Contractor are extended beyond the specified completion pe-riod for any reason whatsoever, the Contractor shall likewise ex-tend the security to cover such extended period.第四条工程总价和完成时间Clause 4 Value of Work and Completion Time发包方同意支付工程费用，并且承包方同意接受基于数量单所规定的工程单价或合同条件下所确定的其他类似款项的总价为____的工程费用。

合同应当于____（时间）完成。

The Employer agrees to pay for the cost of work and the Con-tractor agrees to accept the cost of work done for a total cost of_____ on the basis of unit cost of the work specified in the Billof Quantities or such other sums as may be ascertained under theconditions of the Contract. The Contract shall be completed by _____.第五条转包和分包Clause 5 Assignment and Sub-letting没有发包方预先的书面同意，承包方不应把本合同或其任何部分、或其中或其项下的任何利益转让。
