英文工程合同范本

Engineering Contract

This Engineering Contract (the "Contract") is made and entered into as of

[date] (the "Effective Date") and between [Party A Name], a pany incorporated

and existing under the laws of [Party A Jurisdiction], with its registered address at

[Party A Address] (hereinafter referred to as "Party A"), and [Party B Name], a

pany incorporated and existing under the laws of [Party B Jurisdiction], with its

registered address at [Party B Address] (hereinafter referred to as "Party B").

1. Project Description

Party A here engages Party B to undertake the [Project Name] project (the

"Project"), which shall include but not be limited to the following scope of work:

[Describe the detled scope of the project].

2. Project Schedule

The Project is expected to mence on [Commencement Date] and be pleted

[Completion Date], subject to any extensions agreed upon in writing both

parties in accordance with the provisions of this Contract.

3. Project Price and Payment Terms

3.1 The total price for the Project is [Total Project Price], inclusive of all taxes,

fees, and charges.

3.2 Party A shall make the following payments to Party B:

4. Quality and Standards

Party B shall perform the Project in accordance with the industry standards

and the quality requirements specified Party A. The pleted Project shall pass the

5. Warranty Party B warrants that the Project and its deliverables shall be free from

defects in materials and workmanship for a period of [Warranty Period] from the

date of acceptance. During the warranty period, Party B shall be responsible for

rectifying any defects at its own cost.

6. Intellectual Property Rights

All intellectual property rights arising from the performance of the Project

shall belong to [Specify the owner of the intellectual property rights].

7. Confidentiality

Both parties undertake to keep confidential all information related to the

Project and not to disclose it to any third party without the prior written consent

of the other party.

8. Force Majeure

Neither party shall be liable for any flure or delay in performing its

obligations under this Contract to the extent such flure or delay is caused force

majeure events beyond the reasonable control of the affected party.

9. Termination

This Contract may be terminated either party in the following circumstances:
