International Trade Contract Template。
国际贸易合同范本。
This International Trade Contract (the "Contract") is
entered into on [Date], by and between [Seller's Name and
Address] (the "Seller") and [Buyer's Name and Address] (the
"Buyer"), collectively referred to as the "Parties".
本国际贸易合同（以下简称“合同”）由卖方[姓名和地址]（以下简称“卖方”）与买方[姓名和地址]（以下简称“买方”）于[日期]签订。
1. Product Description 产品描述。
The Seller agrees to sell and deliver the following
products to the Buyer: [Description of Products, Quantity,
Quality, and Specifications].
卖方同意向买方出售并交付以下产品，[产品描述、数量、质量和规格]。
2. Price and Payment 价格和付款。
The total price for the products shall be [Total Price]
and shall be paid by the Buyer in [Currency] within [Number]
days of the delivery of the products.
产品的总价格为[总价]，买方应在产品交付后[天数]内以[货币]支付。
3. Delivery and Inspection 交付和检验。
The Seller shall deliver the products to the Buyer's
designated location on or before [Delivery Date]. The Buyer
shall have the right to inspect the products upon delivery
and shall notify the Seller of any non-conformities within
[Number] days.
卖方应在[交付日期]之前将产品交付至买方指定的地点。买方有权在交付后对产品进行检验，并应在[天数]内通知卖方任何不符合要求的情况。
4. Governing Law and Dispute Resolution 法律适用和争议解决。
This Contract shall be governed by and construed in
accordance with the laws of [Governing Law]. Any dispute
arising out of or in connection with this Contract shall be
resolved through arbitration in [Arbitration Location] in
accordance with the rules of [Arbitration Rules].
本合同应受[Governing Law]法律管辖并按其解释。任何因本合同引起的争议应根据[Arbitration Rules]在[Arbitration
Location]进行仲裁解决。
5. Confidentiality 保密条款。
Both Parties agree to keep confidential any information
disclosed during the performance of this Contract and not
to disclose such information to any third party without the
other Party's prior written consent.
双方同意在履行本合同期间保密任何披露的信息，并不得未经对方事先书面同意向任何第三方披露此类信息。
IN WITNESS WHEREOF, the Parties have executed this
Contract as of the date first above written.
