一、合同条款
1. 阐述双方权益和义务，确保合同的有效性和合法性。 2. 规定好商品或服务的基本信息，例如商品或服务的品种、规格、数量、质量、付款方式及送货方式等，同时要明确价格和款项结算方式。
3. 明确各方在合同中的承诺，同时要注明各方在合同期间应履行的义务。
4. 规定合同的履行方法和期限，特别注意相应的应急措施。
5. 明确合同变更的规定，变更要经双方协商一致，并且在合同中另外附加协议。
6. 规定好违约责任，如果一方违反合同，应承担的赔偿责任、违约金和利息等，同时也要考虑解除合同的方式和程序。
7. 明确法律效力和可执行性。
二、本合同条款英文翻译
1. To specify the rights and obligations of both parties to
ensure the validity and legality of the contract.
2. To define the basic information of the goods or services,
such as the variety, specifications, quantity, quality, payment
method and delivery method, and to clarify the price and
payment settlement method.
3. To clarify the commitments of both parties in the contract,
and to indicate the obligations to be fulfilled by both parties
during the contract period. 4. To specify the method and period of contract performance,
paying special attention to corresponding emergency measures.
5. To clarify the provisions of contract changes. Changes
must be agreed upon by both parties and an additional
agreement attached to the contract.
6. To specify the liability for breach of contract, including
compensation responsibilities, liquidated damages and interests,
and to consider the way and procedure for terminating the
contract.
7. To clarify the legal effect and enforceability of the
contract.
三、法律声明
本合同要符合中华人民共和国相关法律和法规，任何未尽事宜按中华人民共和国相关法律和法规处理。
以中文和英文两种语言表述相同，如两种语言之间有歧义，应以中文版本为准。
任何一方必须遵守协定在合同中约定的义务。
本合同一式两份，甲乙双方各自持一份，自签字之日起生效。
Legal Statement
This contract shall comply with relevant laws and regulations
of the People’s Republic of China. Any matters not covered will be processed in accordance with relevant laws and regulations of the
People’s Republic of China.
The Chinese and English versions of the contract shall bear
the same meaning. In case of any discrepancy between the two
versions, the Chinese version shall prevail.
Both parties must comply with the obligations stipulated in
the contract.
This contract is in two originals, each party holds one original,
and it is effective from the date of signature.
