This Contract is made and entered into by and between the Seller:
销售方 and the Buyer: 购买方, collectively referred to as "the
Parties" below, in accordance with the relevant laws and
regulations of the People's Republic of China (PRC). 此合同根据中华人民共和国的相关法律和法规由甲方（销售方）和乙方（购买方）共同订立，以下简称双方。
Article 1: Commodity and Specifications
1.1 Commodity: The Seller agrees to sell, transfer, and deliver to
the Buyer, and the Buyer agrees to buy and accept from the Seller,
the following commodity: 乙方同意从甲方购买，甲方同意销售、移交和交付给乙方以下商品：
1.2 Specifications: The specifications, quality, and quantity of the
commodity shall be in accordance with the terms and conditions
specified in the Commercial Invoice. 商品的规格、质量和数量应符合商业发票中所规定的条款和条件。
1.3 Packaging: The Seller shall pack the commodity in accordance
with the international standard or as agreed upon by both Parties.
甲方应根据国际标准或双方约定进行包装。
Article 2: Price and Terms of Payment
2.1 Price: The total price for the commodity is [insert amount] per
unit, amounting to a total of [insert total amount] 元 per unit,总价为[insert total amount]元
2.2 Terms of Payment: The Buyer agrees to make payment to the
Seller in accordance with the following terms: 乙方同意按照以下方式向甲方付款：
2.3 Method of Payment: The payment shall be made by [insert
method of payment]. 付款方式为[insert method of payment]。
Article 3: Delivery and Shipment
3.1 Delivery: The Seller shall deliver the commodity to the Buyer
at the agreed-upon place of delivery. 甲方应在约定的交货地点将商品交付给乙方。
3.2 Shipment: The Seller shall arrange for the shipment of the
commodity, including all necessary documentation, in accordance
with the agreed-upon Incoterms. 甲方应按照双方约定的国际货物贸易术语（Incoterms）安排商品的运输，包括所有必要的文件。
Article 4: Inspection and Acceptance
4.1 Inspection: The Buyer shall have the right to inspect the
commodity within [insert number of days] from the date of delivery. 乙方有权在交货后的[insert number of days]天内对商品进行检验。
4.2 Acceptance: If the commodity is found to be in conformity
with the specifications and quantity as specified in this Contract,
the Buyer shall accept it. 如果商品符合本合同所规定的规格和数量，乙方应接受商品。
Article 5: Warranty
5.1 Warranty Period: The Seller warrants that the commodity shall
be free from defects in material and workmanship for a period of
[insert number of months] from the date of delivery. 甲方保证商品自交货之日起[insert number of months]内不存在材料和制造方面的缺陷。
5.2 Remedies: In the event of any defects covered by the warranty,
the Seller shall be responsible for repairing or replacing the
defective commodity at no additional cost to the Buyer. 在保修期内出现任何由保修范围内的缺陷引起的问题，甲方应负责修理或更换有缺陷的商品，不收取额外费用。
Article 6: Force Majeure
6.1 Force Majeure: If either Party is unable to perform its
obligations under this Contract due to force majeure, such Party
shall not be held liable for the delay or failure to perform, but shall
promptly notify the other Party in writing and provide detailed
evidence of the force majeure event. 如果因不可抗力原因，任何一方无法履行本合同项下的义务，该方应即时书面通知对方，并提供详细的不可抗力事件证据。
