Patent Agency Agreement
This Patent Agency Agreement (the "Agreement") is made and entered into
as of [date] and between:

WHEREAS, the Client desires to obtn patent protection for certn inventions
and has engaged the Patent Agency to provide patent agency services; and
WHEREAS, the Patent Agency is willing to provide such services on the terms
and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants
contned herein, the parties agree as follows:
1. Services to be Provided
The Patent Agency agrees to provide the following services to the Client:
(a) Prepare, file, and prosecute patent applications on behalf of the Client in
the relevant patent offices.
(b) Provide advice and opinions regarding the patentability of the Client's
inventions.
(c) Respond to office actions and municate with the patent offices on behalf
of the Client. (d) Keep the Client informed of the progress of the patent applications and
provide regular updates.
2. Client's Obligations
The Client agrees to:
(a) Provide the Patent Agency with all necessary information, documents,
and materials related to the inventions in a timely manner.
(b) Cooperate with the Patent Agency in the preparation and prosecution of
the patent applications.
(c) Pay the fees and charges as stipulated in this Agreement.
3. Fees and Payment
(a) The Client shall pay the Patent Agency a retner fee of [amount] upon the
execution of this Agreement.
(b) Additional fees for specific services, such as filing fees, examination fees,
and attorney fees, shall be pd the Client as they bee due.
(c) The Client shall make all payments within [number of days] days of the
invoice date.
4. Confidentiality
Both parties agree to mntn the confidentiality of all information related to
the Client's inventions and the patent applications.
5. Intellectual Property Rights
All rights in and to the patent applications and any resulting patents shall
belong to the Client.
6. Term and Termination
(a) This Agreement shall mence on the date of execution and shall continue
until the pletion of the services or until terminated in accordance with the
provisions herein.
(b) Either party may terminate this Agreement upon written notice to the
other party in the event of a material breach of this Agreement the other party.
7. Dispute Resolution Any disputes arising out of or in connection with this Agreement shall be
resolved through amicable negotiation. If negotiation fls, the dispute shall be
submitted to arbitration in accordance with the rules of [arbitration institution].
8. Governing Law
This Agreement shall be governed and construed in accordance with the
laws of [jurisdiction].
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and
supersedes all prior agreements and understandings, whether written or oral,
relating to the subject matter hereof.
