The expression Sub-contractor shall include direct and indirect Sub-contractors and their respective servants, agents or Sub-contractors."Goods" means the whole or any part of the cargo received from the Merchant and includes any Container not supplied by or on behalf of the Carrier."Package" means each Container which is stuffed and sealed by or on behalf of the Merchant, and not the items packed in such Container if the number of such items is not indicated on the front of this Bill of Lading or is indicated by the terms such as "Said to Contain" or similar expressions."Shipping Unit" means any physical unit of cargo not shipped in a package, including machinery, vehicles and boats, except goods shipped in bulk."Container" includes any Container, open top, trailer, transportable tank, flat rack, platform, pallet, and any other equipment or device used for or in connection with the transportation of the Goods.2. CARRIER'S TARIFFThe terms of the Carrier's applicable Tariff and other requirements regarding charges are incorporated into this Bill of Lading. Particular attention is drawn to the terms contained therein, including, but not limited to, free storage time, Container and vehicle demurrage, etc. Copies of the relevant provisions of the applicable Tariff are obtainable from the Carrier or his agents upon request. In case of any inconsistency between this Bill of Ladingand the applicable Tariff, this Bill of Lading shall prevail.3. SUB-CONTRACTING, INDEMNITY AND CERTAIN DEFENSES, EXEMPTIONS AND LIMITATIONS(1) The Carrier shall have the right at any time and on any terms whatsoever to sub-contract the whole orany part of the carriage with any Sub-contractor and/or to substitute any other vessel or means of transport for the Vessel.(2) The Merchant undertakes that no claim or legal action whatsoever shall be made or brought against anyperson by whom the carriage is performed or undertaken (including, but not limited to, the Carrier's servants, agents or Sub-contractors), other than the Carrier, which imposes or attempts to impose upon any such person, or any vessel owned or operated by such person, any liability whatsoever in connection with the Goods or the carriage thereof whether or not arising out of negligence on the part of such person. Should any such claim or legal action nevertheless be made or brought, the Merchant undertakes to indemnify the Carrier against all consequences thereof including legal expenses on a full indemnity basis. Without prejudice to the foregoing, every such person or vessel, including, but not limited to, the Carrier's servants, agents, or Sub-contractors as defined in Clause 1 above, shall have the benefit of every exemption, defense and limitation herein contained applicable to the Carrier, in contract or in tort, as if such provision were expressly contracted for its benefit, and, in entering into this contract, the Carrier, to the extent of such exemptions, defenses and limitations, does so not only on its behalf, but also as an agent and trustee for such person or vessel.4. CARRIER'S RESPONSIBILITY(1) Port to Port Shipment If boxes 6, 7 and 8 but not boxes 4,5 and 9 are filled in on the front of this Bill ofLading, this Bill of Lading is a Port-to-Port contract. The Carrier shall be responsible for the Goods as Carrier from the time when the Goods are received by the Carrier at the Port of Loading until the time of delivery thereof at the port of discharge to the Merchant or to the Authority as required by local laws or regulations, whichever occurs earlier.(2) Combined Transport If Box 4, Box 5 and/or Box 9 are filled in on the front of this Bill of Lading and theplace(s) or port(s) indicated therein is/are place(s) or port(s) other than that indicated in Box 7 and Box 8 and Freight is paid for combined transport, this Bill of Lading is a combined transport contract. The Carrier undertakes to arrange or procure the pre-carriage and/or on-carriage segments of the combined transport. All claims arising from the combined transport carriage must be filed with the Carrier within 9 months after the delivery of the Goods or the date when the Goods should have been delivered, failing which the Carrier shall be discharged from all liabilities whatsoever in respect of the Goods. If any payment is made by the Carrier to the Merchant in respect of any claim arising from the combined transport carriage, the Carrier shall be automatically subrogated to or given all rights of the Merchant against all others including pre-carrier or on-carrier or Sub-contractor on account of such loss or damage.Nothing herein contained shall be deemed a waiver of any rights that the Carrier may have against a pre-carrier or on-carrier or Sub-contractor for indemnity or otherwise.5. NOTICE OF CLAIM AND TIME BAR(1) Unless notice of loss or damage is given in writing to the Carrier's agent at the Port of Discharge orPlace of Delivery before or on the date of delivery of the Goods, or if loss or damage is not apparent, within 15 consecutive days thereafter, such delivery shall be prima facie evidence of the delivery of the Goods by the Carrier and/or on-carrier in the order and condition described in this Bill of Lading.(2) The Carrier, its servants, agents and Sub-contractors shall be discharged from all liabilities whatsoeverunless suit is brought within one year after the delivery of the Goods or the date when the Goods should have been delivered.6. LOSS OR DAMAGE(1) The terms of this Bill of Lading shall at all times govern all responsibilities of the Carrier in connectionwith or arising out of the carriage of the Goods not only during the carriage, but also during the period prior to and/or subsequent to the carriage. The exemptions from liability, defenses and limitation ofliability provided for herein or otherwise shall apply in any action against the Carrier for loss or damage or delay, howsoever occurring and whether the action be founded in contract or in tort and even if the loss, damage or delay arose as a result of unseaworthiness, negligence or fundamental breach of contract. Save as is otherwise provided herein, the Carrier shall in no circumstances whatsoever and howsoever arising be liable for direct or indirect or consequential loss or damage or loss of profits.(2) The Carrier does not undertake that the Goods will be transported from or loaded at the place of receiptor loading or will arrive at the place of discharge, destination or transshipment aboard any particular vessel or other conveyance at any particular date or time or to meet any particular market or in time for any particular use. Scheduled or advertised departure and arrival times are only expected times and may be advanced or delayed if the Carrier shall find it necessary, prudent or convenient. The Carrier shall in no circumstances whatsoever and howsoever arising be liable for direct, indirect or consequential loss or damage caused by delay.(3) If the stage of the combined transport during which loss or damage occurred can be determined, theliability of the Carrier shall be governed by the national law(s) and/or international convention(s) applicable thereto. If the stage of the combined transport during which loss or damage occurred cannot be determined, the Merchant and the Carrier agree that it shall be deemed that the loss or damage occurred aboard the Carrier's Vessel. In either case, clauses 5(2) and 7 shall apply.7. LIMITATION OF LIABILITY(1) Except as provided for in Clause 7(2), this Bill of Lading shall be subject to the provisions of the MaritimeCode of the People's Republic of China as provided for in Clause 26(1). Neither the Carrier, its servants, agents, Sub-contractors nor the Vessel shall in any event be liable for any loss or damage to the Goods in any amount exceeding the limits per package or unit prescribed by that Code, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.(2) Where carriage includes carriage to or from or through a port or place in the United States of America,this Bill of Lading shall be subject to the provisions of the United States Carriage of Goods by Sea Act, 1936 (US COGSA) and any amendments thereto, as provided for in Clause 26(2) hereof. In such event, neither the Carriers nor its servants, agents, Sub-contractors and/or the Vessel shall in any event be liable for any loss of or damage to the Goods in an amount exceeding the limits per package or unit prescribed by US COGSA, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.(3) If a legal regime other than the Maritime Code of the People's Republic of China or US COGSA iscompulsorily applied to this Bill of Lading, the liability of the Carrier, if any, shall not exceed the limits per Package or Shipping Unit prescribed therein, unless the nature and value of the Goods have been declared by the Merchant and inserted in this Bill of Lading (Box 10) and the Merchant has paid additional Freight on such declared value.(4) For the purpose of this Clause 7, the declared value shall be the basis for calculating the Carrier'sliability, if any, provided that such declared value shall not be conclusive on the Carrier, and further provided that such declared value does not exceed the true value of the Goods at destination. Any partial loss or damage shall be adjusted pro-rata on the basis of such declared value.8. FIREThe Carrier shall not be liable for any loss of or damage to the Goods occurring at any time, including that before loading or after discharge by reason of any fire whatsoever, unless such fire is caused by the actual fault of the Carrier.9. CARRIER'S CONTAINERS(1) Goods received in break bulk will be stuffed by the Carrier in Containers and the Carrier shall have theright to carry any Containers, whether or not stuffed by the Carrier, on deck or below deck. All suchGoods shall participate in General Average.(2) If Carrier's Containers and equipment are used by the Merchant for pre-carriage or on-carriage orunpacked at the Merchant's premises, the Merchant is responsible for returning the empty Containers, with interiors brushed, clean and free of smell to the point or place designated by the Carrier, its servants or agents, within the time prescribed in the Tariff and/or required by the Carrier. Should a Container not be returned within the aforesaid time, the Merchant shall be liable for any detention, demurrage, loss or expenses which may arise from such non-return.(3) The Merchant shall be liable for any loss of or damage to Carrier's Containers and other equipmentwhile in the custody of the Merchant or anyone acting on the Merchant's behalf. The Merchant shall also be liable during such period for any loss of or damage to the property of others or for any injuries or death and the Merchant shall indemnify and hold the Carrier harmless against all damages, including legal expenses, incurred from any and all such claims arising during such periods.10. MERCHANT-STUFFED CONTAINER(1) If a Container has not been stuffed by or on behalf of the Carrier, the Carrier shall not be liable for loss ofor damage to the Goods and the Merchant shall indemnify the Carrier against any loss, damage, liability or expense incurred by the Carrier if such loss, damage, liability or expense has been caused by:(a) the manner in which the Container has been filled, packed, loaded or stuffed, or(b) the unsuitability of the Goods for carriage in the Container, or(c) the unsuitability or defective condition of the Container, provided that, if the Container had beensupplied by or on behalf of the Carrier, this unsuitability or defective condition could have beenapparent upon inspection by the Merchant at or prior to the time when the Container was filled,packed, loaded or stuffed.(2) If a Merchant-stuffed Container is delivered by the Carrier with its seal intact, such delivery shallconstitute full and complete performance of the Carrier's obligations hereunder and the Carrier shall not be liable for any loss or shortage of the Goods ascertained at delivery.(3) The Merchant shall inspect Containers before stuffing them and the use of a Container shall be primafacie evidence of its being suitable and without defect.11. MERCHANT'S DESCRIPTION(1) The Merchant's description of the Goods stuffed in a sealed Container by the Merchant, or on his behalf,shall not be binding on the Carrier, and the description declared by the Merchant on the front of this Bill of Lading is information provided by the Merchant solely for its own use including but not limited to the use of its freight forwarder. It is understood by the Merchant that the Carrier has not verified the contents, weight or measurement of a sealed container, and the Carrier makes no representation as to the contents of a sealed Container, van, crate or box hereunder, nor its weight or measurement, nor the value, quantity, quality, description, condition, marks or number of the contents thereof. The Carrier shall be under no responsibility whatsoever in respect of such description or particulars.(2) If any particulars of any letter of credit and/or import license and/or sales contract and/or invoice or ordernumber and/or details of any contract to which the Carrier is not a party are shown on the front of this Bill of Lading, such particulars are included solely at the request of the Merchant for its convenience. The Merchant agrees that the inclusion of such particulars shall not be regarded as a declaration of value and shall in no way affect the Carrier's liability under this Bill of Lading. The Merchant acknowledges that, except as provided for in Clause 7 hereof, the value of the Goods is unknown to the Carrier.12. MERCHANT'S RESPONSIBILITY(1) The parties defined as "Merchant" in clause 1 hereof shall, where applicable, be jointly and severallyliable to the Carrier for the due fulfillment of all obligations undertaken by any of them under this Bill ofLading.(2) The Merchant warrants to the Carrier that the particulars relating to the Goods as set forth on the front ofthis Bill of Lading have been checked by the Merchant on receipt of this Bill of Lading and that such particulars, and any particulars furnished by or on behalf of the Merchant, are adequate and correct. The Merchant also warrants that the Goods are lawful Goods and are not contraband.(3) The Merchant shall indemnify the Carrier against all liabilities, costs, losses, damages, fines, penalties,expenses or other sanctions of a monetary nature arising or resulting from any breach of the warranties in Clause 12(2) hereof or from any other cause in connection with the Goods for which the Carrier is not responsible.(4) The Merchant shall comply with all regulations or requirements of customs, port and other Authorities,and shall bear and pay all duties, taxes, fines, imposts, expenses or losses (including the full return Freight for the Goods if returned, or if on-carried, the full Freight from the Port of Discharge or the Place of Delivery nominated herein to the amended Port of Discharge or the amended Place of Delivery) incurred and/or sustained by reason of any failure to so comply, or by reason of any illegal, incorrect or insufficient marking, numbering, or addressing of the Goods, and shall indemnify the Carrier in respect thereof.13. FREIGHT AND CHARGES(1) All Freight shall be deemed fully, finally and unconditionally earned on receipt of the Goods by theCarrier and shall be paid and non-returnable in any event whatsoever.(2) All Freight and charges shall be paid without any set-off, counter-claim, deduction, or stay of executionbefore delivery of the Goods.(3) The Merchant's attention is drawn to the stipulations concerning currency in which the Freight is to bepaid, rate of exchange, devaluation and other contingencies concerning the Freight in the applicable Tariff or as agreed otherwise.(4) If the Merchant's description of the Goods in this Bill of Lading or in any document or certificate furnishedto the Carrier by or on behalf of the Merchant shall prove to have been inaccurate, incorrect or misleading in any respect, the Merchant shall pay for the actual damage suffered by the Carrier.(5) Payment of Freight and charges to any freight forwarder or broker, or anyone other than the Carrier or itsauthorized agent, shall not be considered payment to the Carrier and shall be made at the Merchant's sole risk.(6) The parties defined as Merchants in clause 1 hereof shall, where applicable, be jointly and severallyliable to the Carrier for payment of all Freight, demurrage, General Average and charges, including, but not limited to, court costs, expenses and reasonable attorney's fees incurred in collecting sums due to the Carrier, failing which shall be considered a default by the Merchant in the payment of Freight and charges.14. INSPECTION OF THE GOODSThe Carrier and/or any person to whom the Carrier has sub-contracted the carriage or any person authorized by the Carrier shall be entitled, but under no obligation, to open any Container or Package at any time and to inspect the Goods. If by order of the Authorities at any place, a container must be opened for inspection, the Carrier shall not be liable for any loss or damage incurred as a result of any opening, unpacking, inspection or repacking. The Carrier shall be entitled to recover the cost of such opening, unpacking, inspection, and repacking from the Merchant.15. CARRIAGE AFFECTED BY CONDITION OF THE GOODSIf it appears at anytime that the Goods cannot safely or properly be carried or carried further, either at all or without incurring any additional expense or taking any measure(s) in relation to the Goods or the Container, theCarrier may without notice to the Merchant (but as its agent only) take any measure(s) and/or incur any additional expense to carry or to continue the carriage thereof, and/or dispose of the Goods, and/or abandon the carriage and/or store them ashore or afloat, under cover or in the open, at any place, whichever the Carrier in his absolute discretion considers most appropriate, which abandonment, storage or disposal thereof shall be deemed to constitute due delivery under this Bill of Lading. The Merchant shall indemnify the Carrier against any additional expense so incurred.16. LIENSThe Carrier shall have a lien on the Goods and any documents relating thereto for Freight, dead Freight, demurrage, detention, and for any expenses incurred by the Carrier for recoopering, repacking, remarking, fumigation or required disposal of faulty Goods, for General Average contributions to whomsoever due, for fines, dues, tolls, land Freight, or commissions paid or advanced by the Carrier on behalf of the Goods, for any sums including salvage payable to the Carrier under this Bill of Lading and for legal expenses incurred because of any attachment or other legal proceedings brought against the Goods by governmental Authorities or any person claiming an interest in the Goods. The Carrier's lien shall survive discharge or delivery of the Goods and the Carrier shall have the right to enforce such lien by public auction or private sale in its discretion. Should the proceeds of sale fail to cover the amount due, including expenses incurred, the Carrier shall be entitled to recover the balance from the Merchant. Should such proceeds exceed the amount due, the balance shall be returned to the Merchant.17. DECK CARGO, ANIMALS AND PLANTSGoods (other than Goods stuffed in Containers) that are stated on the front of this Bill of Lading as contracted to be stowed "on deck" and are so carried, and all live animals, including fish and birds, or plants shipped hereunder, shall be carried solely at the risk of the Merchant, and the Carrier shall not be liable for any loss or damage of whatsoever nature arising during carriage by sea whether or not arising out of negligence on the part of the Carrier. The Carrier shall be bound to prove that he has fulfilled the special requirements of the Merchant with regard to the carriage of the live animals and that under the circumstances of the sea carriage, the loss or damage has occurred due to the special risks inherent therein. The Merchant shall indemnify the Carrier against all or any extra costs incurred for any reason whatsoever in connection with the carriage of such live animals or plants.18. METHODS AND ROUTES OF CARRIAGEThe Carrier may at any time during the carriage(1) use any means of transport or storage whatsoever;(2) transfer the Goods from one conveyance to another including transshipment or carrying the same onanother Vessel other than the Vessel named on the front of this Bill of Lading or by any other means of transport whatsoever.Anything done in accordance with this Clause or any delay arising therefrom shall be deemed to be within the scope of the carriage and shall not be a deviation.19. MATTERS AFFECTING PERFORMANCEIf at any time the carriage is or is likely in the judgment of the Master to be affected by any hindrance, risk, delay, difficulty or disadvantage of any kind, other than the inability of the Goods to be safely or properly carried or carried further, and howsoever arising (even though the circumstances giving rise to such matters as stated above existed at the time this contract was entered into or the Goods were received for shipment), the Carrier (whether or not the carriage is commenced) may, at his sole discretion and without prior notice to the Merchant:(1) carry the Goods to the contracted Port of Discharge or Place of Delivery, whichever is applicable, by analternative route from that indicated in this Bill of Lading or from that which is customary for Goods consigned to that Port of Discharge or Place of Delivery. If the Carrier elects to invoke the terms of this sub-Clause, then, notwithstanding the provisions of Clause 18 hereof, the Carrier shall be entitled to charge such additional Freight as the Carrier may determine, or(2) suspend the carriage of the Goods and store them ashore or afloat upon the terms of this Bill of Ladingand endeavor to forward them as soon as possible, but the Carrier makes no representation as to the maximum period of suspension. If the Carrier elects to invoke the terms of this sub-Clause, then the Carrier shall be entitled to the payment of such additional Freight as the Carrier may determine, or(3) abandon the carriage of the Goods and place the Goods at the Merchant's disposal at any port or placewhere the Carrier may deem safe and convenient, whereupon the responsibility of the Carrier in respect of such Goods shall entirely cease. The Carrier shall nevertheless be entitled to full Freight on the Goods received for shipment, and the Merchant shall pay any additional costs of the carriage to, and delivery and storage at such port or place.Where the Carrier elects to use an alternative route under Clause 19(1) or to suspend the carriage under Clause 19(2), same shall not prejudice its right subsequently to abandon the carriage.20. DANGEROUS GOODSAt the time of shipment of Dangerous Goods, the Merchant shall, in compliance with the regulations governing the carriage of such Goods, have the same properly packed, distinctly marked and labeled and notify the Carrier in writing of their proper description, nature and the precautions to be taken. In case the Merchant fails to or inaccurately notifies the Carrier, the Carrier may have such Goods landed, destroyed or rendered innocuous when and where circumstances so require, without compensation. The Merchant shall be liable to the Carrier for any loss, damage or expense resulting from such shipment.Notwithstanding the Carrier's knowledge of the nature of the Dangerous Goods and its consent to carry, the Carrier may still have such Goods landed, destroyed or rendered innocuous, without compensation, when they become an actual danger to the Vessel, the crew and other persons on board or to other goods. However, what mentioned in this Clause shall not prejudice the contribution in General Average, if any.21. SPECIAL, REFRIGERATED OR HEATED CONTAINERS(1) Unless the Merchant and the Carrier agree in writing before shipment that specially ventilated,refrigerated or heated Containers will be used to ship the Goods and such agreement is noted on the front of this Bill of Lading, and the Merchant gives proper written notice to the Carrier of the nature of the Goods and of the particular temperature range to be maintained and/or special attention required and the Merchant pays the extra Freight charged under the Carrier's Tariff or as agreed, the Goods shall be carried in ordinary unventilated Containers.(2) In case of a refrigerated Container stuffed by or on behalf of the Merchant, the Merchant undertakes thatits thermostatic, ventilating or any other controls have been correctly set by the Merchant and that the temperature of the Goods and the refrigerated Container has been brought to the required temperature level before stuffing and that the Goods have been properly stowed in the Container before the receipt thereof by the Carrier. If these requirements are not fully met, the Carrier shall not be liable for any loss of or damage to the Goods howsoever arising.(3) The Merchant shall be responsible for the operation and maintenance of the Carrier's Container while itis in the Merchant's custody or the custody of anyone acting on the Merchant's behalf.(4) If a suggested temperature is noted on the front of this Bill of Lading, the Merchant shall deliver theGoods to the Carrier at the noted temperature plus or minus 2℃ permitted, and the Carrier shall exercise due diligence to maintain such temperature, plus or minus 2℃while the Goods are in its actual possession.(5) The Carrier does not warrant that the Container be properly ventilated, refrigerated or heated throughoutthe carriage, nor shall the Carrier be liable for any loss of or damage to the Goods arising from any latent defects, any total or partial failure or breakdown, or stoppage of the refrigerating machinery, plant, insulation and/or any apparatus of the Container, Vessel, conveyance and any other facilities, provided that the Carrier shall before or at the beginning of the carriage exercise due diligence to maintain the refrigerated Container in an efficient state.。

DEFINITIONS 定义"Carrier" means COSCO container lines company limited."Merchant" includes the consignor, the shipper, the receiver, the consignee, the owner of the Goods, the lawful holder or endorsee of this Bill of Lading, or any other person having any present or future interest in the Goods or this Bill of Lading, or anyone authorized to act on behalf of any of the foregoing."Vessel", where the context so admits, includes the Vessel named in Box 6 of this Bill of Lading or any substitute therefor, and any feeder vessel, lighter or barge used by or on behalf of the Carrier in connection with any seaborne leg of the carriage."Sub-contractor" includes owners and operators of vessels (other than the Carrier), stevedores, terminal, warehouse, depot and groupage operators, road and rail transport operators and any independent contractor employed by the Carrier in the performance of the carriage and any sub-sub-contractor thereof. The expression Sub-contractor shall include direct and indirect Sub-contractors and their respective servants, agents or Sub-contractors."Goods" means the whole or any part of the cargo received from the Merchant and includes any Container not supplied by or on behalf of the Carrier."Package" means each Container which is stuffed and sealed by or on behalf of the Merchant, and not the items packed in such Container if the number of such items is not indicated on the front of this Bill of Lading or is indicated by the terms such as "Said to Contain" or similar expressions."Shipping Unit" means any physical unit of cargo not shipped in a package, including machinery, vehicles and boats, except goods shipped in bulk."Container" includes any Container, open top, trailer, transportable tank, flat rack, platform, pallet, and any other equipment or device used for or in connection with the transportation of the Goods.“承运人”(CARRIER)是指“中远集运”,即中远集装箱运输有限公司。
1. DEFINITIONS“Carrier” means Sinotrans Container Lines Company Limited.“Merchant”includes the shipper, the consignor, the receiver, the consignee, the owner of the Goods, the lawful holder or endorsee of this Bill of Lading.“Goods”means the cargo supplied by the Merchant and includes any container not supplied by or on behalf of the Carrier.“Container” includes any Container, open top, trailer, transportable tank, flat rack, platform, pallet, and any other equipment or device used for or in connection with the transportation of the Goods.“Package”means each Container which is stuffed and sealed by or on behalf of the Merchant, and not the items packed in such Container if the number of such items is not indicated on the front of this Bill of Lading or is indicated by the terms such as “Said to Contain”or similar expressions.“V essel”, where the context so admits, includes the V essel named in Box 6 of this Bill of Lading or any substitute therefor, and any feeder vessel, lighter or barge used by or on behalf of the Carrier in connection with any leg of the carriage.“Sub-contractor”includes owners and operators of vessels (other than the Carrier), stevedores, terminal, warehouse, depot and groupage operators, road and rail transport operators and any independent contractor employed by the Carrier in the performance of the carriage and any sub-sub-contractor thereof. The expression Sub-contractor shall includes direct and indirect Sub-contractors and their respective servants, agents or Sub-contractors.“Carriage”means the whole of the operations and services undertaken by the Carrier in respect of the Goods.“Combined Transport”arises if the Place of Receipt and/or the Place of Delivery are indicated on the face hereof in the relevant spaces.“Port to Port Shipment”arises if the carriage called for by this Bill of Lading is not Combined Transport.2. LAW AND JURISDICTION(1) This Bill of Lading is governed by the laws of the People’s Republic of China. All disputesarising under or in connection with this Bill of Lading shall be determined by the laws of the People’s Republic of China and any action against the Carrier shall be brought before the Maritime Courts in the People’s Republic of China.(2) Notwithstanding the provision of Clause 2(1), where carriage is to or from or through a portor place in the United States of America, this Bill of Lading shall be subject to the provisions of US Carriage of Goods by Sea Act 1936 (US COGSA), which shall be deemed to have been incorporated herein and nothing herein contained shall be deemed a surrender by the Carrier of any of its rights, immunities, exceptions or limitations or an increase of its liabilities under US COGSA.3. NOTICE OF CLAIM AND TIMER BAR(1) Unless notice of loss or damage and the general nature of such loss or damage be given inwriting to the Carrier or his agents at the port of discharge or the place of delivery before or at the time of removal of the Goods into the custody of the Merchant or if the loss ordamage is not apparent, within 15 consecutive days thereafter, such removal shall be prima facie evidence of the delivery by the Carrier of the Goods as described in this Bill of Lading.(2) The Carrier, its servants, agents and Sub-contractors in any event shall be discharged fromall liabilities whatsoever unless suit is brought within one year after the delivery of the Goods or the date when the Goods should have been delivered.4. CARRIER’S TARIFFThe term of the carrier’s applicable Tariff and other requirements regarding charges at the date of shipment are incorporated into this Bill of Lading. Copies of the relevant provisions of the applicable Tariff are obtainable from the Carrier or his agents upon request or, where applicable, from a government body with whom the Tariff has been filed. In case of any inconsistency between this Bill of Lading and the applicable Tariff, this Bill of Lading shall prevail.5. CARRIER’S RESPONSIBILITIES(1) The responsibilities of the Carrier with regard to the Goods covers the entire period duringwhich the Carrier is in charge of the Goods, starting from the time the Carrier has taken over the Goods at the place of receipt if named herein or at the port of loading, until the time of delivery thereof at the port of discharge or the place of delivery if named herein to the Merchant or to the Authority as required by local laws or regulations, whichever occurs earlier.(2) If it can be proven that the loss or damage has occurred in a certain section of the transport,the liability of the Carrier and the limitation thereof shall be governed by the national laws and/or international conventions applicable thereto. If the section of transport in which the loss of or damage to the Goods occurred could not be ascertained, the loss or damage shall be presumed to have occurred during the ocean voyage.6. THE AMOUNT OF COMPENSA TION(1) For shipment to or from or through countries other than the United States of America, neitherthe Carrier nor its servants, agents, Sub-contractors and/or the V essel shall in any event be liable for any loss of or damage to the Goods in an amount exceeding the limits per package or unit prescribed by the Maritime Code of the People’s Republic of China, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading and extra freight paid.(2) For shipment to or from or through a port or place in the United States of America, neitherthe Carrier nor its servants, agents, Sub-contractors and/or the V essel shall in any event be liable for any loss of or damage to the Goods in an amount exceeding the limits per package or unit prescribed by US COGSA, unless the nature and value of the Goods have been declared by the Merchant before shipment and inserted in this Bill of Lading and extra freight paid.(3) For the purpose of this clause 6, the declared value shall be the basis for calculating theCarrier’s liability, if any, provided that such declared value shall not be conclusive on the Carrier, and further provided that such declared value does not exceed the true value of the Goods at destination. Any partial loss or damage shall be adjusted pro-rata on the basis ofsuch declared value.7. DEFENSES AND LIMITS FOR THE CARRIERThe exemptions from liability, defenses and limitation of liability provided for in this Bill of Lading shall apply in any action against the Carrier for loss of or damage to the Goods whether the action be founded in contract or in tort.8. SUB-CONTRACTING(1) The Carrier shall be entitled to sub-contract at any time and on any terms whatsoever thewhole or any part of the carriage and any or all duties undertaken by the Carrier in relation to the Goods, and/or to substitute any other vessel or means of transport for the V essel.(2) The Merchant undertakes that no claim or legal action whatsoever shall be made or broughtagainst any person by whom the carriage is performed or undertaken (including, but not limited to the Carrier’s servants, agents or Sub-contractors) other than the Carrier, which imposes or attempts to impose upon any such person, or any vessel owned or operated by such person, any liability whatsoever in connection with the Goods or the carriage thereof whether or not arising out of negligence on the part of such person. Should any such claim or legal action nevertheless be made or brought, the Merchant undertakes to indemnify the Carrier against all consequences thereof including legal expenses on a full indemnity basis.Without prejudice to the foregoing, every such person or vessel, including, but not limited to the Carrier’s servants, agents, or Sub-contractors as defined in Sub-clause (1) above, shall have the benefit of every exemption, defense and limitation herein contained applicable to the Carrier, in contract or in tort, as if such provision were expressly contracted for its benefit, and in entering into this contract, the Carrier, to the extent of such exemptions, defenses and limitations, does so not only on its behalf, but also as an agent and trustee for such person or vessel.9. METHODS AND ROUTES OF TRANSPORTA TIONThe Carrier may at any time and without notice to the Merchant:(1). use any means of transport or storage whatsoever;(2). transfer the Goods from one conveyance to another including transshipment or carrying the same on another vessel other than the vessel named on the front of this bill of lading or any other means of transport whatsoever;(3). sail with or without pilots, proceed at any speed and by any route in his discretion(whether or not the nearest or most direct or customary or advertised route), proceed to, return to and stay at any port or place whatsoever in any order in or out of the route or in a contrary direction to or beyond the port of discharge once or oftener for bunkering or loading or discharging cargo, undergo repairs, adjust equipment, drydock, make trial trips, tow or be towed.Anything done or not done in accordance with this Clause or any delay arising therefrom shall be deemed to be within the scope of the carriage and shall not be a deviation.10. MA TTERS AFFECTING PERFORMANCEIf at any time the performance of the contract evidenced by this Bill of Lading is or is likely to be affected by any hindrance, risk, delay, difficulty or disadvantage of whatsoever kindwhich cannot be avoided by the exercise of reasonable endeavours, the Carrier (whether or not the transport is commenced) may without prior notice to the Merchant treat the performance of this contract as terminated and place the goods or any part of them at the Merchant’s disposal at any place or port which the Carrier may deem safe and convenient, whereupon the responsibility of the Carrier in respect of such Goods shall cease. The Carrier shall nevertheless be entitled to full freight and charges on Goods received for transportation, and the Merchant shall pay any additional costs of carriage to and delivery and storage at such place or port.11. DELIVERY OF CARGO BEYOND PORT OF DISCHARGE OR PLACE OF DELIVERYIn the event that Consignees/Receivers of cargo require the Carrier to deliver cargo at a port or place beyond the place of delivery originally designated in this Bill of Lading and the Carrier in its absolute discretion agrees to such carriage, such further carriage will be undertaken on the basis that the Bill of Lading terms and conditions are to apply such carriage as if the ultimate destination agreed with Consignees/Receivers had been included in the description of the transport on the reverse side of this Bill of Lading.12. DELA Y, CONSEQUENTIAL LOSS, ETC(1) The Carrier does not undertake that the Goods will be transported from the place of receipt orloading or will arrive at the place of discharge, destination or will be transshipped on aboard any particular vessel or other conveyance at any particular date or time or to meet any particular market or in time for any particular use. The scheduled or advertised departure and arrival times are only expected times and may be advanced or delayed and the Carrier shall in no circumstances whatsoever and howsoever arising be liable for direct, indirect or consequential loss or damage caused by delay.(2) Save as otherwise provided herein, the Carrier shall in no circumstances be liable for director indirect or consequential loss or damage arising from any other cause.13. FIREThe Carrier shall not be liable for any loss of or damage to the Goods occurring at any time, including that before loading or after discharge howsoever by reason of whatsoever nature of fire, unless such fire is caused by the actual fault of the Carrier.14. SHIPPER-STUFFED CONTAINER(1) If a Container has not been stuffed by or on behalf of the Carrier, the Carrier shall not beliable for loss of or damage to the Goods and the Merchant shall indemnify the Carrier against any loss, damage, liability or expense incurred by the Carrier if such loss, damage, liability or expenses has been caused by:(a) negligent filling, packing, loading or stuffing, or(b) the unsuitability of the Goods for carriage in the Container, or(c) the unsuitability or defective condition of the Container unless the Container had beensupplied by or on behalf of the Carrier, this unsuitability or defective condition wouldnot have been apparent upon reasonable inspection at or prior to the time when theContainer was filled, packed, loaded or stuffed.(2) If a Shipper-stuffed Container is delivered by the Carrier with its seal intact, such deliveryshall constitute full and complete performance of the Carrier’s obligations hereunder and the Carrier shall not be liable for any loss or shortage of the Goods ascertained at delivery.(3) The Merchant shall inspect Containers before stuffing them and the use of a Container shallbe prima facie evidence of its being sound, suitable and without defect.15. INSPECTION OF THE GOODSThe Carrier shall be entitled, but under no obligation, to open any Container or Package at any time and to inspect the Goods.If by order of the Authorities at any place, a container must be opened for inspection, the Carrier shall not be liable for any loss or damage incurred as a result of any opening, unpacking, inspection or repacking. The Carrier shall be entitled to recover the cost of such opening, unpacking, inspection and repacking from the Merchant.If it thereupon appears at any time that the Goods or any part thereof cannot safely or properly be carried or carried further, either at all or without incurring any additional expense or taking any measure(s) in relation to the Goods or the Container, the Carrier may without notice to the Merchant (but as its agent only) abandon the transportation and/or take any measure(s) and/or incur any additional expense to carry or to continue the carriage, or to store the same ashore or afloat, under cover or in the open, at any place, whichever storage shall be deemed to constitute due delivery under this Bill of Lading. The Merchant shall indemnify the Carrier against any additional expense so incurred.16. MERCHANT’S RESPONSIBILITY(1) The Merchant warrants to the Carrier that the particulars relating to the Goods as set forth onthe front of this Bill of Lading have been checked by the Merchant on receipt of this Bill of Lading and that such particulars and any particulars furnished by or on behalf of the Merchant are correct. The Merchant also warrants that the Goods are lawful and are not contraband.(2) The Merchant shall indemnify the Carrier against all liabilities, costs, losses, damages, fines,penalties, expenses or other sanctions of a monetary nature arising or resulting from inaccuracies or inadequacy of such particulars.(3) Shall Carrier’s Containers and/or equipment are used by the Merchant for pre-carriage oron-carriage or unpacked at the Merchant’s premises, the Merchant is responsible for returning the empty Containers, with interiors brushed, clean and free of smell to the depot designated by the Carrier, its servants agents, within the time prescribed in the Tariff and/or required by the Carrier. Should a Container not be returned within the aforesaid time, the Merchant shall be liable for any detention, demurrage, loss or expenses which may arise from such non-return. And the Merchant shall be liable for any loss of or damage to Carrier’s Containers and other equipment while in the custody of the Merchant or anyone acting on the Merchant’s behalf.(4) The Merchant shall be liable for and hold the Carrier harmless against any loss or damage toCarrier’s Container(s), the property of others or any injuries or death whatsoever nature and howsoever arise while Carrier’s Container(s) is/are in the custody of the Merchants or anyone acting on the Merchant’s behalf.17. MERCHANT’S DESCRIPTIONThe Merchant’s description of the Goods stuffed in a sealed container by the Merchant or on his behalf shall not be binding on the Carrier, and the description declared by the Merchant on the front of this Bill of Lading is information provided by the Merchant solely for its own use including but not limited to the use of its freight forwarder. It is understood by the Merchant that the Carrier has not verified the contents, weight or measurement of a sealed container, and the Carrier makes no representation as to the contents of a sealed Container, van, crate or box hereunder, nor its weight or measurement, nor the value, quantity, quality, description, condition, marks or numbers of the contents thereof. The Carrier shall be under no responsibility whatsoever in respect of such description of particulars.18. DANGEROUS GOODSAt the time of shipment of Dangerous Goods, the Merchant shall, in compliance with the regulations governing the carriage of such Goods, have them properly packed, distinctly marked and labeled and notify the Carrier in writing of their proper description, nature and the precautions to be taken. In case the Merchant fails to or inaccurately notifies the Carrier, the Carrier may have such Goods landed, destroyed or rendered innocuous when and where circumstances so require, without compensation. The Merchant shall be liable to the Carrier for any loss, damage or expense resulting from such shipment.Notwithstanding the Carrier’s knowledge of the nature of the Dangerous Goods and its consent to carry, the Carrier may still have such Goods landed, destroyed or rendered innocuous, without compensation, when they become an actual danger to the V essel, the crew and other persons on board or to other goods. However, the provisions of this clause shall not prejudice the contribution in General Average, if any.19. REFRIGERA TED CONTAINER AND GOODS(1) Unless the Merchant and the Carrier agree in writing before shipment that refrigeratedContainers will be used to ship the Goods and such agreement is noted on the front of the Bill of Lading, and the Merchant gives proper written notice to the Carrier of the nature of the Goods and of the particular temperature range to be maintained and the Merchant pays the extra Freight charged under the Carrier’s Tariff or as agreed, the Goods shall be carried in ordinary dry Containers.(2) In case of a refrigerated Container stuffed by or on behalf of the Merchant, the Merchantundertakes that its thermostatic, ventilating or any other controls have been correctly set by the Merchant and that the temperature of the Goods and the refrigerated Container has been brought to the required temperature level before stuffing and that the Goods have been properly stowed in the Container before the receipt thereof by the Carrier. If these requirements are not fully met, the Carrier shall not be liable for any loss of or damage to the goods howsoever arising. The Merchant shall be responsible for the operation and maintenance of the Carrier’s Container while it is in the Merchant’s custody or the custody of anyone acting on the Merchant’s behalf.(3) If a suggested temperature is noted on the front of the this Bill of Lading, the Merchant shalldeliver the Goods to the Carrier at the noted temperature plus or minus 2℃permitted, and the Carrier shall exercise due diligence to maintain such temperature, plus or minus 2℃while the Goods are in its actual possession.(4) The Carrier does not warrant that the Container be properly refrigerated throughout thecarriage, nor shall the Carrier be liable for any loss or damage to the Goods arising from any latent defects, any total or partial failure or breakdown, or stoppage of the refrigerating machinery, plant, insulation and/or any apparatus of the Container, V essel, conveyance and any other facilities, provided that the Carrier shall before or at the beginning of the carriage exercise due diligence to maintain the refrigerated Container in an efficient state.(5) In case of the Merchant’s own Container, a set of emergence kit and an operation manualshall be supplied by the Merchant.20. OPTIONAL STOW AGE, DECK CARGO AND LIVESTOCK(1) The Goods may be stowed by the Carrier in Containers or similar articles of transport used toconsolidate Goods.(2) Goods whether stowed in Containers or not, may be carried on deck or under deck withoutnotice to the Merchant unless on the reverse side hereof it is specifically stipulated that the Containers or Goods will be carried under deck. If carried on deck, the Carrier shall not be required to note, mark or stamp on the Bill of Lading any statement of such on deck carriage.Such Goods (other than livestock) whether carried on deck or under deck and whether or not stated to be carried on deck shall participate in general average and shall be deemed to be within the definition of goods for the purpose of the US COGSA or for the purposes of the laws of the People’s Republic of China, whichever is applicable.(3) Goods (not being Goods stowed in Containers other than flats or pallets) which are statedherein to be carried on deck and livestock, whether or not carried on deck, are carried without responsibility on the part of the Carrier for loss or damage of whatsoever nature arising during carriage by sea whether caused by unseaworthiness or negligence or any other cause whatsoever.21. FREIGHT AND CHARGES(1) Full freight shall be payable at Carrier’s option on gross weight, or value as set forth inCarrier’s tariff, based on Merchant’s particulars for the goods. Carrier shall have the right, but not the duty to open package or containers and, if Merchant’s particulars are found to be erroneous, the Merchant shall be liable for the correct freight charge and expenses incurred in examining, weighing, measuring or valuing the goods.(2) All prepaid freight shall be deemed fully, finally and unconditionally earned on receipt ofthe Goods by the Carrier and shall be paid by the Merchant and non-deductable in any event. Freight payable at destination shall be paid before delivery of the goods.(3) All Freight and charges shall be paid without any set-off, counter-claim, deduction, or stayof execution before delivery of the Goods.(4) Payment of Freight and charges to any freight forwarder or broker, or anyone other than theCarrier or its authorized agent, shall not be considered payment to the Carrier and shall be made at the Merchant’s sole risk.(5) The parties defined as Merchants in clause 1 hereof shall, where applicable, be jointly andseverally liable to the Carrier for payment of all freight, demurrage, General Average and charges, including, but not limited to court costs, expenses and reasonable attorney’s feesincurred in collecting sums due the Carrier, falling which shall be considered a default by the Merchant in the payment of Freight and charges.22. NOTIFICA TION AND DELIVERY(1) Any mention in this Bill of Lading of parties to be notified of the arrival of the Goods issolely for information of the Carrier, and failure to give such notification shall not give rise to any liability on the part of the Carrier or relieve the Merchant of any obligation thereunder. (2) Where the Carrier is obliged to hand over the Goods into the custody of the port, customs orany other Authorities at the Port of Discharge or Place of Delivery and the Goods are delivered by the same to the Merchant without necessity of production of this Bill of Lading by the Merchant as required by the local law, regulation and/or practice, such hand-over shall constitute due delivery to the Merchant under this Bill of Lading and thereupon the liability of the Carrier in respect of the Goods shall entirely cease.(3) The Merchant shall take delivery of the Goods within the time provided for in the Carrier’sapplicable Tariff or as required by the Carrier. If the Merchant fails to do so, or whenever in the Carrier’s opinion the Goods are likely to be deteriorated, decayed, worthless or to incur charges whether for storage or otherwise in excess of their value, the Carrier may, at its discretion, without prejudice to any rights which he may have against the Merchant, without notice and without any responsibility whatsoever attaching to him, unstuff, sell, destroy or dispose of the Goods at the sole risk and expense of the Merchant. The aforesaid unstuffing shall constitute due delivery hereunder and thereupon all liability whatsoever of the Carrier in respect of the Goods thereof shall cease.(4) The Carrier may in his absolute discretion receive the Goods as Full Container Load anddeliver them as less than Full Container Load and/or as break bulk cargo and/or delivery of the Goods to more than one receiver. In such event the Carrier shall not be liable for any shortage, loss, damage or discrepancies of the Goods, which are found upon unpacking of the container.(5) Refusal by the Merchant to take delivery of the Goods in accordance with the terms of thisclause, notwithstanding its having been notified of the availability of the Goods for delivery, shall constitute an irrevocable waiver by the Merchant to the Carrier of all and any claims whatsoever relating to the Goods or the Carriage. The Merchant shall be liable for any losses, damage, expenses and liabilities incurred and sustained by the Carrier arising from such refusal, including but not limited to the return of the Goods to their place of origin.(6) The Merchant’s attention is drawn to the stipulations concerning free storage time anddemurrage contained in the Carrier’s applicable Tariff, which is incorporated in this Bill of Lading.23. LIENSThe Carrier shall have a lien on the Goods and any documents relating thereto for all sums whatsoever due at any time to the Carrier under this contract and/or any other contract and for general average contributions to whomsoever due and for the cost of recovering the same, and for that purpose shall have the right to sell the Goods by public auction or private sale without notice to the Merchant and at the Merchant’s expense and without any liability towards the Merchant.24. BOTH-TO-BLAME COLLISIONThe Both-to-Blame Collision Clause currently published by the Baltic and International Maritime Conference is deemed to be incorporated into this Bill of Lading.If the carrying ship comes into collision with another ship as a result of the negligence of the other ship and any act, neglect or default in the navigation or the management of the carrying ship, the shipper undertakes to pay the carrier, or, where the Carrier is not the owner and in possession of the carrying ship, to pay to the carrier as trustee for the owner and/or demise charterer of the carrying ship, a sum sufficient to indemnify the Carrier and/or the owner and/or demise charterer of the carrying ship against all loss or liability to the other or non-carrying ship or her owners insofar as such loss or liability represents loss of or damage to his goods or any claim whatsoever of the shipper and set-off, recouped or recovered by the other or demise charterer or the carrier. The foregoing provisions shall also apply where the owners, operators, or those in charge of any ship or ships or objects, other than, or in addition to, the colliding ships or objects, are at fault in respect to a collision, contact, stranding or other accident.25. GENERAL A VERAGE AND SALV AGE(1) General Average shall be adjusted at any port or place at the Carrier’s option according to theYork-Antwerp Rules 1974, as amended in 1990, and any other amendments thereto. The Merchant shall give such cash deposit or other security as the Carrier may deem sufficient to cover the estimated General Average contribution of the Goods before delivery.(2) In the event of the Master considering that salvage services are needed, the Merchant agreesthat the Master shall act on its behalf to procure such services to the Goods and that the Carrier may act on its behalf to settle salvage remuneration. The Merchant shall timely and fully provide cash deposit or other security to the salvor without affecting the schedule of the V essel after the salvage, failing which the Merchant shall be liable for any losses arising therefrom and sustained by the Carrier.26. NEW JASON CLAUSEIn the event of accident, damage or disaster before or after the commencement of the voyage resulting from any cause whatsoever, whether due to negligence or not, for which, or for the consequences of which, the Carrier is not responsible by statute, contract or otherwise, the Goods and the Merchant jointly and severally shall contribute with the Carrier in General Average to the payment of any sacrifices, losses or expenses of a General Average nature that may be made or incurred and shall pay salvage and special charges incurred in respect of the Goods. If a salving ship is owned or operated by the Carrier, salvage shall be paid for as fully as if the salving ship belonged to strangers.27. 1、托运人(Shipper)。
即与承运人签订运输契约,委托运输的货主,即发货人。
在信用证支付方式下,一般以受益人为托运人;托收方式以托收的委托人为托运人。
另外,根据《UCP500》第31条规定:除非信用证另有规定,银行将接受表明以信用证受益人以外的第三者为发货人的运输单据。
2、收货人(Consignee)。
收货人要按合同和信用证的规定来填写。
一般的填法有下列几种:(1)记名式:在收货人一栏直接填写上指定的公司或企业名称。
该种提单不能背书转让,必须由收货人栏内指定的人提货或收货人转让。
(2)不记名式:即在收货人栏留空不填,或填“To Bearer”(交来人/持票人)。
这种方式承运人交货凭提单的持有人,只要持有提单就能提货。
(3)指示式:指示式的收货人又分为不记名指示和记名指示两种。
不记名指示,是在收货人一栏填“To Bearer”,又称空白抬头。
该种提单,发货人必须在提单背面背书,才能转让。
背书又分为记名背书和不记名背书(空白背书)两种。
前者是指在提单背面填上“Deliver to ×××”“Endor sed to ×××”,然后由发货人签章;后者是发货人在背面不做任何说明只签章即可。
记名背书后,其货权归该记名人所有,而且该记名人不可以再背书转让给另外的人。
不记名背书,货权即归提单的持有人。
记名指示,是在收货人一栏填“To Order of Shipper”,此时,发货人必须在寄单前在提单后背书;另外还有凭开证申请人指示即L/C中规定“To Order of Applicant”,在收货人栏就填““To Order of ×××Co”;凭开证行指示,即L/C中规定“To Order of Issuing Bank”,则填“To Order of ×××Bank”。

本条作为定义条款,用以说明、规定本提单条款中经常出现的一些名词,以便明确在为提单所证明或构成的运输合同中所代表的概念、避免理解上的差异。
有关承运人的定义与提单正面的抬头和承运人签单部位的落款相对应,符合《跟单信用证统一惯例500》对提单签发的要求。
本提单所构成或证明运输合同中的承运人仅指中远集运、而非任何其他相关的契约承运人、实际承运人,这样避免了当存在几个运输合同时发生混淆。

提单条教(背面)1.定义“货方”包括托运人、受货人、发货人、收货人、提单持有人和货物所有人。
2.管辖权凡根据本提单或与其有关的一切争议均应按照中国法律在中华人民共和国的法院解决或在中华人民共和国仲裁。
3.承运人责任有关承运人的义务、赔偿责任、权利及豁免适用海牙规则,即1924年8月25日在布鲁塞尔签订的关于统一提单若干规定的国际公约。
4.责任期间承运人的责任期间应从货物装上船舶之时起到卸离船舶之时为止。
承运人对于货物在装船之前及卸离船舶之后,发生的灭失或损坏不负赔偿责任。
5.包装和标志在装船之前,托运人应对货物加以妥善包装、货物标志必须正确、清晰,并须以下不小于五厘米长的字体将目的港清晰地标明在货物的外部,上述标志须能保持到交货时仍然清楚易读。
由于包装和标志的不足或不适当所产生的一切罚款和费用应由货方负担。
6.运费和其它费用(1)预付运费应在装船时连同其它费用一并支付。
运费和其它费用,如已有约定而未预付,则应由货方支付,并自通知缴付运费和其它费用之日起按年息5%加付利息。
装运的货物如系易腐货物、低值货物、活动物、舱面货、以及货物的目的港无承运人的代理人时,其运费和所有其它费用必须在装船时全部付清。
到付运费连同其它费用应在船舶抵达目的港时一并支付。
预付运费和(或)到付运费,无论船舶和货物或其中之一遭受任何灭失或损坏,都应毫无例外地全部付给承运人,不予退回和不得扣减。
(2)一切同货物有关的捐、税或任何费用应由货方支付。
1. DEFINITIONS"Carrier" means COSCO Far-Reaching Shipping Co., Ltd, or the party for whom or on whose behalf this Bill of Lading has been signed."Merchant" includes the consignor, the shipper, the receiver, the consignee, the owner of the Goods, the lawful holder or endorsee of this Bill of Lading, or any other person having any present or future interest in the Goods or this Bill of Lading, or anyone authorized to act on behalf of any of the foregoing."Goods" means the whole or any part of the cargo described on the face hereof and, if the cargo is packed into container(s), loaded on pallet(s), or into similar article(s), or transport in units supplied or furnished by or on behalf of the Merchant.”Goods” shall include such article (s) of transport as well.2. Law and Jurisdiction(1). This Bill of Lading is governed by the laws of the People's Republic of China. All disputes arising under or in connection with this Bill of Lading and any action against the Carrier shall be brought before the Guangzhou Maritime Court exclusively in the People's Republic of China. (2). Where it is adjudged that any other national maritime transport legislation or enactment similar in nature to that of the International Convention for the Unification of certain rules relating to Bills of Lading, signed at Brussels on 25th August 1924 is compulsorily applicable to this Bill of Lading, in which case it shall have effect subject to the provisions contained therein.(3) Notwithstanding the provision of Clause 2(1) and (2) hereof, where carriage includes carriage to or from a port or place in the United States of America, this Bill of Lading shall be subject to the provisions of US Carriage of Goods by Sea Act 1936 (US COGSA), which shall be deemed to have been incorporated herein and nothing herein contained shall be deemed a surrender by the Carrier of any of its rights, immunities, exceptions or limitations or an increase of any of its liabilities under US COGSA.3. Carrier’s ResponsibilityThe responsibility of the Carrier shall commence from the time when the goods are loaded on board the vessel and shall cease when they are discharged from the vessel.The Carrier shall in no case be responsible for loss of or damage to the goods, whether caused by the Carrier’s negligence or not, occurring before loading on board and/or after discharging from the vessel, whether the goods are awaiting shipment, landed or stored or put into craft, barge or lighter, whether belonging to the Carrier or not, or pending transshipment at any stage of the whole carriage. Where loading and/or discharge are effected by the Merchant at his expense, the Carrier's responsibility shall, notwithstanding the preceding paragraph, commence when loading has been completed and/ or cease when discharge has begun respectively, and shall be exonerated from any loss of or damage to or in connection with the Goods occurring during such loading and/or discharge, even if such loading and/or discharge are done with the assistance and/or advice of the Master/Vessel's officers/crew, who in such cases, are deemed to be an agent(s) or employee(s) of the Merchant.4. Freight and Charges(1). All Freight shall be deemed fully finally and unconditionally earned on receipt of the Goodsby the Carrier and shall be paid and non-returnable in any event whatsoever.(2) All Freight and charges shall be paid without any offset, counter-claim, deduction, or stay of execution before delivery of the Goods.(3) The Merchant's attention is drawn to the stipulations concerning the currency in which the Freight is to be paid, rate of exchange, devaluation and other contingencies concerning the Freight in the applicable Tariff or as agreed otherwise.(4) Payment of Freight and charges to any freight forwarder or broker, or anyone other than the Carrier or its authorized agent, shall not be considered payment to the Carrier and shall be made at the Merchant's sole risk.(5) The parties defined as Merchants in clause 1 hereof shall, where applicable, be jointly and severally liable to the Carrier for payment of all Freight, demurrage, General Average and charges, including, but not limited to court costs, expenses and reasonable attorney's fees incurred in collecting sums due the Carrier.5.Liberties(1). Under any situation whatsoever crising, whelther or not existing or anticipated before the commencement of or during the carriage which in the judment of the carrier:(I). has given or is likely to give rise to danger, injury, loss, delay, risk of capture, seizure or detention, or disadvantage of whatever nature to the vessal, the carrier, the goods, any person or any property or(II). Has rendered or is likely to render it in any way unsafe, impracticable or unlawful or against the interest of the carrier or the Mercgant to commence or continue the carriage or th discharge the goods at the port of discharge by the route or in the manner originally inthended by the Carrier, the Carrier may:(a),before the goods are loaded on board the vessel, cancel the contract of carriage without compensation and require the Merchant to take delivery of them, and upon his failure to do so, warehouse or place them anywhere at the risk and expense of the Merchant; and/or(b).if the goods have been loaded on board the vessel whether or not approaching, entering or attempting tp approach, the port of discharge or attempting or commencing to discharge the goods or part there of at any port(s) or place(s) selected by the Carrier or carry them back to the port of loading and there discharge them; and/or(c).at any time, dispose of the goods in such way as the carrier may deem advisable at the risk and expense of the Merchant, and any action under (b) above shall constitute complete and final delivery of the goods and full performance of the contract, and the Carrier shall there after be freed from any obligation hereunder.(2). If, after any action under the preceding paragraph, the Carrier makes any arrangement to store and/or transship and/or forward the goods, it is agreed that the Carrier does so as agent only, and at the sole risk and expense of the Merchant without any liability whatsoever in respect of such agency. The Merchant shall reimburse the Carrier forthwith upon demand all extra freight, charges and expenses incurred thereby.(3). The situations referred to in paragraph (1) above shall include, but shall not be limited to those caused by the existence or apprehension of war declared or undeclared, hostilities, warlike or belligerent acts or operations, riots, civil commotion or other disturbances, ciosure of, obstacle to or danger in any canal, blockade of port, strikes, lockouts or other labor troubles whether partial orgeneral and whether or not involving employees of the Carrier or his subcontractors, abnormal situations of the port, wharf, quay, terminal or any other place, shortage or absence of labor or facilities for loading, discharge, delivery or other handling of the goods, epidemics or diseases, bad weather, shallow water ice or other obstacles to navigation.(4). The vessel has liberty to call at any port or ports in any order, for any reasonable purpose, to sail without pilots, to sail without pilots, to tow and/or to be towed, to assist vessels in all situations, and also to deviate for the purpose of saving life and/or property.(5). The vessel shall have the liberty as part of the contract voyage to proceed to any port or ports where bunkers are available for the purpose of bunkering at any stage of the voyage whatsoever and whether such ports are on or off the direct and/or customary route or routes between any of the ports of loading or discharge named in the Bill of Lading and may there take bunkers in any quantity at the discretion of the Carrier even to the full capacity of the fuel tanks and deep tanks and other compartments in which bunkers can be carried, whether such amount is or is not required for the voyage.6.Loading, Discharging and DeliveryThe goods shall be supplied and taken delivery of by the Merchant as fast as the vessel can take and discharge them, without interruption, by day and if so required by Carrier also by night. Sundays and holidays included, any custom of the port of the contrary notwithstanding and the Merchant shall be liable for all losses or damages including demurrage incurred in default thereof. If the goods ar not taken delvery of by the Merchant from alongside the vessel in time, or if the Merchant refuses to take delivery thereof, or in case there are unclaimed goods, the Carrier shall be at liberty to land such goods on share or any other proper places at the sole risk and expense of t he Merchant, and the Carries’s responsibility of delivery of cargo shall be deemed to have been fulfilled.Weighing on board shall be done under special permission of the Carrier, any custom of the port to the contrary notwithstanding, and any weighing expenses, detention and extra costs of discharging resulting thereform shall be for the account of the Merchant. If the Merchant fails to take delivery of the goods within 60 consecutive days from the second day of the vessel’s arrival at the port of discharge, or wherever the goods will become deteriorated, decayed or worthless, the Carrier may, at his discretion, and subject to his lien, and without any responsibility attaching to him, sell, abandon or otherwise dispose of such goods solely at the risk and expense of the Merchant.7.packing and MarksThe Merchant shall have the goods properly packed and accurately and clearly marked before shipment .The port of destination of the goods should be marked in letters not less than 5cm high .In such a way as will remain legible until their delivery .All liabilities ,lines and expenses arising from insufficiency ,deficiency or inadequacy of packing or marks shall be borne by the Merchant.8. Merchant’s Statement⑴.The Merchant warrants to the Carrier that particular furnished by or on behalf of the Merchant relating to the goods as set forth on the front of this Bill of Lading are adequate and correct,the Carrier shall be at not responsibility whatsoever in respect of such description and particulars.⑵.The Carrier is entitled, but not obliged, at port shipment and/or port of destination to verify the quantity, weight, measurement and content of the goods as declared by the Merchant .if the weight ,measurement and/or contents of such goods as stated in the Bill of lading turned out to be inconsistent with that of the goods actually loaded, and the freight paid falls short of the amount which would have been due if such declaration had been correctly given,the Carrier is entitled to collect from the merchant as liquidated damages to the carrier double the amount of difference between the freight for the goods actually shipped and that mis-stated.⑶. The Merchant shall be liable for loss of and damage to the vessel and/or goods arising or resulting from inaccuracies in stating the description,quantity,weight,measurement or contents of the goods and shall indemnify the carrier for the costs and expenses incurred in connection with weighing, measuring and checking such goods.⑷.if the description of the goods in this bill of lading or in any document or certificate furnished to the carrier by or on behalf of the merchant shall prove to have been inaccurate .incorrect or misleading in any respect, the merchant shall pay for any actual losses suffered by the carrier.9.LighterageAny lighterage in or off ports of ports of discharge shall be for the account of the merchant unless as agreed otherwise.10.Lienthe carrier shall have a lien on the goods ,any sub-freight,sub-hire and documents relating there to for freight,dead freight,demurrage,detention, and for any expenses incurred by the carrier for re-coopering, repacking,remarking,fumigation or disposal of faulty goods as required; for general average contributions to whomsoever due ,for fines, dues,tolls,land freight, or commissions paid or advanced by the carrier on behalf of the goods; for any sums payable to the carrier under this bill of lading and for legal expenses incurred because of any attachment or other legal proceeding brought against the goods by governmental authorities or any person claiming on interest in the goods. The carrier’s lien shall survive discharge or delivery of the goods and the carrier shall have the right to enforce such lien by public auction or private sale at his discretion.should the proceeds of sale fail to cover the amount due,including expenses including expenses in curred, the carrier shall be entitled to recover the balance from the merchant ,while in case such proceeds exceed the amount due.the balance shall be returned to the merchant.11.Forwarding, Substitute of Vessel and TransshipmentIf necessary, the Carrier shall be at liberty to carry the goods to their port of destination by other vessel or vessels either belonging to the Carrier or other persons or by rail or other means of transport proceeding either directly or indirectly to such port and carry the goods or port of them beyond their port of destination , and to transship ,lighter, land and store the goods on shore or afloat and reship and forward same at the Carrier’s expense but of Merchant’s risk. The responsibility of the Carrier shall be limited to the part of the transport performed by him on the vessel under the management.12. Dangerous Goods,Contraband(1) At the time of shipment of dangerous goods,the Merchant shall in compliance with thelaws,rules and regulations relating to the carriage of such goods,have the same properly packed,distinctly marked and labeled and notify the Carrier in writing of their proper description,nature and the precautions to be taken.In case the Merchant tails to or inaccurately notifies the Carrier,the Carrier may have such goods landed,destroyed or rendered innocuous when and where circumstances so require,without compensation.The Merchant shall be liable to the Carrier foy any loss,damage or expense resulting from such shipment.Notwithstanding the Carrier knowledge of the nature of the dangerous goods and its consent to carry,the Carrier may still have such goods landed,destroyed or rendered innocuous,without compensation,when and where they become on actual danger to the vessel,the crew and other persons on board or to other goods,the provisions of this paragraph shall not prejudice the contribution in General Average,if any.(2)Whenever the goods of the packing thereof are discovered to be contraband or prohibited by any laws or regulations of the port of loading,discharge or call or any place or waters during the carriage,the Carrier shall be entitled to have such goods rendered innocuous,thrown overboard or discharged or otherwise disposed of at the Carrier’s discretion without compensation and the Merchant shall be liable for and indemnify the Carrier against any loss ,damage or liability including loss of freight,and any expenses directly or indirectly arising out of resulting from such shipment.13.Deck cargo, Live Animals and PlantsGoods that are stated on the front of this Bill of Lading as contracted to be stowed "on deck" and are so carried, and all live animals, including fish and birds, or plants shipped hereunder, shall be carried solely at the risk of the Merchant, and the Carrier shall not be liable for any loss thereof or damage thereto of whatsoever nature arising during carriage by sea whether or not arising out of negligence or default on the part of the Carrier or his servents with respect to such animals and deck cargo. The Merchant shall indemnify the Carrier against all or any extra costs incurred for any reason whatsoever in connection with the carriage of such live animals or plants.14. Cargo in Containers(1). Goods in containers, including empty containers, if any, may be carried on or under deck without notice. The carrier’s liability for such c arriage shall likewise be governed by the terms and conditions of this Bill of Loading irrespective of Clause 13 hereof notwithstanding the fact that the goods are being carried on deck and the goods shall contribute to General Average and shall receive compensation in General Average.(2). If a container has not been stuffed by or on behalf of the Carrier, the Carrier shall not be liable for loss of or damage to the goods and the Merchant shall indemnify the Carrier against any loss, damage, liability or expenses incurred by the Carrier if such loss, damage, liability or expense has been caused by:(a). the manner in which the container has been filled, packed, loaded or stuffed; or(b). the unsuitability of the goods for carriage in the container; or(c). the unsuitability or defective condition of the container, provided that, if the container had been supplied by or on behalf of the Carrier, this unsuitability or defective condition could have been apparent upon inspection by the Merchant at or prior to the time when the container was filled, loaded or stuffed.(3). If a Merchant-stuffed container is delivered by the Carrier with its seal intact, such delivery shall constitute full and complete performance of the Carrier’s obligations hereunder and the Carrier shall not be liable for any loss or shortage of the goods ascertained at delivery.(4). The Merchant shall inspect containers before stuffing them and the use of a container shall be prima facie evidence of its being suitable and without defect.15. Refrigerated GoodsBefore loading goods in any insulated space, the Carrier shall, in addition to the Class Certificate, obtain the certificate signed by the Classification Society’s surveyor or other competent person, stating that such insulated space and refrigerating machinery are in the opinion of the surveyor or other competent person fit and safe for the carriage and preservation of refrigerated goods. The aforesaid certificate shall be conclusive evidence against the Merchant.The Merchant have to take delivery of refrigerated cargo as soon as the vessel is ready to deliver, otherwise the Carrier is entitled to have the goods landed ashore at the Merchant’s risk and expense.16. Timber(1). Any statement in this Bill of Loading to the effect that timber has been shipped in apparent good order and condition does not involve any admission by the Carrier as to the absence of stains, shakes, splits, holes or broken pieces, for which the Carrier accepts no responsibility.(2). And the Carrier shall only be responsible for number of bundles, but not for the number of pieces in such bundle.17.Iron and Steel(1).Every piece of iron and steel is to be distinctly and permanently marked with oil paint and every bundle securely fastened, distinctly and permanently marked with oil paint and metal tagged by the Merchant. So that each people or bundle can be distinguished at the port of discharge. If the Merchant fails to meet aforesaid requirements, the Carrie shall neither be responsible for correct delivery nor be liable for expenses arising therefrom.(2).And the Carrie shall only be responsible for number of bundles, but not for the number of pieces in such bundle.18.Bulk Cargo(1) As the Carrier has no responsible means of checking the weight of bulk cargo ,any reference to such weight in this bill of lading shall be deemed to be for reference only ,but shall constitute in no way evidence against the Carrier.(2) Where bulk cargo or goods without marks or those with the same marks are shipped to more than one consignee. The consignees or owners of the goods shall jointly and severally bear any expense or loss in diving the googs or parcels into prorata quantities and any deficiency shall fall upon them in such proportion as the Carrie , his servants or agents shall decide.(3) And the Carrier shall in no way be liable for any loss or damage less than 0.5% of bill of lading weight in consideration of the special nature of the carriage of bulk cargo.19 Heavy Lifts and Awkward CargoAny one piece of package of cargo which weights 2,000,00 kilos or upwards and any awkward cargo with a length of 9 meters or upwards must be clearly and boldly marked with the weight and /or dimensions and/or length by the Merchant and shall be loaded and discharged by the shore cra ne or otherwise at the ship’s option and at the risk and expense of the Merchant.If any damage,loss or liability to the ship ,lighter ,wharf ,quay,terminal ,cranes,hoisting tackle ,or whatsoever or to whosoever occurs owing to the lack of statement or mis-statement of weight.measurement or length ,the Merchant shall be responsible for such damage , loss or liability.20. FumigationIn the event of fumigation of goods on board for whatever reason ,the Carrier shall not be liable for to goods without octal proof of the Carrier negligence ,which shall not be presumed against him,and all time and all expenses incurred are for the Merchant’s account.21. OptionFor goods shipped under this bill of lading with optional discharged port.The port must be decided n ot later than 72 hours of the vessel’s estimated time of arrival at the agreed port or place or the customary geographical turning point .In the absence of above declarations the Carrier may elect to discharge of their first or any optional port or ports within the named region,and the contract shall then be considered as having been fulfilled,Such option must be for the total shipment under this bill of lading.22.Notice of claim and Time Bar(1) Unless notice of loss or damage and the general nature of such loss or damage is given in writing to the Carrier or his agent at the port of discharge before or at the time of the removal of the goods into the custody of the personal entitled to take delivery thereof under the contract of Carriage ,or if the loss or damage is not apparent ,within 3 days thereafter ,such removal shall be prima facile evidence of the delivery by the Carrier of the goods as described in the Bill of lading (2) In any event the Carrier or its servants ,agents of sub-contractors and the vessel shall be discharge from all liabilities whatsoever unless suit is brought within on year after delivery of the goods or the date when the goods should have been delivered.23. Amount of Compensation, Limitation of Liability(1)All claims for which the carrier may be liable shall be adjusted and settled on the basis of the Merchant’s net invoice value plus freight and insurance premium, if paid, with deductions being made of what the Merchant has saved because of the damage and/or loss. In no event shall the Carrier be liable for any loss of profit or any consequential loss.(2)Except as provided for in Clause23(3) and (4),this Bill of lading shall be subject to the provisions of the Maritime Code of the People’s Republic of China as provided for in Clause 2.Neither the Carrier, its servants, agents, sub-contractors nor the vessel shall in any event be liable for any loss of or damage to the goods in any amount exceeding the limits per package or unit prescribed by that Code, unless the nature and value of the goods have been declared by the Merchant before shipment and inserted in this Bill of Lading and the Merchant has paid conditional freight on such declared value.(3)Where carriage includes carriage to or from a port or place in the United States of America, this Bill of Lading shall be subject to the provisions of the US COGSA, as provided for in Clause2 hereof. In such event, neither the Carriers nor its servants, agents, subcontractors and/or the vessel shall in any event be liable for any loss of or damage to the goods in an amount exceeding the limits per package or unit prescribed by US COGAS, unless the nature and value of the goods have been declared by the Merchant before shipment and inserted in this Bill of Lading and the Merchant has paid additional freight on such declared value.(4)Where it is adjudged that any other national maritime transport legislation or statute or enactment similar in nature to that of the international Convention for the Unification of Certain Rules relating to Bills of Lading, signed at Brussels on 25th August 1924 is compulsorily applicable to this Bill of Lading, neither the Carrier, its servants, agents, sub-contractors nor the vessel shall in any event be liable for any loss of or damage to the goods in any amount exceeding RMB1,300.00per package or unit of the equivalent of that sum in other currency unless the nature and value of the goods have been declared by the Merchant before shipment and inserted in this Bill of Lading and the Merchant has paid additional freight on such declared value.24. Carrier’s Servants, Agents, Subcontractors, etc.It is expressly agreed that no servant or agent of the Carrier (including every independent contractor from time to time employed by the Carrier),shall in any circumstances whatsoever be under any liability whatsoever to the shipper, consignee or owner of the goods or to any holder of the B/L for any loss or damage or delay of whatever kind arising or resulting directly or indirectly from any act neglect or default on his part while acting in the course of or in connection with his employment and without prejudice to the generality of the foregoing provisions in this clause, every exemption, limitation, condition and liberty herein contained and every right, exemption from liability, defence and immunity of whatever nature applicable to the Carrier or to which the Carrier is entitled hereunder shall also be available and shall extend to protect every such servant or agent of the Carrier acting as aforesaid and for the purpose of all the foregoing provisions in this clause the Carrier is or shall be deemed to be acting as agent or trustee on behalf of and for the benefit of all persons who are or might be his servant or agents from time to time(including independent contractors as aforesaid)and all such persons shall to this extent be or deemed to be parties the contract contained in or evidenced by this Bill of Lading.The Carrier shall be entitled to be paid by the shipper, consignee, owner of the goods and/or holder of the Bill of Lading (who shall be jointly and severally liable to the Carrier hereof) on demand any sum recovered or recoverable by either such shipper, consignee, owner of the goods and/or holder of this Bill of Lading or any other from such servant or agent of the Carrier for any such loss, damage, delay or otherwise.25. General Average and New Jason Clause(1)General Average shall be adjusted at any port or place at the Carrier’s option according to the York-Antwerp Rules 1974, as amended in 1990.The Merchant shall give such cash deposit or other security as the Carrier may deem sufficient to cover the estimated General Average contribution of the goods before delivery.(2)New Jason Clause as approved by BIMCO to be considered as incorporated herein.26.Both-to-Blame Collision ClauseThe Both-to-Blame Collision Clause currently published by BIMCO is deemed to be incorporated into this Bill of Lading.27. War, Quarantine, Ice, Strikes, Congestion, etc.Should it appear that war, blockade, pirate, epidemics, quarantine, ice, strikes, congestion and other causes beyond the Carrier’s control would prevent the vessel from safely reaching the port of destination and/or discharging the goods thereat, the Carrier is entitled to discharge the goods at the port of loading or any other safe and convenient port and contract of carriage shall be deemed to have been fulfilled. 重量、尺码、标志、号数、品质、内容和价值是托运人所提供的,承运人在装船时并未核对。
托运人、收货人和本提单的持有人兹明白表示接受并同意本提单和它背面所载的一切印刷、书写或打印的规定、免费事项和条件。
请托运人特别注意本提单内与该货保险效力有关的免责事项和条件。
提单条教(背面)1.定义“货方”包括托运人、受货人、发货人、收货人、提单持有人和货物所有人。
2.管辖权凡根据本提单或与其有关的一切争议均应按照中国法律在中华人民共和国的法院解决或在中华人民共和国仲裁。
3.承运人责任有关承运人的义务、赔偿责任、权利及豁免适用海牙规则,即1924年8月25日在布鲁塞尔签订的关于统一提单若干规定的国际公约。
4.责任期间承运人的责任期间应从货物装上船舶之时起到卸离船舶之时为止。
承运人对于货物在装船之前及卸离船舶之后,发生的灭失或损坏不负赔偿责任。
5.包装和标志在装船之前,托运人应对货物加以妥善包装、货物标志必须正确、清晰,并须以下不小于五厘米长的字体将目的港清晰地标明在货物的外部,上述标志须能保持到交货时仍然清楚易读。
由于包装和标志的不足或不适当所产生的一切罚款和费用应由货方负担。
6.运费和其它费用(1)预付运费应在装船时连同其它费用一并支付。
运费和其它费用,如已有约定而未预付,则应由货方支付,并自通知缴付运费和其它费用之日起按年息5%加付利息。
装运的货物如系易腐货物、低值货物、活动物、舱面货、以及货物的目的港无承运人的代理人时,其运费和所有其它费用必须在装船时全部付清。
到付运费连同其它费用应在船舶抵达目的港时一并支付。
预付运费和(或)到付运费,无论船舶和货物或其中之一遭受任何灭失或损坏,都应毫无例外地全部付给承运人,不予退回和不得扣减。
(2)一切同货物有关的捐、税或任何费用应由货方支付。

关于货方的定义将发货人、托运人、收货人、受货人、货主、本提单的合法持有人或受背书人,或与货物或本提单具有现时或未来利益关系的任何人,或被授权代表前述任何一方行事的任何人纳入运输合同中与承运人相对应的货方,符合提单流转的需要,保护了船货双方共同的权益,便于双方根据运输合同解决纠纷。
关于‘件’的定义是与提单正面的‘不知条款’相对应的,同时也是为适应海商法有关承运人单件责任限制规定的需要。
即除非提单上已显示了货物件数或者表明了“据称内装”等类似词句,否则由货方装箱的一个集装箱将作为一件计算,这是因为承运人在接受整箱货时是无法核实货物件数,同时整箱货的运费比拼箱货按件数、重量、体积等单位计收的运费低廉。
*本条款中各项定义也适用于条款注释中出现的相关名词。
2. CARRIER\'S TARIFF 承运人的运价本承运人所使用的运价本中的条款以及有关费收的其他要求等项,已被载入本提单。
请特别注意运价本中所载各项条款,包括但不限于免费堆存期、集装箱及车辆滞留期等。
使用的运价本的有关条款,可向承运人或其代理人索取。
如本提单与所用运价本之间有不一致之处,应以本提单为准。
本条是用以说明承运人运价本的作用。
提单正面、背面条款内容虽然十分丰富,但毕竟是固定的格式,不可能经常更改;而且运输合同项下各项费用的收取,结算的依据往往要与具体港口的特殊要求相对应,或者随着市场的变化而变化,所以承运人用运价本的形式对此作出规定。
根据本条款将运价本中的条款并入提单并约束运输合同的各方。
3. SUB-CONTRACTING, INDEMNITY AND CERTAIN DEFENSES, EXEMPTIONS AND LIMITATIONS分立契约、赔偿以及抗辩、免除事项及责任限制(1)承运人有权在任何时间以任何条件将运输的全部或其任何部分同任何分立契约人订立分立契约,并(或)以任何其他船舶或运输工具代替本船。
货方保证,不向承运人以外的由其履行或承办运输的任何人(包括但不限于承运人的受雇人、代理人或分立契约人)就货物或货物运输一事而提起向其或其所拥有或经营的任何船舶加诸或意欲加诸任何责任的索赔或任何法律诉讼,不论此项责任是否由于此种人的疏忽而引起。
如果,即使如此,此项索赔或法律诉讼仍被提起,则货方保证就由此引起的后果包括法律费用,全部赔偿承运人。
在不防碍上述规定的情况下,上述第(1)款所述每一个人或船舶,包括但不限于承运人的受雇人、代理人或分立契约人,都应享有本提单所载适用于承运人的在涉及合同或侵权事件中的每一免除事项、抗辩及责任限制,犹如此种条款已为其利益而明文规定,而且在订立本提单时,就上述免除事项、抗辩及责任限制而言,承运人不仅代表其本身,而且也是作为上述的人或船舶的代理人或受托人.本条就是通常所说的‘喜马拉雅条款’,是提单必须包括的标准条款,其效力也已为海商法、海牙-维斯比规则确认。
本条款主要说明承运人的雇佣人在代表承运人履行承运人的部分或全部义务时同样受提单条款的约束和保护。
由于索赔方与承运人的雇佣人或代理人没有合同关系,所以索赔方往往会绕过运输合同直接向第三人提起侵权之诉。
本条的订立就是为了防止这种情况的发生,使得承运人的雇佣人或代理人同样可以享受承运人根据提单背面条款所享受到免除事项、抗辩及责任限制,例如提单上标明是一件机器设备,货物在港口装卸时受到损害,根据海商法承运人可以享受责任限制同样可以适用于港口装卸人。
1968年的海牙维斯比规则已经吸收这样的规定,我国海商法也是作了相同的规定。
4. CARRIER\'S RESPONSIBILITY 承运人的责任(1)港到港运输如果填注本提单正面第6、7、8栏,而不填注第4、5、9栏,本提单便是港到港契约。
承运人应自其在装货港收到货物之时起即作为承运人而对货物负责,直至在卸货港将货物交与货方或按当地法律或规章要求交与有关当局之时为止,二者之中以先发生者为准。
(2)联合运输如果填注本提单正面的第4、第5及(或)第9栏,而且该栏中所述地点或港口乃是除第7栏及第8栏所列者以外的地点或港口,并已就联合运输支付运费,本提单便是联合运输提单。
承运人负责安排或组织落实联合运输中的前一程运输以及(或)续程运输。
所有由于联合运输而引起的索赔必须在交付货物之日或应当交付货物之日之后九个月内向承运人提出,否则承运人便应被解除其关于货物的任何责任。
如果承运人已就因联合运输而引起的任何索赔向货方支付任何款项,承运人便应自然而然地以代位关系而取得或被赋予货方针对所有其他人包括前一程承运人或续程承运人或分立契约人就此项灭失或损害而享有的权利。
本款所载任何规定都不得视为承运人针对前一程承运人或续程承运人或分立契约人就赔偿或其他事项所享有的任何权利的放弃。
本条第1款和下文第22条第4款都提到将货物交付给除提单的合法持有人以外的港口当局的情况,这一规定是考虑到某些地区例如南美部分国家由海关负责放货的惯例。
本条第二款实际上涵盖了两种情况,即水水联运和多式联运。
本款确定了多式联运下九个月的索赔时效,即索赔应当在货物交付后9个月内向承运人提出,否则承运人便被免除任何有关货物的责任,这一规定的目的仅仅是为适应某些国家关于内陆承运人9个月的责任期限,比如美国Carmack Amendments of the United States Interstate Commerce Act规定: 内陆承运人的责任期限是九个月,而绝非要降低海商法中规定的海上货物运输索赔的1年讼时效的规定。
在实践中往往要根据多式联运中的损失发生区段来作具体分析,比如损失发生在海运段或不能确定则还是应当适用1年的时效。
本条款规定了不同运输方式下承运人对货物的责任期间,与提单正面关于运输开始和结束地点的栏目相对应,使得本提单既可以作为海运提单应用于传统的港到港运输,也可以作为多式联运提单应用于多式联运运输。
总的来讲,承运人对于货物的责任期间都是由承运人接收货物时开始到交付货物时为止的承运人掌管货物的期间,这是与海商法关于集装箱货物的责任期间的规定相一致的。
5. NOTICE OF CLAIM AND TIME BAR 索赔通知及时效(1)除非已在卸货港或交货地点于交货之日以前或交货之日向承运人的代理人提出关于灭失或损害的书面通知,或在灭失或损害不明显时,在交货之日以后15个连续日之内提出上述书面通知,此项交付便应是承运人及(或)续程承运人按本提单所述状况及条件交付货物的初步证据。
(2)除在交付货物或应交付货物之日起一年之内提起诉讼,承运人、其受雇人、代理人及分立契约人便应被解除一切责任。
本条依照海商法规定了货物灭失或损害时货方向承运人提出索赔的方式及时效。
第一款实际上是强调了当货方在提取货物时未提出货物灭失或损坏通知时,则是承运人已完好交付货物的初步证据;对于货物损坏不明显时,则要求货物应在交付后连续15天内向承运人提出书面通知,否则同样作为承运人已完好交付货物的初步证据。
所谓初步证据就是指承运人交付货物、货方未提出异议,初步表明已承运人已完好地履行了运输合同的义务,除非货方可以提出更加充分有力的相反证据以证明承运人应当对货物的灭失或损害承担责任,否则承运人不承担任何责任。
这从本质上讲是一个举证责任移转的问题,即当承运人以完好交付货物的初步证据进行抗辩时,货方就对货物的灭失或损害负有了更加严格的举证责任。
这种规定实际上是为了船货双方的共同利益考虑的,只有及时提出问题,才能及时收集到翔实充分的客观证据。
另外还应指出的是海商法第82条规定货方对于迟延交付的索赔应当在货物交付60日内提出,否则承运人不负任何赔偿责任,这里的60日未提出索赔是绝对的证据,日后提出的任何相反的证据都不足以证明承运人对迟延交付应当承担责任。
本条第二款规定了诉讼时效,本提单适用海商法关于海上货物运输合同诉讼时效为一年的规定,超过诉讼时效货方向承运人提起的诉讼就丧失了胜诉权,诉讼时效的起算是由承运人交付货物或应当交付货物的时间开始。
当然在一些情况下时效也会中断或延展,需要特别指出的是依照海商法第267条的规定,这里的1年诉讼时效不会因货方仅仅提出请求而中断。
货方如果没有在一年中解决与承运人的货物运输纠纷的话,他只有在这一年内通过提起诉讼等手段才可能中断诉讼时效。
