如因乙方产品质量问题导致甲方损失，乙方应承担相应的赔偿责任。

五、保密条款甲、乙双方应对本合同及其履行过程中所涉及的商业信息、技术秘密等保密内容予以保密。

未经对方书面同意，任何一方不得将本合同及其履行过程中所涉及的保密内容向任何第三方透露。

六、违约责任如甲、乙双方中任何一方违反本合同的约定，应承担相应的违约责任。

违约方应向守约方支付违约金，并赔偿因违约给对方造成的损失。

如双方协商不成，可向有管辖权的人民法院提起诉讼。

七、法律适用和争议解决本合同适用中华人民共和国法律。

对于因本合同引起的或与本合同有关的任何争议，双方应首先友好协商解决。

如协商不成，双方同意将争议提交有管辖权的人民法院解决。

八、其他约定1. 本合同自双方签字盖章之日起生效，一式两份，甲、乙双方各执一份，具有同等法律效力。

2. 本合同未尽事宜，由双方另行协商解决。

3. 本合同的修改和补充，需经双方协商一致，并签订书面协议。
