IT IS ON THIS DA TE (24TH JUL Y,2009)MUTUALL Y AGREED BETWEEN THE UNDERSIGNED PARTIES FOR THE FOLLOWING AND CONDITIONS:

即日起双方就租船事宜达成如下协议:

1)PERFORMING VESSEL: 船舶

租家:香港力豪国际有限公司

4)CARGO: 60,000 MT STEAM COAL, +/- 10% MOLOO

货物:六万吨动力煤,10%满溢由船东决定

5)LAYCAN: 5 th August ~12 th August 2009

装运期:2009年8月5日至20009年8月12日

6) LOADING/DISCHARGING PORT:

DISCHARGING PORT: FUZHOU, CHINA

装货港:Taboneo Open Sea at 03 41, 5 S & 114 26, 5 E

卸货港:福州港江阴港区国电福州江阴电厂7万吨级煤码头

7) FREIGHT: FIO 11.8 USD BSS 1/1

运费: 11.8 USD 美元每吨船东不负责装卸,基于一港装一港卸

7.1) 30% OF TOTAL FREIGHT AS DEPOSIT SHOULD BE PAID BY CHARTERERS WITHIN THREE BANKING DAYS TO OWNER’S NOMINA TED BANK ACCOUNT UPON THIS FIXTURE NOTE IS SIGNED BY BOTH PARTIES. IF NOT ON TIME, THE CHATERER SHOULD BE SEEN AS VIOLATING CONTRACT AND SHOULD HOLD ALL RESPONSIBLE FOR OWNER’S LOSS.

租家应于合同签订后三个银行工作日内将订金(总运费的30%)汇入船东指定银行帐户。如不按时支付,租家将被视为违约,由此造成的一切损失由租家承担。

7.2) FULL FREIGHT LESS DEPOSIT WILL BE PAID WITHIN 3 BANKING DAYS AFTER COMPLETION OF LOADING FREIGHT PAY ABLE AS PER CHARTER PARTY, BUT ALWAYS BEFORE BREAK BULK DISCHARGED.

剩余运费应在装货完成后三个工作日内付清。租家可在此期限内选择具体付款日期,但无论如何剩余运费都应在卸货前付清。

7.3) FREIGHT DEEMED EARNED ONCE CARGO ON BOARD, NON-RETURNABLE, NON-DEDUCTABLE, WHETHER CARGO/VESSEL LOSS OR NOT.

一旦货物装船,无论货物灭失与否,运费都不能返还,不能折扣。

7.4) OWNER’S BANK ACCOUNT(T/T Remittance route USD)

8) LOADING/DISCHARGING RATE: 装卸率

10,000 MT PWWD SHINC. AT LOADING;

装率:10,000 吨每晴天工作日,包括周日和节假日

15,000 PWWD SHINC AT DISCHARGING 。LOAD CARGO WITH CRANE WITH NO CHARGE.

卸率:15,000 吨每晴天工作日,包括周日和节假日

免费用船吊装货。

9) DEMURRAGE: 30,000 USD PD PR/DHD WTS AT BENDS. DESPATCH:USD10,000.00, PD PR/DHD WTS AT BENDS.

滞期费:30,000 美金每天不足一天按一天计算。速遣费1万美金。不足一天按一天计算。

9.1)IF ANY AT LOADING PORT TO BE SETTLED TOGETHER WITH FREIGHT BEFORE BREAK BULK AND DEMURRAGE AT DISCHARGING PORT TO BE SETTLED W/I THREE (3) BANKING DAYS AFTER COMPLETION OF DISCHARGE.

装货港产生的滞期费应与运费一起在卸货前付清。卸货港产生的滞期费应在卸货完成后三天内付清。

10) OWN ER’S AGENT A T LOADING PORT。CHARTER’S AGENT AT DISCHARGING

PORT.

装港代理由船东指定。卸港由租方指定代理。

11) NOR TO BE TENDERED WHEN VSL ARRIVE AT P/S OF L/D PORT, LAYTIME TO BE COMMENCED AT 1300LT IF NOR TENDERED BEFORE AND INCLUDE 1200LT,AND TO BE COMMENCED AT 0600LT NEXT DAY IF NOR TENDERED AFTER 1200LT.UNLESS SOONER COMMENCED IUA TUTC

当船舶到达装卸港引航站时将出具装船通知。如装船通知在当地时间12:00前(包括12:00)出具,则装运时间应从当地时间13:00开始起算,如装船通知在当地时间12:00后出具,则装运时间从次日6:00开始起算。

12) CHARTERER GUARANTEE THAT CARGO AND THE DOCUMENTS MUST BE

READY FOR LOADING BEF ORE VESSEL’S ARRIV AL AND COMMENCE LOADING W/I4 WWDS SHINC UPON NOR TENDERED. IF VESSEL FAILS TO COMMENCE LOADING AS PROMISED BY CHARTER, CHARTERER SHOULD PAY DEMURRAGE30,000 USD /DAY EVERY 3DAYS ADV ANCE .OTHERWISE OWNER HAS RIGHT TO WITHDRAW THE VESSEL WITH NOTICE BY TELEX OR FAX WITH THE DEPOSIT EARNED.IF LAYTIME RUN OUT VESSEL ENTERS DEMURRAGE,CHARTERERS SHALL PAY OWNER DEMURRAGE 30,000 USD DAY EVERY 3 DAYS, FAILING WHICH,OWNER HAS RIGHT TO WITHDRAW THE VESSEL WITH DEPOSIT EARNED.

在船舶到港前,租家应保证货物和资料已经备妥,并在船方出具装船通知后四个晴天工作日内(包括周日,节假日)开始装载货物,若船舶没有在原预先约定时间内开始装货,租家应每3天预付30,000 美元/天的滞期费,否则船东有权以电传或者传真形式进行通知后撤船并没收保证金。如果LAYTIME时间用完,船舶进入滞期,租家应每3天预付30,000美元/天的滞期费,如果没有做到,船东有权撤船并没收定金。

13) SHORE CRANE AT L/D PORT TBF CHRTRS ACCT. (GRAB BUCKET TO BE ARRANGED BY OWNER AND ON OWNER ACCT)。

装卸港岸吊由租家负责安排并承担相关费用(抓斗由船东负责安排并承担相关费用)。

14) WHARFAGES/TAXES/DUES, IF ANY ON CGO TBF CHRTRS ACCT; SAME ON VSL/FRT TBF OWRS ACCT.

和货物有关的税费等由租家承担,和船有关的税费等由船东承担。

15)OWNER’S MASTER TO GIVE AGENT AND CHARTERER’S VESSEL ETA NOTICE 5/3/2/1 DAYS BEFORE VSLS ARRIV AL AT LOADING PORT.

船长给租家按5/3/2/1将预计到港时间发给代理。

16) L/S/D IF ANY, TO BEF CHRTRS ACCT.

捆扎,加固和垫舱费用由租家承担。

17) SHIPSIDE TALL Y TBF OWRS ACCT, DOCKSIDE TALL Y TBF CHRTRS ACCT.

船边理货费用由船东承担,岸边理货费用由租家承担。

18) LIGHTERAGE/LIGHTERING IF ANY TBF CHRTRS ACCT

驳运费由租家承担。

19) SHIFTING IF ANY TBF CHRTRS ACCT

如需转移锚地,则相关费用有租家承担。

20) ARBITRATION: IF ANY TO BE SETTLED IN THE PLACE OF FLAG OF VESSEL WITH ENGLISH LAW TO APPL Y.

仲裁:在船籍所在地以英国法律仲裁

21) OTHERS AS PER GENCON C/P 94

其他条款根据GENCON C/P 94合约

22) THE ABOVE CONTRACT WILL BE SIGNED BY FAX AND HAS THE SAME FIRCE AND EFFECT AS ORIGINAL CONTRACT.

以上合同以传真形式签订,并且与原件合同有同等法律效力

23) IF ANY THE ENGLISH VERSION AND THE CHINESE VERSION DIFFER, THE ENGLISH VERSION SHALL PREV AIL.

若合同中英文版本有所出入,应以英文合同为准。

24) 0.4USD/MT COMMISSION TO

佣金0.4 USD/MT

25) OWNER PERFORM TO DISPA TCH THE MASTR VESSEL AFTER RECEIVING THE ADV ANCE PAYMENT.

船东在收到定金后派遣船舶。
