信用证（letter of credit）是指由买方的银行以买方的名义，向卖
方的银行发出的一种有关国际贸易的支付方式。

它的原则是：买方的银行
承诺支付给卖方指定金额的钱，只要卖方能够提供指定的货品或服务证明，并满足其他条款。

信用证的出现有助于加强买卖双方的信任，确保交易的
安全性。

信用证是保证国际贸易支付的重要手段。

买卖双方中，买方希望确认
购买的货物是否满足约定标准，也希望卖方能够按时到货；而卖方希望保
证货款的安全，也希望能够与买方建立更长久的合作关系。

信用证能够双
方都满足其所需。

一般地，一个信用证包含了四方的信息，即卖方和买方，以及卖方和
买方的银行。

在贸易过程中，卖方向买方发货的时候，卖方的银行必须先
获得买方银行的确认，买方的银行才会向卖方支付货款。

卖方银行开出的
信用证是对卖方的一种担保，如果买方的银行没有严格按照信用证的条款
支付，卖方的银行有权要求买方支付损失。

所以，信用证是保障国际贸易
交易安全及双方利益的重要保证措施。

保函的提单，而无法凭借提单向承运人提货，因此出具保函以证明收货人的身份；保函的作用在凭保函交付货物的情况下，收货人保证在收到提单后立即向船公司交回全套正本提单，承担应由收货人支付的运费及其他费用的责任，对因未提交提单而提取货物所产生的一切损失均承担责任，并表明对于保证内容由银行与收货人一起负连带责任。

关于保函的法律效力，海牙规则和维斯比规则都没有作出规定，考虑到保函在海运业务中的实际意义和保护无辜的第三方的需要，汉堡规则第一次就保函的效力问题作出了明确的规定，保函是承运人与托运人之间的协议，不得对抗第三方，承运人与托运人之间的保函，只是在无欺骗第三方意图时才有效；如发现有意欺骗第三方，则承运人在赔偿第三方时不得享受责任限制，且保函也无效。

保函的当事人及其权责1、委托人（Principal）是向银行或保险公司申请开立保函的人。

委托人的权责是（1）在担保人按照保函规定向受益人付款后，立即偿还担保人垫付的款项。

（2）负担保函项下一切费用及利息。

（3）担保人如果认为需要时，应预支部分或全部押金。

2、担保人（Guarantor）是保函的开立人。

担保人的权责是：（1）在接受委托人申请后，依委托人的指示开立保函给受益人。

（2）保函一经开出就有责任按照保函承诺条件，合理审慎地审核提交的包括索赔书在内的所有单据，向受益人付款。

（3）在委托人不能立即偿还担保行已付之款情况下，有权处置押金、抵押品、担保品。

如果处置后仍不足抵偿，则担保行有权向委托人追索不足部分。

3、受益人（Beneficiary）是有权按保函的规定出具索款通知或连同其他单据，向担保人索取款项的人。

受益人的权利是：按照保函规定，在保函效期内提交相符的索款声明，或连同有关单据，向担保人索款，并取得付款保函的种类及功能银行保函包括履约保函、不上网保函、上网保函、预付款保函、投标保函、维修保函、预留金保函、税款保付反担保函、海关风险保证金保函等。
