PURCHASE AND SALE AGREEMENT 购销合同

This Purchase and Sale Agreement (the "Agreement") is made and

entered into as of [Date] between [Seller] (the "Seller") and [Buyer] (the

"Buyer").

WHEREAS, the Seller is engaged in the business of selling

[Product/Commodity], and the Buyer desires to purchase

[Product/Commodity] from the Seller.

NOW, THEREFORE, in consideration of the mutual covenants and

promises contained herein, the Seller and Buyer agree as follows:

1.1 The Seller agrees to sell and deliver to the Buyer, and the Buyer

agrees to purchase and accept delivery of [Product/Commodity] in

4. WARRANTIES AND DISCLAIMERS 保证与免责

delivered under this Agreement shall conform to the specifications and shall

be free from defects.

4.2 Disclaimer: Except as expressly stated in this Agreement, the Seller

disclaims all other warranties, whether express or implied, including but not

limited to the implied warranties of merchantability and fitness for a

particular purpose.

5. GOVERNING LAW AND JURISDICTION 适用法律与管辖权 5.1 Governing Law: This Agreement shall be governed by and construed

in accordance with the laws of [Jurisdiction].

5.2 Jurisdiction: Any disputes arising out of or in connection with this

Agreement shall be submitted to the exclusive jurisdiction of the courts of

6. CONFIDENTIALITY 保密

6.1 Both parties agree to keep confidential any proprietary or

confidential information disclosed during the negotiation and performance

of this Agreement.

7. ENTIRE AGREEMENT 完整协议

7.1 This Agreement constitutes the entire agreement between the Seller

and Buyer and supersedes all prior negotiations, understandings, and

agreements, whether oral or written.

Agreement between the Seller and the Buyer concerning

the purchase and sale of goods according to the terms and

conditions set out below.
