TENANCY AGREEMENT

I. Landlord : (hereinafter referred to as Party A)

II. Tenant: (hereinafter referred to as Party B)

(b) I.D.No./ Registration No.

(c) Address

III. Tenancy:

Party A shall let and Party B shall take the premises and its facilities situated in (Unit),

(Floor) (Tower) (Building) (District) Beijing,People’s Republic of China with an area of about square meters for (residential/office) use in clean and tenantable condition.

IV. The Term :

4.1 A period of years commencing on (Date) and expiring on (Date) (both days inclusive). The term can be extended for month(s) upon expiration of the tenancy.

4.2 Upon expiration,Party A is entitled to recover vacant possession of the premises. Party B must return the premises on or before the expiry date. Party B can apply for tenancy renewal by giving 3 months advance written notice to Party A.

V. Rent :

5.1 The monthly rental is USD/HKD/RMB (inclusive/exclusive of management fee).

5.2 Rental payment is settled for every month and is to be paid within 10 days before the beginning of every consecutive calendar month. If Party B

defaults to pay rent,Party A has the right to claim for interest at the rate of 0.5% of daily rent. If Payment is overdue over 30 days,Party B shall be regarded as terminating the tenancy automatically and Party A is entitled to claim for the liquidated damages pursuant to Clause 9.2 herein contained.

5.3 The rent is payable in USD or other foreign currency. But other foreign currency must be payable by remittance. If the rent is payable by cheque or in cash,all charges incurred will be borne by Party B.

5.4 The rent cannot be increased during the term of this Tenancy Agreement.

VI. Deposit :

6.1 Party B shall within 10 days after the signing of this tenancy have paid to Party A in the amount of USD/HKD/RMB being 3 months' rent as security deposit. Upon expiration of the tenancy,Party A refund the security deposit without interest.

6.2 If Party B terminates the tenancy,the security deposit will be forfeited. Party A is also entitled to claim for liquidated damages as contained in Clause 9.2.

6.3 If Party B infringes any stipulation as set out in Clause 9 during the tenancy and then Party A cannot receive rent as specified in this Agreement or bear any cost incurred,Party A shall be entitled to deduct all or any part of the security deposit. Party B shall pay to Party A the balance sums within 10 days to maintain the deposit at 3 months’ rent after receiving the notice issued by Party A.

6.4 At the expiration of the tenancy,Party A shall refund the security deposit to Party B without interest within 30 days after Party B shall have surrendered to Party A vacant possession of the premises PROVIDED that Party B shall have settled all rental payment and shall have no breach of any stipulation as contained in clause 9 .

6.5 The security deposit is payable in USD or other foreign currency. But other foreign currency must be payable by remittance. If the deposit is paid by
