This Engineering Contract (the "Contract") is made and entered into on [Date] y and etween

[Comany A], with its registered office at [Address], hereinafter referred to as "Emloyer," and

[Comany ], with its registered office at [Address], hereinafter referred to as "Contractor"

(together the "arties").

The arties, recognizing the need for a clear and comrehensive agreement to govern their

1. SCOE OF WORK

1.1 The Contractor shall rovide engineering services for the design, construction, and

1.2 The Emloyer shall rovide all necessary information and access to facilitate the comletion

of the work according to the agreed-uon secifications and schedule.

2. QUALITY AND STANDARDS

2.1 The Contractor guarantees that all work erformed under this Contract shall conform to

the standards set forth in Exhiit and any alicale laws and regulations.

2.2 The Emloyer shall have the right to insect and audit the Contractor's work to ensure

comliance with the stated quality and standards.

3. TIMELINE

3.1 The Contractor shall commence the work on [Start Date] and comlete it y [End Date],

unless otherwise agreed in writing y the arties.

3.2 In case of delays caused y the Emloyer or external factors eyond the Contractor's control,

the timeline may e adjusted accordingly after mutual consultation.

4. COMENSATION AND AYMENT

4.1 The total comensation for the work erformed under this Contract shall e [Sum in Words

and Numerals], ayale in accordance with the ayment schedule outlined in Exhiit C.

4.2 The Emloyer shall make ayments to the Contractor uon the sumission of valid invoices

and comletion of milestones as defined in Exhiit C. 5. CHANGES AND AMENDMENTS

5.1 Any changes to the scoe of work, timeline, or comensation shall e made ursuant to a

written amendment to this Contract, which requires the mutual agreement of oth arties.

5.2 The Contractor shall romtly notify the Emloyer of any issues that could affect the work's

quality, cost, or schedule.

6. RISK ALLOCATION

6.1 The arties shall allocate risks associated with the roject as detailed in Exhiit D. The

Contractor shall take all reasonale recautions to mitigate identified risks.

6.2 Insurance requirements for oth arties are secified in Exhiit E, including liaility insurance

and insurance against otential damages or losses.

7. GOVERNING LAW AND DISUTE RESOLUTION

7.1 This Contract shall e governed y and construed in accordance with the laws of

[Jurisdiction Name].

7.2 Any disute arising out of or related to this Contract shall first e addressed through

negotiation etween the arties. If negotiation fails, the disute shall e resolved y [Method of

Disute Resolution], as detailed in Exhiit F.

8. TERMINATION

8.1 Either arty may terminate this Contract uon written notice to the other arty in the event

of a material reach of the Contract terms or if the other arty ecomes insolvent or ankrut.

8.2 Uon termination, the arties shall settle any outstanding ayments and return any

confidential information to each other.

9. MISCELLANEOUS

9.1 This Contract reresents the entire agreement etween the arties and suersedes all rior

negotiations, reresentations, and agreements. Any amendments must e in writing and

signed y oth arties.

9.2 No waiver y either arty of any rights under this Contract shall e effective unless in

writing and signed y the arty intended to e ound.

9.3 This Contract may not e assigned y the Contractor without the rior written consent of

the Emloyer.

1 第1部分 1般条款

定义

第1条 （1）在合同中，除合同内容另有要求外，下列词定义如下冒号

（１）“业主”，名称将在第2部分中具体标明，指雇用承包人的1方，或业

主的法定继承人，未经承包人同意，不包括业主的受让人。

（２）“承包人”指标书被业主接受的投标人或投标公司，包括承包人的私人

代表，继承人和经业主同意的受让人。

（３）“工程师”指第2部分中确定的工程师人选，或经书面通知承包人，由

业主随时任命的代行工程师职责的工程师人选。

（４）“工程师代表”指任何常驻工程师、工程师助手，或由业主或工程师任

命履行第2条规定的职责的人选。对工程师代表的授权应由工程师书面通知承包人。

（５）“工程”包括永久性工程和临时性工程。

（６）“合同”包括合同条款、技术规范、图纸、标价的工程量表、单价或价

格表、标书、接受证书和合同协议（如已完成）。

（７）“合同价格”指在接受证书中确定的数额，可按合同条款的规定增减。

（８）“建筑设备”包括施工和维修所需的全部设备，但不包括构造永久性工

程的材料。

（９）“临时性工程”指施工和维修所需的各种临时工程。

（１０）“永久性工程”指按合同将施工和维修的永久工程。

（１１）“技术规范”指在标书或标书修正中确定的规范，也包括由工程师提

供或书面同意增加的部分。

（１２）“图纸”包括技术规范中包含的图纸，经工程师书面同意的对图纸的

修正，以及由工程师提供或书面同意的其他图纸。

（１３）“现场”指建筑工程师设计的永久性或临时性工程所需的土地及其他

场地，以及业主提供的施工所需土地或场所、或其他合同中规定构成现场的部分。

（１４）“同意”指书面同意，包括随后对口头同意的书面确认。

（2）合同内容需要时，单数表示的词也包括复数的含义，反过来也是这样。
