翻译合同书
Translation Contract
甲方：

乙方：大连XX翻译服务有限公司
Party B: Dalian XXl Translation Service Co., Ltd.
甲乙双方本着平等合作、互惠互利的原则，经协商，达成以下协议：
The following agreement is entered into between Party A and Party B through their negotiation made in the principle of fair cooperation and mutual benefit:
1、甲方委托乙方翻译一份文资料，由乙方负责将该资料翻译成甲方所要求的文稿件。本批资料预计中文字符数为，合计翻译费用为人民币元整。
1 Party B is committed by Party A to translation an document, and Party B is responsible to translate such document into version required by Party A. The expected Chinese characters in such document are words. The total translation fee is RMB yuan.
2、译文交付时间：甲方在年月日提供文原稿，乙方在年月日点前交付甲方全部的文译稿。
2 Time of delivery of translation version: Party A will provide the original script on , and Party B will deliver all of the version required by Party A by .
3、译文交付方式：电子版1份，打印版一份。
3 Version delivery: one copy of electronic version and one printing version.
4、乙方按甲方提出的要求，保证译文内容忠于原文及文本格式达到标准，并按时完成翻译工作，在原文不变的情况下，甲方有权要求乙方修改和审核译文，直至甲方认可。
4 As required by Party A, Party B shall ensure that the translation version is consistent with the original script and the text format is standard and that the translation is completed on time. Party A has the right to ask Party B to amend and review the translation version until it is
recognized by Party A, at the condition that the original script is not changed.
5、付款方式：甲方首次将稿件交付给乙方翻译时，由甲方付给乙方该批文件的翻译费的50％（计元）；尾款（计：元）在甲方收到译稿的同时支付。
5 Payment: Party A will pay 50% of the translation fee (which is RMB yuan) for such document to Party B at the time when Party A first delivers the script to Party B, and the rest of payment (which is RMB yuan) will be paid when Party A receives the translation version.
6、乙方有义务用法律和经济手段管理自己的翻译人员，确保甲方资料的保密性，译文交付甲方后，在甲方监督实施下，乙方将不再以任何方式保留原文和译文。
6 Party B is liable to manage his own translators by legal and economic means and ensure the confidentiality on Party A’s document. Party B will not keep the original script and translation version in any forms under Party A’s supervision after the translation version is delivered to Party A.
7、乙方如未能按时交付全部翻译资料，每推迟一天，则按该批稿费的10％赔偿给甲方造成的经济损失；如甲方不能按合同所规定的时间向乙方支付稿件的翻译费，每推迟一天，则乙方亦有权向甲方索取该笔翻译费的10％作为违约金。如因乙方未能履行合同或翻译有误而给甲方造成经济损失的，甲方有权向乙方索取因此而造成的经济损失作为赔偿（以此次翻译费用的全额为限）。
7 Party B’s failure to deliver all of the translation version on time will result in a compensation of 10% of translation fee for such document for economic loss to Party A, per day delayed. Party A’s failure to pay the translation fee for such script to Party B on the time specified in the contract will result in Party B’s entitlement to claim for a compensation of 10% of translation fee for contract breach against Party A, per day delayed. Party A has the right to claim for compensation for economic loss caused thereof (up to full amount of translation fee), provided that Party B fails to perform the contract or the translation is not correct and it causes economic loss to Party A.
8、双方因履行本协议发生争议的，双方应本着友好协商的原则协商解决。
8 Any disputes between both parties that arise from performance of the agreement shall be
solved through amicable negotiation between both parties.
其他未尽事宜，双方协商解决。本合同一式两份，甲乙双方各执一份，双方签字或盖章后生效。

Other matters not included in the agreement are solved through negotiation between both parties. This contract is made in two duplicates, and each of them is kept respectively by Party A and Party B. It becomes effective after signed or stamped by both parties (the faxed copy is valid).
