2.2如果乙方希望扩大销售和推广范围，需提前向甲方提出申请并获得甲方的书面同意。
2.3甲方有权根据市场情况调整乙方的独家代理区域，并在合理通知期内进行协商。
第三条：销售义务3.1乙方应尽最大努力推广和销售甲方的产品/服务，并达到商定的销售目标。
乙方应维护甲方产品/服务的声誉和形象。
3.2乙方应按照甲方规定的价格和销售政策销售产品/服务，并及时向甲方汇报销售情况及收益。
3.3乙方不得代理、销售与甲方产品/服务相竞争的其他品牌或产品，否则甲方有权终止本协议并追究乙方的违约责任。
第四条：价格与支付方式4.1甲方将向乙方提供产品/服务的价格表，并保留单方面调整价格的权利。
4.2乙方应按照甲方规定的支付方式及时支付产品/服务的货款。
4.3甲方有权根据市场情况要求乙方降低价格或提供折扣，并在合理通知期内进行协商。

2.4 甲方保证其提供的产品/服务符合法律法规的要求，并提供必要的技术支持和培训，以确保乙方能够有效地销售和推广相关产品/服务。
第三条独家权益3.1 在本协议有效期内，甲方不得在指定地区内与任何其他个人/公司签订与本协议相冲突的代理协议。
3.2 甲方不得自行在指定地区销售相关产品/服务，除非经乙方允许或者根据本协议约定的情况。
3.3 乙方有义务采取一切必要措施，保护甲方的商业利益和知识产权，防止他人侵犯。

According to actual producing situation but it shall within days maximum.9. 商情报告Market Report为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。
乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。
In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc. of the goods supplied by Party A under this agreement. Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.10. 广告及费用Advertising and Expenses根据乙方的销售活动和市场运作活动计划甲方有义务向乙方提供广告支持，包括提供样本，宣传册，电子版样本和大型的广告图画等。
乙方负担本协议有效期内在上述区域内销售代理商品做广告宣传的一切费用，并向甲方提交所用于广告的声像资料，供甲方事先核准。
Concerned advertisement material for party B including supplying catalogues, leaflets, documents and big advertisement pictures.Party B shall bear all expenses for advertising and publicity in connection with the commodity in question in territory within the validity of this agreement, and shall submit to Party A all audio and video materials intended for advertising for prior approval.11.技术支持和培训条款：Technology support and training terms:11.1技术资料支持：甲方应向乙方提供较为详细和精准的图册和电子版。
Technical Support: party A provides party B a more detail and accurate books and electronic components.11.2技术培训：甲方有对乙方售后技术人员来国内进行维修技术培训的义务。
Technical training：party A has the obligations to train party B’s after-sale technical personnel.12. 工业产权Industrial Property Rights12.1 在本协议有效期内，为销售有关产品，乙方可以使用甲方拥有的商标，并承认使用于或包含于产品中的任何专利商标、版权或其他工业产权为甲方独家拥有。
一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。
Party B may use the trade-marks owned by Party A for the sale of the product covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the product shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.12.2 乙方不得申请注册附件一所列商标或者申请与其商标相同或相似的商标。
未经甲方专门允许的情况下，乙方在任何时候都不得表述其拥有商标的权利和商标所有权。
乙方必须同意不作出任何损害商标权利或所有权的行为或事件。
