就在我方正在备货期间,丹麦商人通过通知行传递给我方一份信用证修改书,内容为将保险金额改为发票金额的 120%。
我方没有理睬,仍按原证规定投保、发货,并于货物装运后在信用证交单期和有效期内,向议付行议付货款。
议付行审单无误,于是放款给受益人,后将全套单据寄丹麦开证行。
开证行审单后,以保险单与信用证修改书不符为由拒付。
试问:开证行拒付是否有道理?为什么?答:按照国际惯例《跟单信用证统一惯例》的相关规定,信用证经过修改后,银行即受该修改后的信用证的约束。
出口商可自行决定修改内容或拒绝修改,但其应发出是否同意修改的通知。
当出口商告知其接受修改之前,原证对开证行继续有效,即原证的条款对出口商仍具有约束力。
但如果出口商未发出接受或拒绝的通知,而其提交的单据与原证的条款相符,则视为出口商拒绝其修改;如果出口商提交的单据与经修改后的信用证条款相符,则视为出口商接受了其修改。
从这时起,信用证就被视为已经修改。
总之,出口商是否同意修改的信用证;可以用在结汇提交单据时来表示。
在本案中,我公司在收到有关信用证修改的通知后,并未发出接受或拒绝修改的通知,而且在交单时向银行提交了符合原信用证规定的单据,受益人以其行为作出拒绝信用证修改的表示,原信用证的条款对受益人仍然有效,信用证的修改因未获得受益人的同意而无效。
因此,开证行审单后,以保险单与信用证修改书不符为由拒付是不合理的。
案例二承兑交单(D/A)项下产生的拖欠[案情]某年春交会,广东某进出口公司(以下称广东公司)与埃及HUSSEIN公司建立了业务关系,HUSSEIN公司向广东公司订购了近3万美元的货物,双方同意以信用证方式结算。
初次合作较为愉快,广东公司及时地收获了货款。
之后,HUSSEIN公司继续向广东定购货物,货物总值达26万美元。
这次,HUSSEIN公司提出了D/A60天的付款方式,要求广东接受。
广东公司急于开发市场,接受了HUSSEIN公司的付款要求。
货物发出后,广东公司及时议付单据,HUSSEIN公司承兑了汇票并接受了货物,可是,汇票到期之日,该公司前奏付款。
广东公司在自行催收一年之后,HUSSEIN公司期货物质量有问题,不符和当地市场需求,货物仍未售出等为由,坚决拒付货款。

请问,这个案例给我们在规避与防范风险方面有什么启示?答案:这个案例给我们如下启示:1.中东市场需求大,对买方来说,固然是一件好事。
不过,卖放应对买方的销售能力商业信誉、偿还意愿和偿还能力有和全面的了解,切不可为了满足客户的不合理需求而盲目发货。
2.中东市场环境复杂,贸易纠纷多。
如果货值较高,全额采用 D/A 支付方式,卖方的风险太高。
最好按一定百分比采用预付款、L/C 和跟单托收等相结合的支付方式,降低卖方的风险,减少可能发生的损失。
3.拖欠发生后,一定要采取有效措施及时进行催收。
否则,对方的经营状况一旦发生恶化,欠款便很难收回。
4.承兑交单(D/A)下产生的风险和损失不亚于赊销方式,我国进出口企业慎重采用承兑交单支付方式。
案例三我国江苏省南通市某轻工产品进出口公司向外国某公司进口一批小家电产品,货物分两批装运,支付方式为不可撤销议付信用证,每批分别由中国银行某分行开立一份信用证。
第一批货物装运后,卖方在有效期内向银行交单议付,议付行审单后,未发现不符点,即向该商议付货款,随后中国银行对议付行作了偿付。
南通公司在收到第一批货物后,发现货物品质不符合同规定,进而要求中国银行对第二份信用证项下的单据拒绝付款,但遭到中国银行的拒绝。
试问,中国银行这样做是否有理?为什么?答案:信用证是一种银行开立的有条件的承诺付款的书面文件。
对出口商来说,只要按信用证规定条件提交了单据,在单单一致、单证一致的情况下,即可从银行得到付款;对进口商来说,只要在申请开证时,保证收到符合信用证规定的单据即行付款并交付押金,即可从银行取得代表货物所有权的单据。
因此,银行开立信用证实际是进行单据的买卖。
此外,开证行与受益人之间的关系属于一种对双方都有约束力的合同关系。
这种合同关系约束开证行应在对单据做出合理审查之后,按照信用证的规定,承担向受益人付款的义务,而不受买卖双方买卖合同或者开证行和买方依开证申请书成立的合同以及其它合同的影响。
因此,在本案中,中国银行这样做是合理的。
案例四信用证与装船前汇付结合使用的风险[案情]中国某出口商A公司与印度进口商B公司签订一份出口合同,货物为1X20’集装箱一次性打火机,机身大小须与形状与客户提供的样品一致,总价值为4.80万美圆。
付款方式为70%由即期信用证支付,剩余30%的货款须不得晚于货物装船前十天以电汇方式支付。
B 公司不日内即开来相关信用证,经我方审核且确定可以被接受后,A公司即投入生产备货,在货物即将生产完毕之前,预定了船期并随后通知了B公司,B公司始终并未办理汇付,A 公司的手中虽有一份70%货款的信用证,但无法如期装运,又因此批打火机是根据客户的特殊要求生产的,一时无法转售其他客户,只得积压在库,给A公司带来巨大的经济损失。

答案:这起损失案的主要原因在于出口商采用“信用证与装船前汇付结合”的支付方式。
一般地,出口合同中支付方式规定,X%货款由信用证支付,剩余 Y%(一般为 20-30%,下同)货款应由进口商在不晚于货物装船前若干天通过汇付方式支付给出口商。
一般情况下,进口商会先开来信用证,然后在货物装船前若干天办理汇付,出口商收到货款或汇出行出具的汇付收据后将货物按时装船,然后向银行递交全套单据办理议付。
但是,如果进口商借故不办理汇付,出口商将无法按时发货,导致信用证过期失效,已生产完毕的货物积压,从而使出口商遭受重大经济损失。
