东北大学工商管理学院关于管理科学与工程专业博士研究生发表学术论文量化标准的规定（2008年5月修订）凡攻读管理科学与工程一级学科博士研究生申请博士论文答辩，必须遵循有关发表学术论文量化标准的规定。

东北大学工商管理学院刘烨，李凯沈阳工业学院秦丽娜摘要：公司治理结构理论发展至今，研究所涉及的问题很多。

本文从对公司治理结构概念的定义与问题的实质分析出发，比较和述评了两种不同的公司治理机制，引申出发达市场经济国家中公司治理结构演化的可能趋势。

这种演化的方式可能会相当不同，体制上的趋同将会是一个漫长的演化过程，而这些恰恰对于转轨经济中的我国有一定的启示。

关键词：公司治理结构理论综述从思想渊源上看，公司治理最早可追溯到亚当·斯密。

在其著名的《国富论》一书中，认为股份公司中的经理人员使用别人而不是自己的钱财，不可能期望他们会有像私人公司合伙人那样的悟觉性去管理企业......因此，在这些企业的经营管理中，或多或少地，疏忽大意和奢侈浪费的事总是会流行。

实际上，它已经触及到了公司治理所要解决的一个核心，即代理问题，它源于经理人员与投资者间潜在的利益不一致。

而Ｂerle和Ｍeans(1932)在其《现代公司与私有财产》一书中则第一次明确提出了“所有权与控制权分离”的观点。

股东与经理人之间的这种委托代理关系使大多数的经济学家和法学家相信：公司治理应该更关注保护股东的利益。

然而，近年来几次大的金融危机和诸多的大公司财务丑闻已经让人们意识到这种观点的狭隘所在。

斯坦福大学的钱颖一教授(1995)曾经具体地指出：公司治理结构是用以处理不同利益相关者即股东、贷款人、管理人员和职工之间关系,以实现经济目标的一整套制度安排。

它包括：(1)如何配置和行使控制权；2)如何监督和评价董事会、经理人员和职工；(3)如何设计和实施激励机制。

良好的公司治理结构能够利用这些制度安排的互补性质, 并选择一种结构来降低代理人成本。

到了20世纪初，随着规模巨大的开放型公司的大量出现，这一问题已经相当突出。

一、公司治理结构概念的定义与问题的实质关于公司治理或公司治理结构的概念，最初由国外引进，其英文是“Corporate Governance”。

在此背景下，消费者的消费需求也发生了变化，其除了重视商品的质量、价格和性价比，还开始逐渐重视商品为消费者带来的象征性价值和消费体验。

因此，企业在设计和生产商品时要注意从各个方面提升商品对消费者的吸引力。

一方面，消费者对不同的商品有不同的品牌感知价值和品牌喜好，因此品牌的成功在于消费者是否对商品有正面的品牌感知价值。

另一方面，正面的商品品牌感知价值对于企业树立良好的企业形象、形成良好的口碑具有积极的作用。

基于此，本文首先提出理论假设，然后构建品牌感知价值与消费者重复购买意愿的模型，之后引入消费者情绪作为中介变量，从而通过研究青年消费者重购意愿与品牌感知价值各维度之间的关系，揭示消费者情绪在消费者重复购买决策中所起的作用。

东北大学工商管理学院奖学金评比细则一、评比程序1、奖学金评比本着公正、公平、公开的原则进行。

2、要求成立考核小组和评比小组。

班级成立奖学金评比小组，由班长、支书、副班长、学委和一名非班委成员组成。

评定小组一般由辅导员任组长，年级主席任副组长，学习部长任组员，负责执行奖学金评比结果。

3、考核小组负责对全班同学的德智体综合成绩地考核计算。

4、考核小组应将评比的结果向全班同学宣布，征求意见，并汇报评定小组。

平均分=∑考试（考查）课成绩*学分/∑学分考查课成绩计分如下：优=95；良=85；中=75；及格=652．德育考核标准（16%）（1）思想政治素养（满分100分*3%，团支书给分，评定小组有监督、评估权力）满分要求：坚持四项基本原则，思想积极要求进步，健康向上，不参加各种邪教组织，非法活动及迷信活动，认真参加政治理论学习，积极参加各项思想教育活动，团结同学。

每人基础分80分，无故不参加党、团支部学生会议，党、团支部活动及政治理论学习（党，团校学习）者每人次扣10分，积极参加者加10—15分，参加各种邪教组织，非法活动及迷信活动者为0分。

（2）集体活动出勤（满分100分*3%，班长给分，评定小组有监督、评估权力）满分要求：热爱集体，积极参加各项集体活动，没有无故不参加各种集体活动的现象。

班会等班级活动缺席一次扣5分，年级和学院活动（年级大会等）缺席每次扣10分。

（3）公益劳动（满分100分*3%，副班长给分，评定小组有监督、评估权力）满分要求：自觉参加院，校及年级组织的各项公益劳动，能准时保质保量地完成任务。

1）自觉参加扫雪等公益活动（满50分），无故不参加者每次扣10分。
