Article 1: Purpose

The purpose of this agreement is to establish a joint venture

(JV) between a Chinese company and a foreign company for the

International Joint Venture Contract

This agreement is entered into on [date] by and between

[Company A], a [country] corporation with its principal place of

business at [address] ("Company A"), and [Company B], a

[country] corporation with its principal place of business at

Whereas, the parties desire to enter into a joint venture

partnership to cooperate in the establishment and operation of a

1. Formation of Joint Venture
