第四条 其他Miscellaneous
1. 本协议如有未尽事宜，甲乙双方经协商一致，可签署补充协议，补充协议与

Any issue that not covered in this agreement shall be settled in the additional
agreement after parties negotiation and the additional agreement has same legal effect
as this agreement.
2. 本协议由香港法律管辖。本合同产生的争议应提交香港国际仲裁中心仲裁。
This agreement shall be governed by the laws of Hong Kong. For any dispute arising
from this agreement shall be resolved by The Hong Kong International Arbitration
Center.
3. 本协议一式两份，甲乙方各执一份，均具有同等法律效力。
This agreement is in duplicate, each party hold one copy, and each copy has the same
legal effect.

担保协议Guarantee Agreement保证人：Guarantor:债务人：Debtor:债权人：Creditor:为确保合同（以下称主合同）的履行，在债务人不履行债务时，保证人愿意按照此协议约定履行债务或者承担责任，按以下条款订立本协议。

To ensure the execution of the contract (hereinafter called the Main Contract), the Guarantor is willing to perform the debt obligation or assume the liability according to the provisions of this Agreement when the Debtor does not perform its debt obligation; This agreement is hereby prepared according to the following terms and conditions.第一条保证担保的范围Article I Scope of Guarantee1.保证担保的范围包括：主合同项下所有债务，包括主债权及利息、债务人应支付的违约金（包括罚息）和损害赔偿金以及实现债权的费用（包括诉讼费、律师费等）。
