Based on equality and mutual negotiations, both partners agree on this sales agential agreement.

第一条代理内容

1. The Contents of Agency

同意将下列产品瑞典CINIA TECH & TRADINGTECH公司(简称SSV)的产品及CINIA TECH & TRADINGTECH公司所代理的产品(简称产品)的代理权授予代

理方(简称代理人)。代理人优先在下列指定地区(简称地区)推销产品中国大庆采油六厂。代理方式可由以下三种方式一:

CINIA TECH & TRADINGTECH AB (Here with named as SSV) agrees to authorize an agential right of SSV’s product or agential product sales to (.The agent ) . The agent has the initiative right to sell within the region of daqing sixth oil extraction factory. One agential method is to be selected from the following three means:

1-1 代理人直接与客户签订销售合同;

1-1 The agent signs the sales contract directly with the customer;

1-2 CINIA TECH & TRADING、代理人共同与用户签订销售合同

1-2 CINIA TECH & TRADING and the agent sign sales contract simultaneously.

1-3 CINIA TECH & TRADING直接于用户签订销售合同

1-3 CINIA TECH & TRADING signs the sales contract directly with the customer.

以上三种型式在具体工程项目中由CINIA TECH & TRADING、代理人双方共同协商决定。

The selection of which means is decided by the negotiation of both partners according the concrete project.

第二条代理人的职责、CINIA TECH & TRADINGTECH公司的职责

2. Responsibilities and duties of the agent and CINIA TECH & TRADING

2-1代理人职责:

2-1 The agent responsibilities and duties:

2-1-1. 非经CINIA TECH & TRADING 公司的同意,代理人不得经“地区”之外的地方征求定货。如代理商在地区外销售,应事先通知CINIA TECH & TRADING 公司,得到许可方能进行销售。

2-1-1. Without the approval of CINIA TECH & TRADING, the agent shall not place any order to any customer who is outside of the appointed "region". CINIA TECH & TRADING must be informed of any sales outside of the appointed region in advance and approval must be granted by CINIA TECH & TRADING.

2-1-2.代理人无权代表CINIA TECH & TRADING公司签订任何具有约束的合约。

2-1-2. The agent has no right to represent CINIA TECH & TRADING signing any form of contract that has stipulation.

2-1-3.代理人应把CINIA TECH & TRADING公司规定的销售条款对用户解释。

2-1-3. The agent should explain CINIA TECH & TRADING’s sales policy to the customer.

2-1-4.代理人自行负责开拓市场与发展用户时,在代理业务中保证向用户提供良好的服务,不得以欺诈、胁迫等不正当手段损害客户及制造商的利益及CINIA TECH & TRADINGTECH公司的声誉。

2-1-4. The agent expands and develops the market on his own responsibility. During the marketing process, the agent shall provide satisfactory service to the customer. Any mean of cheating and/or coercing, which damages the benefit and/or reputation of the customer or of CINIA TECH & TRADING is strictly prohibited.

2-1-5.代理人保证其所有经营活动完全符合中国有关法律、法规、行政规章等的规定。如因代理人违反上述规定的行为给CINIA TECH & TRADING公司带来任何损害,代理人应承担所有法律责任并赔偿给CINIA TECH & TRADING公司造成的损失。

2-1-5. The agent guarantees its total operative activity to comply with the relevant law, regulation in China. Any loss or damage occurred to CINIA TECH & TRADINGdue to the agent’s breach, the agent shall bear legal responsibility and give compensation to CINIA TECH & TRADING.

2-1-6.代理人保证遵守中华人民共和国价格法的规定,不以低价倾销制造商设备产品;SSVTECH公司的推荐价格供代理人在代理时参考。

2-1-6. The agent guarantees to comply with the price law of the People's Republic of China. The agent shall not dump the product with lower price; CINIA TECH & TRADING shall refer a recommended price to the agent during the agential period.

2-1-7.代理人应对CINIA TECH & TRADING公司明确提示为保密资料的信息给予保密。

2-1-7. The agent shall keep the confidentiality of any defined information or document that is provided by CINIA TECH & TRADING.

2-1-8. 代理商宣传CINIA TECH & TRADING产品的资料必须经CINIA TECH & TRADING公司的审核后方可进行宣传,否则由此引起的问题由代理方承担.

2-1-8. All marketing material shall be approved by CINIA TECH & TRADING before the agent commences the marketing and propaganda process. Otherwise any caused problem due to unapproved marketing material shall be undertaken by the agent.

2-2 CINIA TECH & TRADING公司的职责:

2-2 The duty and responsibility of CINIA TECH & TRADING:

2-2-1 SSV公司应向代理人提供业务范围内的技术支持,帮助代理人提高技术能力,拓宽业务范围。

2-2-1. CINIA TECH & TRADING shall provide technique support to the agent within the business scope, and develop the technique capability to the agent in terms to expend the business scope.

2-2-2按照1-1方式,CINIA TECH & TRADING公司原则上不直接与代理人的客户联系。在代理人的要求或邀请下除外。按照1-2方式,由双方人员共同面对客户。按1-3方式双方就有关条款另行协议.

2-2-2. According to 1-1, in principle, CINIA TECH & TRADING AB does not contact the agent’s customer directly. Under a condition of the request and invitation from the agent, and according to 1-2, both partners contact the customer together. Other agreement shall be made after mutual discussion when it relates to 1-3.

2-2-3. CINIA TECH & TRADING公司向代理人提供必要的售后服务,在直接由代理人与用户签定的销售合同(1-1)的情况下,CINIA TECH & TRADING公司的售后服务只对代理人,原则上不直接面向代理人的客户。在由与代理人共同签订的销售合同(1-2)情况下,售后服务主要以CINIA TECH & TRADING公司为主,代理人协助售后服务。

2-2-3. CINIA TECH & TRADING AB provides the necessary after-sales service to the agent, under the circumstance of 1-1 that the agent signs the contract with the customer directly; CINIA TECH & TRADING AB shall only provide the necessary after-sales service to the agent, in principle CINIA TECH & TRADING does not contact the customer directly. Under the circumstance of 1-2, the after-sales service is mainly provided by CINIA TECH & TRADING with assistance of the agent.

2-2-4.CINIA TECH & TRADING公司应对代理人的客户资料及其他代理人明确提示为保密资料的信息给予保密。

2-2-5. CINIA TECH & TRADING ABshould keep all defined information of the agent and customer confidential.

2-2-5.在由代理人与用户直接签订销售合同(1-1)的情况下,对于代理人与其用户之间的纠纷、争议、损失、侵权、违约责任等,均由代理人与客户自行解决,CINIA TECH & TRADING 公司不介入代理人与用户的纠纷、争议等,也不对用户的任何损失负责。在由CINIA TECH & TRADING 公司、代理人共同签订的销售合同(1-2)的情况下,对于CINIA TECH & TRADING、代理人与其用户之间的纠纷、争议、损失、侵权、违约责任等,按照CINIA TECH & TRADING公司与代理人在签订具体合同之前的约定双方职责执行。

2-2-5.Under the circumstance of 1-1 that the agent signs the contract directly with the customer, any disputes, argument, loss, tort and breach of contract shall be solved between the agent and the customer without CINIA TECH & TRADING’s involvement and responsibility toward to the dispute. Under the circumstance of 1-2 that CINIA TECH & TRADINGand the agent sign the contract with the customer simultaneously, any disputes, argument, loss, tort and breach of contract shall be solved based on the stipulated mutual responsibilities before the concrete contract.

2-2-6.在任何情况下,如CINIA TECH & TRADING公司认为履行其责任会违反中国法律或任何适用的CINIA TECH & TRADIN公司政策,CINIA TECH & TRADING公司有权停止履行。

2-2-6. Under any circumstances, when CINIA TECH & TRADING regards that its

implementation of responsibility and duty would breach Chinese law or SSV’s policy and regulation, CINIA TECH & TRADING has the right to terminate the implementation.

第三条代理业务的职责范围

3. The business scope of agential contract.

代理人是CINIA TECH & TRADING公司中国市场的代理之一,应收集信息,尽力促进产品的销售。代理人应精通所推销产品的技术性能。代理所得佣金应包括为促进销售所需费用。

The Agent is one o f SSV’s agents in the China market. The agent shall collect marketing information, and make effort to promote the sales of product. The agent should grasp the technique function of the products. The agential commission includes the marketing expenses.

第四条广告和展览会

为促进产品在该地区的销售,代理人应刊登一切必要的广告并支付广告费用。凡参加展销会需经双方事先商议后办理。

4. Advertisement and Exhibition

For promoting the product sale in the agreed region, the agent should bear the whole expense of advertisements. Both partners shall negotiate the cost matter of attending an exhibition.

第五条代理人的财务责任

5-1 代理人应采取适当方式了解当地客户的支付能力。在代理人与用户直接签订销售合同情况(1-1)下,由代理人收回应付款。在由CINIA TECH & TRADING 公司、代理人与用户共同签订的销售合同情况(1-2)下,代理人协助CINIA TECH & TRADING公司收回应付货款.

5. The finance duty of the agent

5-1 The agent should adopt an appropriate way of understanding the customer’s payment ability. In the case of delayed payment, the following applies:

Under the circumstance of 1-1, the agent has the duty to get the payment back. Under the circumstance of 1-2, the agent assists CINIA TECH & TRADING to get the payment back.

5-2 未经同意,代理人无权也无义务以CINIA TECH & TRADING公司的名义与用户签定销售合同,接受付款。

5-2. Without approval of CINIA TECH & TRADING, the agent has neither right nor duty to on behalf of CINIA TECH & TRADINGsign sales contract with the customer, or receive payment.

第六条用户意见

代理人有权接受用户对产品的意见和申诉,及时通知CINIA TECH & TRADING 公司并关注CINIA TECH & TRADINGTECH公司的切身利益。

6. The customer opinion

The agent has the right to receive the customer’s opinion and complaints, and notifies to CINIA TECH & TRADINGTECH in time accordingly in terms of protecting SSV’s benefits.

第七条提供信息

代理人应尽力向CINIA TECH & TRADING公司提供商品的市场和竞争等方面

的信息,每__1__个月需向CINIA TECH & TRADING公司寄送工作报告。

7. Information provision

The agent shall make an effort toward CINIA TECH & TRADINGTECH in terms of providing information of the market and competition. The agent shall submit a formal report every month to CINIA TECH & TRADINGTECH AB.

第八条正当竞争

8-1 代理人不应与SSV公司或帮助他人与SSV公司竞争,也不应从与SSV公司竞争的任何企业中获利。同时,代理人不应代理或销售与代理产品相同的产品。

8. Perfect Competition

8-1 The agents shouldn't compete with CINIA TECH & TRADINGor help others to compete with CINIA TECH & TRADING. The agents should not obtain any benefit from another company, which is competing with CINIA TECH & TRADING. At the same time, the agent shouldn't act for or sell the same kind of product, which is similar to SSV′s product.

8-2 此合约一经生效,代理人应将与其他企业签订的有约束性的协议告知CINIA TECH & TRADING公司。不论是作为代理的或经销的,此后再签定产品的任何协议均应告之CINIA TECH & TRADING公司,代理人在进行其他活动时,决不能忽视其对SSV公司承担的义务而影响任务的完成。

8-2 As soon as this agreement is valid, the agent shall notify all stipulated contracts of whatever agential or marketing products with

other companies to SSV. All other contracts to be signed henceforth shall also be notified to SSV. The agent shall not ignore the duty and responsibilities to CINIA TECH & TRADINGdue to implementation of other activities.

第九条保密

9. Confidentiality

9-1 代理人在协议有效期内或协议终止后,不得泄露CINIA TECH & TRADING 公司的商业机密,也不得将该机密超越协议范围使用。

9-1 The agent should not reveal any confidential information of CINIA TECH & TRADINGduring the implementation and after the termination of this agreement. Also, the agent shall not overstep the confidentiality of this agreement.

9-2 所有产品设计和说明均属CINIA TECH & TRADING公司所有,代理人应在协议终止时归还给CINIA TECH & TRADING公司。

9-2 All product designs and introductions are belonging to CINIA TECH & TRADING. The agent should return them back to CINIA TECH & TRADING after the termination of this agreement.

第十条分包代理

代理人事先经CINIA TECH & TRADING公司同意后可聘用分包代理人,代理人应对该分包代理人的活动负全部责任。

10. Subcontract

The agent can subcontract to other agent after the approval of CINIA TECH & TRADING. The agent is responsible for all activities for the subcontracted agents.

第十一条工业产权的保护代理人发现第三方侵犯CINIA TECH & TRADING公司的工业产权或有损于CINIA TECH & TRADING公司利益的任何非法行为,代理人应及时据实向CINIA TECH & TRADING公司报告。代理人应尽最大努力并按CINIA TECH & TRADING公司的指示,帮助CINIA TECH & TRADING公司使其不受这类行为的侵害.

11. The protection of copyright,When the agent discovers that a third partner infringes on CINIA TECH & TRADING’s copyright or benefit, the agent shall report hereby to CINIA TECH & TRADINGaccordingly in time. The agent shall undertake the utmost effort to avoid damage from those activities according to SSV’s indication.

第十二条技术帮助

CINIA TECH & TRADING公司应帮助代理人培训雇员. 在商业项目具体实施的情况下, CINIA TECH & TRADING应培训代理人,使其获得代理产品的技术知识。具体费用由双方就具体情况商讨解决.

12. Technical support

CINIA TECH & TRADINGshall assist the agent in training the appropriate staff, under the circumstance of a concrete business project, SSVshall conduct training course to the agent in order to obtain the appropriate technical knowledge. The expense of the training program is to be discussed under the concrete project.

第十三条佣金数额

佣金分两种情况计算:

13-1 按照1-1方式,代理人单独与用户签订销售合同:

代理人的利益直接由产品价格差价获得。

13-2 按照1-2方式,CINIA TECH & TRADING公司、代理人与用户共同签订销售合同:

代理人的佣金以每次售出并签字的协议产品销售额百分比为准.

13. Commission

There are two calculations of the commission:

13-1 according to 1-1, the agent signs the sales contract with customer directly.

The benefits of the agent are acquired by the differences of purchasing and selling price.

13-2 according to 1-2, the agent and CINIA TECH & TRADING sign the sales contract with the customer simultaneously:

The commission of the agent is based on a percentage of the contract selling price.

第十四条商业失败、合约终止

代理人所介绍的询价或订单,如CINIA TECH & TRADING公司不予接受则无佣金。代理人所介绍的订单合约已中止,代理人无权索取佣金.

14. The business failure, contract termination

If CINIA TECH & TRADING does not accept or admit any queries or orders from the agent, then there is no commission to be paid to the agent. The agent has no right to demand any commission if the sales contract is delivered and terminated.

第十五条佣金计算方法

佣金以发票金额计算,任何附加费用如包装费、运输费、保险费、海关税或由进口国家回收的关税等应另开支票。

15 The method of commission calculation

The commission is calculated on the amount of the invoice. Any other cost, for example, packing, transport, insurance, custom clearance or import custom, etc shall be invoiced separately.

第十六条佣金的索取权

代理人有权根据每次用户购货所支付的货款按比例收取佣金。如用户没支付全部货款,则根据CINIA TECH & TRADING公司实收货款按比例收取佣金。

16. Commission obtaining right

The agent has the right to obtain the agreed commission according to each order. If the customer pays installment, then the agent obtains the commission according to the received payment per time.

第十七条支付佣金的时间

CINIA TECH & TRADING公司每季度应向代理人说明佣金数额和付佣金的有关情况,CINIA TECH & TRADING公司在收到货款后,应在30天内支付佣金给代理人。

17. Commission paying time

CINIA TECH & TRADING shall state to the agent about the commission and the related payment. CINIA TECH & TRADINGshall pay the commission within 30 days to the agent after receiving the payment.

第十八条支付佣金的货币

佣金按成交的货币来计算和支付。

18. Currency for the commission

The commission is paid to the currency that is undersigned on the contract.

第十九条排除其他报酬

代理人在完成本协议之义务时所发生的全部费用,除非另有允诺,包括在第13-2条之规定的佣金。

19. Exclusion of other guerdon.

All cost expended on the implementation of this agreement is included in the

commission which stated in 13-2.

第二十条协议期限

本协议在双方签字后生效。协议执行一年后,一方提前3个月通知可终止协议。如协议不在该日终止,可提前3个月通知,于下年的12月30日终止。

20 The agreement term

This agreement is valid from the date of undersigning. After the agreement carries out one year, each partner may notify the termination 3 months in advance. If this agreement is not terminated at this date, it may notify 3 months in advance and be terminated at 30th of Dec, next year.

第二十一条提前终止

根据第二十条规定,任何一方无权提前终止本协议,除非遵照适用的中国法律具有充分说服力的理由方能终止本协议。

21 Termination in advance

According to the clause of 20, neither partner has the right to terminate this agreement in advance, unless inevitable reasons which have to comply with Chinese or Swedish law.

第二十二条未完之商务

协议到期时,由代理人提出终止但在协议期满后又执行协议,应按第13条支付代理人佣金。代理人届时仍应承担履行协议义务之职责。

22. Uncompleted business

When this agreement is at term date, the agent proposes the termination, but continuing the uncompleted business within this agreement, should obtain the commission according to the clause of 13. The agent should undertake the duty and responsibility accordingly.

第二十三条赔偿

协议除因一方违约而终止外,由于协议终止或未能重新签约,则不予赔偿。

23. Compensation

When the agreement is terminated due to one partner’s breaching, or when the agreement is terminated or unrenewed, there is no compensation.

第二十四条变更

本协议的变更或附加条款,应以书面形式为准。

24. Variation

Any variation or additional items of this agreement should be done by written document.

第二十五条禁止转让

本协议未经事先协商不得转让。

25. Prohibition of alienation

It is prohibited for alienation without any negotiation and agreement.

第二十六条法律适用

本协议的签订、履行均适用中国之现行法律。

27. Law application

The underwriting and implementation of this agreement is to apply the Chinese and Swedish current law.

第二十七条本协议一式肆份,甲、乙双方各执两份,自双方签字盖章之日起生效。

29. This agreement contains 4 original copies, 2 copies to each partner.
