鉴于：

1. 甲方系合法拥有作品《______》（以下简称作品）的著作权人；

2. 甲方有意将作品的全部权利转让给乙方；

3. 乙方同意花费______元购买该作品的全部著作权。

双方本着平等互利的原则，达成以下协议：

一、作品的转让

1.1 甲方同意将作品的全部权利无偿转让给乙方，并保证该作品系原创作品，未侵犯任何第三方权益。 1.2 作品的全部权利包括但不限于以下权利：复制权、发行权、出租权、展览权、表演权、广播权、信息网络传播权、转让权及其他依法应享有的著作权。

1.3 作品的所有权转移方式为发出书面转让通知，乙方接到通知后即无条件的成为作品全部著作权的所有人。

1.4 著作权转让自双方签署本协议之日起生效，转让时甲方应当将已创作完成并得到著作权登记证书的作品登记（或申请登记）后再作转让。

二、作品权利争议

2.1 若作品因侵犯第三方知识产权或其他权利的原因，发生法律纠纷或索赔事件，由甲方承担全部法律责任。

2.2 乙方同意对于上述争议和索赔事件，甲方有权进行处理和解决，并给予必要协助，但乙方有权对甲方的决定提出异议或申请复议。

三、作品权利归属

3.1 著作权转让后，作品的全部权利归属于乙方。乙方有权决定作品的出版、发行、表演、广播、信息网络传播等方式。

3.2 乙方有权授权第三方使用作品，但应尽义务依法保护甲方的著作权。

四、协议终止 4.1 当甲方与乙方就本协议项下的全部事项履行完毕后，协议自动终止。

4.2 在本协议有效期内，经双方协商约定，可以通过书面形式变更或解除本协议。

合同背景：

1. 甲方为持有公司股东权益的合法股权持有人；

2. 乙方愿意购买甲方所持有的有限公司的股权；

3. 为保障双方权益，明确股权转让事项，双方遵循友好协商原则，达成以下协议。

一、股权转让事项 1.1 本协议仅适用于公司（以下简称“公司”）的股权转让，不包括公司的其他资产和负债。

1.2 甲方确认其持有公司（以下简称“目标公司”）的股权并具备相应的合法权益。甲方同意将其所持有的全部/部分股权转让给乙方。

1.3 甲方应确保所转让的股权没有任何法律纠纷，不存在任何未披露的债权、负债或其他权属纠纷。

二、股权交割
