第二条价格条款Price terms合同商品的价格以甲乙双方共同确认的报价单为准。
乙方提供发票金额以甲方实际采购数量和种类为准，发票金额不包含任何税费及进口相关费用。
乙方必须向甲方提供有效的合同正本、形式发票及正本清关资料等相关单据以顺利清关并出具退税证明以确保甲方的合法权益，因提供单据不完整导致不能按时清关造成的一切损失由乙方承担。
乙方应保证货物的充足供应并按时交货，如因乙方原因导致交货延期造成甲方损失，乙方应承担相应的赔偿责任。

3. Warranties保证3.1 Seller's Warranties. Seller represents and warrants to Buyer that (a) it is the legal owner or authorized seller of the Goods, (b) the Goods shall be free from defects in material and workmanship, (c) the Goods shall conform to the specifications and quantities set forth in the Purchase Order, and (d) the sale and delivery of the Goods shall not infringe or otherwise violate any third party intellectual property rights or any other rights.3.1 卖方的保证。

3.2 Buyer's Warranties. Buyer represents and warrants to Seller that (a) it has the full power and authority to enter into and perform its obligations under this Agreement, (b) the purchase and resale of the Goods by Buyer shall not infringe or otherwise violate any third party intellectual property rights or any other rights, and (c) it shall comply with all applicable laws and regulations in connection with the purchase and resale of theGoods.3.2 买方的保证。

4. Confidentiality保密信息4.1 Confidential Information. Each party agrees to keep confidential all non-public information disclosed by the other party during the term of this Agreement that is marked as "confidential" or that, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be understood to be confidential ("Confidential Information").4.1 保密信息。

4.2 Permitted Disclosure. 5. Indemnification赔偿5.1 Indemnification by Seller. Seller shall indemnify and hold harmless Buyer, its officers, directors, employees, and agentsfrom and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney's fees, arising out of or in connection with any breach of the representations, warranties or covenants made by Seller under this Agreement, or any claim that the Goods infringe or otherwise violate any third party intellectual property rights or other rights.5.1 卖方的赔偿。
