Cooperation Agreement

This Cooperation Agreement (the "Agreement") is entered

into on [date] (the "Effective Date") by and between [Company

Name], a [state/country of incorporation] corporation with its

principal place of business at [address] (hereinafter referred to as

"Party A") and [Company Name], a [state/country of

incorporation] corporation with its principal place of business at

[address] (hereinafter referred to as "Party B").

WHEREAS, Party A and Party B are eager to establish a

cooperative relationship and enter into an agreement to

determine the terms of their cooperation;

WHEREAS, Party A and Party B have the appropriate legal

authority and capacity to enter into and perform this Agreement.

NOW, THEREFORE, in consideration of the promises,

covenants, and mutual agreements contained herein, the parties

agree as follows:

1. Definitions

In this Agreement, unless otherwise stated in the context,

the following terms shall have the meaning given to them below: (a) "Project" means the specific venture planned and

implemented by both Party A and Party B pursuant to this

Agreement.

(b) "Services" means the work to be performed by either

Party A or Party B or both, as provided in this Agreement.

2. Scope of Cooperation

5. Payment

(a) All payments for Services provided by either Party A or

Services that are not specified in this Agreement or any other

supplementary agreement.

6. Confidentiality

(a) During the term of this Agreement and for a period of

disclose any Confidential Information to any third party without

the prior written consent of the other party.

(b) All Confidential Information obtained under this

Agreement shall be held in confidence and used only for the

purposes of this Agreement.

7. Term and Termination

六、违约责任
