Contract Agreement

This Contract Agreement ("Agreement") is entered into on [date]

(the "Effective Date") between [Party A], having its principal place

of business at [address], and [Party B], having its principal place of

business at [address].

WHEREAS, both parties wish to establish the terms and conditions

under which they will engage in a business relationship.

NOW, THEREFORE, in consideration of the mutual promises and

covenants contained herein, the parties agree as follows:

1. Scope of Work

1. [Party A] agrees to provide [specific goods/services] to [Party

B], as described in Exhibit A.

2. [Party B] agrees to provide [specific goods/services] to [Party

A], as described in Exhibit B.

2. Either party may terminate this Agreement upon [number of

days/weeks] prior written notice to the other party in the event of a

material breach of any provision of this Agreement.

4. Intellectual Property

1. Each party shall retain ownership rights to their respective pre-existing intellectual property.

2. Any intellectual property developed or created during the

course of this Agreement shall be jointly owned by both parties.

5. Confidentiality

1. Both parties shall maintain the confidentiality of any

proprietary or confidential information received from the other

party.

2. Confidentiality obligations shall survive the termination of this

Agreement.

6. Governing Law

This Agreement shall be governed by and construed in

accordance with the laws of [jurisdiction]. Any disputes arising out

of or in connection with this Agreement shall be exclusively

resolved by the courts of [jurisdiction].

7. Entire Agreement

This Agreement constitutes the entire agreement between the

parties and supersedes any prior oral or written agreements or

understandings.

Agreement as of the Effective Date.

Marubeni Corporation, a corporation duly organized and existing under the laws of Japan, with its

Agreement for the Termination of the EPC General Contract for the Le

Yuan Guan Zhou Phase I Agricultural Photovoltaic Power Station Project

This Agreement ("Agreement") is made and entered into as of [Date], by

Republic of China ("China").
