三、质量和验收标准

3. 若商品在运输过程中损坏或丢失，甲方应负责赔偿乙方相应的损失。
四、交货和支付方式
1. 甲方应按照约定的发货日期将商品交付给乙方。
2. 乙方应按照以下方式支付商品的款项：
a) 预付款：乙方应在合同签订后的10个工作日内支付合同总价的30%作为预付款。
b) 余款：乙方应在收到商品后的10个工作日内支付合同总价的余款。
五、违约责任
1. 若甲方未按照约定的发货日期交付商品，甲方应向乙方支付每日合同总价1%的违约金。 2. 若乙方未按照约定的支付方式支付商品的款项，乙方应向甲方支付每日未支付金额1%的违约金。
六、争议解决
1. 本合同的解释和执行应依据中华人民共和国的法律。
2. 若在履行合同过程中产生争议，双方应通过友好协商解决。协商不成的，任何一方均有权向有管辖权的法院提起诉讼。
七、其他条款
1. 本合同一式两份，甲方和乙方各执一份，具有同等法律效力。
2. 本合同自双方签字盖章之日起生效，有效期为一年。
3. 本合同未尽事宜，双方可通过补充协议进行约定。

II. Description of Goods

III. Quality and Acceptance Standards
1. The goods shall comply with the following quality standards:
2. Party B has the right to inspect the goods, and if the goods do not meet the agreed
quality standards, Party B has the right to refuse acceptance of the goods.
3. If the goods are damaged or lost during transportation, Party A shall be
responsible for compensating Party B for the corresponding losses.
IV. Delivery and Payment Terms
1. Party A shall deliver the goods to Party B on the agreed delivery date.
2. Party B shall make payment for the goods as follows: a) Advance Payment: Party B shall make a 30% advance payment of the total
contract price within 10 working days after the contract is signed.
b) Balance Payment: Party B shall make the balance payment of the total contract
price within 10 working days after receiving the goods.
V. Breach of Contract Liability
1. If Party A fails to deliver the goods on the agreed delivery date, Party A shall pay
Party B a penalty of 1% of the total contract price per day.
2. If Party B fails to make payment for the goods according to the agreed payment
terms, Party B shall pay Party A a penalty of 1% of the unpaid amount per day.
VI. Dispute Resolution
1. The interpretation and performance of this contract shall be governed by the laws
of the People's Republic of China.
2. In the event of a dispute arising during the performance of the contract, the parties
shall resolve it through friendly negotiation. If negotiation fails, either party has the right
to file a lawsuit with a competent court.
VII. Other Terms
1. This contract is made in duplicate, with Party A and Party B holding one copy
each, both having equal legal effect.
2. This contract shall come into effect from the date of signature and seal by both
parties and shall be valid for one year.
3. Any matters not covered in this contract may be agreed upon through a
supplementary agreement.
