甲方有权在货到后进行检验,如发现品质或数量与合同不符,甲方有权要求乙方更换或退货。

七、违约责任如一方违反本合同的任何条款,违约方应承担由此造成的一切损失。

以下文件将由卖方提供:

装运条款:
1.在装运前卖方必须通知买方运输船只的名称,旗帜,年龄,船型。
2.卖方应该在完成装运后2个工作日内发传真通知买方完整的装运合同号、质量、发票金额、船名、
驶出时间、到达时间以及船方在买方所在地代理的姓名、地址、电话/传真号码。
如果因卖方没有及时通知买方以上信息而产生损失,卖方承担所有损失。
3.卖方指定的船与此次运输相关的油罐中上次运输的货物应是清洁的和无铅的。
4.卖方应确认当前中国质量监督检验检疫总局的现行法律法规。
卸货条款:
1.卸货时间从收到备妥通知或靠泊(以最早的为准)后6个小时开始
2.卸货率每小时100吨,24小时连续工作日,星期六、星期天、节假日包括在内。
如果买方不能按
此速率卸货,买方应付按租船合约滞期费率来计算的滞期费。
速遣费在此是不适用的
3.备妥通知可通过电传、电报、无线电、信或者电话 ( 或者任何允许的方法) 传递,都是可接受的
并且在传输时已被接受。
重量和质量的检验:
在装运港由独立检验部门出具的的重量和质量的证明是最终的。
如果发现货物的质量和条件与合同下规定的不符(除了由于船方在运输过程中的责任或者是保险公司的责任),在到港后由中国海关检验检验后,买方有权在卸货后30天内向卖方提出索赔。
但是买方应向卖方提供相关的证明,并以友好协商的方式与卖方进行协商。
滞纳金
如果买方在到期日之前尚未支付任何款项,卖方有权(在不损害卖方的其他权利和救济的前提下)就买方尚未支付款项部分收取滞纳金(无论在审判前后),滞纳金比例为从到期日前一日至卖方收到全部款项期间的伦敦银行同业拆进年利率+1%。
不可抗力
如果卖方因战争、罢工、洪涝、火灾、暴雨、大雪、政治活动或其他任何不可控因素而无法如期交货或影响装船,装船时间可以顺延或者可以撤销部分或整个合同,卖方不承担任何责任。
保险
买方自付费用承担从一流保险公司投保的以下险别:
一切险
战争险
罢工险、暴动险和内乱险
承保范围为从装运港岸罐至卸货港岸罐。
承保短量超过0.5%的部分。
进口关税
所有进口和港口相关手续以及卸货港的卸货由买方承担。
买方将独自承担任何法规变化引起的风险和收益。
在卸货港所有进口关税/赋税/征用等均由买方承担。
违约
如果买方违约(包括但不限于在合同规定的时间内开立信用证),卖方有权终止本合同并在公开市场处理合同项下货物并向买方要求赔偿货物处理价格与合同价格间的价差,与此同时卖方仍然有权针对其他任何由于买方违约而引起的相关损失或亏损向买方索赔。
延迟装运罚款条款
除非由合同中规定的不可抗力所导致,如卖方未能在合同规定时间内准时装船发运,买方在卖方同意通过付款行从货款中直接扣除延误罚款的前提下,应同意卖方推迟船期。
但延迟装运罚款数额不应超过被延误的货物的总值的5%。
罚款比率为每7天罚款0.5%,不足7天按7天计算。
仲裁条款
任何因本合同导致的争议,包括任何与之相关的法律问题,应当提交给马来西亚的仲裁机构(马来西亚棕油精炼协会秘书处或当事人协议选择的其他地方),并且自仲裁日起适用马来西亚棕油精炼协会的仲裁和上诉条款。
任何一方或者当事双方中的任何人在仲裁机构或仲裁委员会的仲裁人或仲裁小组(视情况而定)根据马来西亚棕油精炼协会的仲裁和上诉条款做出仲裁决定后应当就合同所引起的争议提起诉讼或采取其他法律程序。
仲裁机构或仲裁委员会的仲裁人或仲裁小组(视情况而定)的终裁决定是合同任何一方或当事双方中任何人就此合同导致的争议而提起诉讼或采取其他法律程序的先决条件。
抵扣条款
如果买方在根据本合同付款时,拖欠卖方任何款项(违约金额),卖方有权根据本合同或其他任何合同抵扣其赊欠买方同等金额的未付款项,反之亦然。
非弃权条款
卖方在执行本合同条款方面的懈怠、不作为、迟延以及卖方在何时对买方提出要求均不损害、影响或限制卖方的任何权利。
对违反本合同的行为的任何豁免均不构成对其后任何违约行为的豁免。
国际港口与船舶保安规则
买方应当支付与赔偿卖方根据租船合同中规定的任何条款(与《国际港口与船舶保安规则》相关)而向承运船船东支付的任何费用。
