敬上5）Counter-suggestion to a Counter –offerYours truly ,反还盘先生：我们仔细研究了贵方12月14日来函，我们两家公司有业务往来多年，我们本该同意贵公司降低内衣价格的要求，但困难不少。

在过去三个月内原料成本上升很快，若按贵公司所提减价5%，很难不大大影响产品质量标准，而这是我公司所不愿意采取的做法。

我们建议所有货价减少3%，而不是5%。

这样做将不会因减价而影响产品质量。

希望贵公司接受我们的反还盘，并一如既往寄来订单。

敬上6）Shipping Instructions装运指示先生：5月6日电悉，贵方已接受我方订货，购买2000打衬衫。

我们高兴地回复，第7634号保兑的、不可撤销的信用证，金额为17000美元，已于今晨通过东京商业银行开出。

收到后，请将我们所订的货迅速安排装运。

另据悉“无锡”号轮定于5月28日从你处开往我港，我们希望由该轮装运这批货物。

如若此次试购使我方客户满意，我们保证继续大量订购。

敬上1）If either of the Parties fails to fulfill its obligations under this Contract, it shall compensate the other party for all its economic losses resulting thereof 合营一方如不履行本合同或公司章程的义务，违约一方得赔偿另一方因此而遭受的经济损失。

2) All disputes in connection with this Contract of arising in the execution thereof shall first be settled amicably by negotiation.凡有关合同或因执行本合同所发生的一切争执，双方应以友好方式协商解决。

3) The“excepted risks” are war , hostilities,… civil war, or unless solely restricted to employees of Contractor or of his subcontractors and arising from the conduct of the Works, riot, commotion or disorder ,or…“除外风险”包括战争，敌对状态…内战，或不纯粹是由总包商的或其分包商的雇员制造的和因施工而引起的暴动、骚乱或混乱…4)The Contractor shall be responsible for the true and proper setting-out of the Works in relation to original points, lines and levels of reference given by the Engineer in writing and for the correctness, subject as above mentioned, of the position, levels, dimensions and alignment of all parts of the Works and for the provision of all necessary instruments, appliances and labor in connection therewith.承包商应负责按工程师书面提交的有关点、线和水平面的原始参数如实准确地对工程进行放线，且如上所述，负责校准工程各部分的方位、水平、尺寸和定线，并负责提供一切必要的相关仪器、装置和劳力。

5) Upon successful completion of the tests the Purchaser shall sign a Plant Acceptance Certificate evidencing such completion and listing any agreed Deficiencies to be corrected by CAE within such period as may be agreed with the Purchaser.一旦顺利完成这些测试，买方须签署一张工厂验收证，证明测试已经完成，并列出将由CAE在买方同意的期限内校正的任何经认可的缺陷。
