FACTORY CONSTRUCTION CONTRACT。

1. GENERAL。

1.1 The Contract Documents consist of this Agreement,

the General Conditions of the Contract, the Special

Conditions of the Contract, the Drawings, the

Specifications, and any Addenda issued prior to the

execution of this Agreement.

1.2 These Contract Documents shall be signed in

duplicate by the Owner and the Contractor.

1.3 The Contract Documents are intended to be complete.

However, if there is any discrepancy between the Contract

Documents, the following order of precedence shall apply:

1.3.3 Special Conditions。

1.3.4 Drawings。

1.3.5 Specifications。

1.4 The Owner shall provide the Contractor with a

written notice to proceed with the Work within ten (10)

days after the Contract Documents have been signed.

1.5 The Contractor shall commence the Work within ten

(10) days after receipt of the notice to proceed.

1.6 The Contractor shall complete the Work within the

time specified in the Contract Documents.

1.7 The Contractor shall be responsible for all labor,

materials, and equipment necessary to complete the Work.

1.8 The Contractor shall perform the Work in a skillful

and workmanlike manner.

1.9 The Contractor shall be responsible for all permits,

licenses, and inspections required for the Work.

1.10 The Contractor shall maintain the Work area in a

safe and orderly condition.

1.11 The Contractor shall not assign or subcontract the

Work without the written consent of the Owner.

1.12 The Contractor shall not commence any work on the

site until the Contractor has obtained all necessary

insurance policies.

2. OWNER'S DUTIES。

2.1 The Owner shall provide the Contractor with a clear

and accurate description of the Work to be performed.

2.2 The Owner shall provide the Contractor with access

to the site.

2.3 The Owner shall provide the Contractor with all

necessary utilities.

2.4 The Owner shall pay the Contractor for the Work

performed.

2.5 The Owner shall review and approve the Contractor's

submittals.

2.6 The Owner shall promptly respond to the

Contractor's requests for information and direction.

3. CONTRACTOR'S DUTIES。

3.1 The Contractor shall perform the Work in accordance

with the Contract Documents.

3.2 The Contractor shall provide the Owner with all

necessary submittals.

3.3 The Contractor shall coordinate the Work with the

work of other trades.

3.4 The Contractor shall maintain a project schedule

and update the schedule on a regular basis.

3.5 The Contractor shall conduct regular inspections of

the Work and correct any deficiencies.

3.6 The Contractor shall clean up the Work area upon

completion of the Work.

4. PAYMENTS。

4.1 The Owner shall pay the Contractor for the Work

performed in accordance with the payment schedule contained

in the Contract Documents.

4.2 The Contractor shall submit monthly invoices to the

Owner.

4.3 The Owner shall have ten (10) days to review and

approve the invoices.

4.4 The Owner shall make payment to the Contractor

within thirty (30) days of the approval of the invoices.

5. CHANGES。

5.1 The Owner may make changes to the Work at any time

during the course of construction.

5.2 All changes to the Work shall be in writing and

signed by the Owner and the Contractor.

5.3 The Contractor shall be entitled to additional

payment for any changes to the Work that increase the cost

of the Work.

6. TERMINATION。

6.1 The Owner may terminate the Contract for cause.

6.2 The Contractor may terminate the Contract for

convenience.

6.3 In the event of termination, the Contractor shall

be entitled to payment for the Work performed to date.

7. DISPUTES。

7.1 Any disputes arising under this Contract shall be

resolved through negotiation.

7.2 If the disputes cannot be resolved through

negotiation, the disputes shall be resolved through

arbitration.

8. GOVERNING LAW。

8.1 This Contract shall be governed by the laws of the

State of California.
