个人海外旅行意外伤害保险(A款)第一章基本条款第一条保险合同的构成本保险条款、保险单、投保单、批注及其他约定书均为《个人海外旅行意外伤害保险(A款)》(以下简称本合同)的构成部分。
第二条投保人具有完全民事行为能力的被保险人本人、对被保险人有保险利益的具有完全民事行为能力的其他人。
第三条被保险人本合同的被保险人可以为一人或数人,以保险单上所载的为准。
若本合同项下的被保险人按本合同其他条款的约定而发生减少,则应以该条款约定为准,本公司将书面通知投保人。
本保险承保的被保险人的年龄,成年人为18-80周岁,未成年人为28天-17周岁。
任何情形下,本保险不承保任何国家或国际组织认定的恐怖分子或恐怖组织成员,或非法从事毒品、核武器、生物或化学武器交易人员。
第四条受益人的指定与变更订立本合同时,投保人经被保险人同意,可指定一人或数人为身故保险金受益人。
身故保险金受益人为数人时,投保人可以确定受益顺序和受益份额,若未确定受益份额,各身故保险金受益人将享有相等的受益权。
投保人经被保险人同意,可以书面通知本公司变更身故保险金受益人,本公司收到变更受益人的书面通知后,应当在原保险单或者其他保险凭证上批注或者附贴批单。
因身故保险金受益人变更所引起的法律上的纠纷,本公司不负任何责任。
被保险人身故,本公司将应付的保险金给予健在的身故保险金受益人。
除另有特别约定外,被保险人死亡后,有下列情形之一的,保险金作为被保险人的遗产,由本公司依照《中华人民共和国继承法》的规定履行给付保险金的义务:(1)没有指定受益人,或者受益人指定不明无法确定的;(2)受益人先于被保险人死亡,没有其他受益人的;(3)受益人依法丧失受益权或者放弃受益权,没有其他受益人的。
受益人与被保险人在同一事件中死亡,且不能确定死亡先后顺序的,推定受益人死亡在先。
第五条住所或通讯地址的变更投保人的住所或通讯地址有变更时,应及时书面通知本公司。
投保人不作上述通知时,本公司按本合同所载的最后住所或通讯地址所发送的通知,均视为已送达投保人。
国内水路、陆路货物运输保险条款总则第一条为使保险货物在水路、铁路、公路和联运运输中,因遭受保险责任范围内的自然灾害或意外事故所造成的损失能够得到经济补偿,并加强货物的安全防损工作,以利商品生产和商品流通,特举办保险。
保险责任第二条本保险分为基本险和综合险两种。
保险货物遭受损失时,保险人按承保险别的责任范围负赔偿责任。
(一)基本险1.因火灾、爆炸、雷电、冰雹、暴风、暴雨、洪水、地震、海啸、地陷、崖崩、滑坡、泥石流所造成的损失;2.由于运输工具发生碰撞、搁浅、触礁、倾覆、沉没、出轨或隧道、码头坍塌所造成的损失;3.在装货、卸货或转载时因遭受不属于包装质量不善或装卸人员违反操作规程所造成的损失;4.按国家规定或一般惯例应分摊的共同海损的费用;5.在发生上述灾害、事故时,因纷乱而造成货物的散失及因施救或保护货物所支付的直接合理的费用。
(二)综合险本保险除包括基本险责任外,保险人还负责赔偿:1.因受震动、碰撞、挤压而造成货物破碎、弯曲、凹瘪、折断、开裂或包装破裂致使货物散失的损失;2.液体货物因受震动、碰撞或挤压致使所用容器(包括封口)损坏而渗漏的损失,或用液体保藏的货物因液体渗漏而造成保藏货物腐烂变质的损失;3.遭受盗窃或整件提货不着的损失;4.符合安全运输规定而遭受雨淋所致的损失。
除外责任第三条由于下列原因造成保险货物的损失,保险人不负赔偿责任:(一)战争或军事行动;(二)核事件或核爆炸;(三)保险货物本身的缺陷、自然损耗,以及货物包装不善;(四)被保险人的故意行为或过失;(五)全程是公路货物运输的,盗窃和整件提货不着的损失;(六)其他不属于保险责任范围内的损失。
责任起讫第四条保险责任自签发保险凭证和保险货物离起运地发货人的最后一个仓库或储运处所时起,至该保险凭证上注明的目的地的收货人在当地的第一个仓库或储存处所时终止。
但保险货物运抵目的地后,如果收货人未及时提货,则保险责任的终止期最多延长至以收货人接到《到货通知单》后的十五天为限(以邮戳日期为准)。
附件:日本财产保险(中国)有限公司商业机动车辆综合险(2007版)日本财产保险(中国)有限公司机动车损失保险条款总 则第一条 本保险合同为不定值商业保险合同,由保险条款、投保单、保险单、批改申请书、批单和特别约定组成。
凡涉及本保险合同的约定,均应采用书面形式。
第二条 本保险为基本险。
投保了本保险后,可选择投保相应的附加险和特约条款。
基本险条款、附加险条款、特约条款的法律效力为:特约条款高于附加险条款,附加险条款高于基本险条款。
附加险条款未尽事宜,以基本险条款为准;特约条款未尽事宜,以基本险条款或附加险条款为准。
第三条 本保险合同中的机动车是指以动力装置驱动或者牵引,上道路行驶的供人员乘用或者用于运送物品以及进行工程专项作业的轮式车辆或履带式车辆,不含摩托车和拖拉机。
第四条 保险机动车灭失或发生全部损失、推定全损、部分损失一次赔款金额与免赔金额之和达到保险金额时,本保险责任终止。
保险责任第五条 保险期间内,保险机动车在被保险人或其允许的合法驾驶人使用过程中,因下列原因造成保险机动车的全部损失或部分损失,保险人依照保险合同约定负责赔偿:1、碰撞、倾覆;2、火灾、爆炸,党政机关、事业团体用车、企业非营业用车的自燃;3、外界物体倒塌、空中物体坠落、保险机动车行驶中坠落;4、受保险机动车所载货物、车上人员意外撞击;5、雷击、暴风、暴雨、洪水、龙卷风、雹灾、台风、海啸、热带风暴、地陷、崖崩、滑坡、泥石流、雪崩、冰陷、雪灾、冰凌、沙尘暴;6、载运保险机动车的渡船遭受自然灾害(只限于有驾驶人随船照料者)。
第六条 发生保险事故时,被保险人或其代表为防止或者减少保险机动车损失而采取施救、保护措施所支出的必要合理的费用,保险人负责赔偿。
本项费用的最高赔偿金额以保险合同载明的保险金额为限。
责任免除第七条 下列情况下,不论任何原因造成保险机动车的任何损失和费用,保险人均不负责赔偿:(一)交通肇事后逃逸;驾驶人、被保险人、投保人故意破坏现场、伪造现场、毁灭证据;被保险人或其允许的驾驶人的故意行为、犯罪行为;(二)驾驶人有下列情形之一者:1、饮酒、服用国家管制的精神药品或者麻醉药品;2、无驾驶证,驾驶证失效或者被依法扣留、暂扣、吊销期间;3、驾驶与驾驶证载明的准驾车型不相符合的机动车;4、实习期内驾驶公共汽车、营运客车或者执行任务的警车、消防车、救护车、工程救险车、载有危险物品的机动车或牵引挂车的机动车;5、使用各种专用机械车、特种车的人员无国家有关部门核发的有效操作证,或驾驶出租机动车或营业性机动车无交通运输管理部门核发的许可证书或其他必备证书;6、法律法规规定的其他属于无有效驾驶资格的情况。

INSTITUTE CARGO CLAUSES (ALL RISKS)1 This insurance attaches from the time the goods leave the warehouse or place of storage at the place named in thepolicy for the commencement of the transit, continues during the ordinary course of transit and terminates either on delivery(a) to the Consignees’ or other final warehouse or place of storage at the destination named in the policy,(b) to any other warehouse or place of storage, whether prior to or at the destination named in the policy, whichthe Assured elect to use either(i) for storage other than in the ordinary course of transitor(ii) for allocation or distribution,or(c) on the expiry of 60 days after completion of discharge overside of the goods hereby insured from the overseavessel at the final port of discharge,whichever shall first occur.If, after discharge overside from the oversea vessel at the final port of discharge, but prior to termination of this insurance, the goods are to be forwarded to a destination other than that to which they are insured hereunder, this insurance whilst remaining subject to termination as provided for above, shall not extend beyond the commencement of transit to such other destination.This insurance shall remain in force (subject to termination as provided for above and to the provisions of Clause2 below) during delay beyond the control of the Assured, any deviation, forced discharge, reshipment or transhipmentand during any variation of the adventure arising from the exercise of a liberty granted to shipowners or charterers under the contract of affreightment. Transit Clause (incorporating Warehouse to Warehouse Clause).2 If owing to circumstances beyond the control of the Assured either the contract of aftreightment is terminated ata port or place other than the destination named therein or the adventure is otherwise terminated before deliveryof the goods as provided for in Clause 1 above, then, subject to prompt notice being given to Underwriters and to an additional premium if required, this insurance shall remain in force until either(i) the goods are sold and delivered at such port or place, or, unless otherwise specially agreed, until the expiryof 60 days after completion of discharge overside of the goods hereby insured from the oversea vessel at suchport or place, whichever shall first occur,or(ii) if the goods are forwarded within the said period of 60 days (or any agreed extension thereof) to the destination named in the policy or to any other destination until terminated in accordance with the provisions of Clause1 above. Termination of Adventure Clause3 Including transit by craft raft or lighter to or from the vessel. Each craft raft or lighter to be deemed a separateinsurance. The Assured are not to be prejudiced by any agreement exempting lightermen from liability.Craft. & c.Clause4 Held covered at a premium to be arranged in case of change of voyage or of any omission or error in the descriptionof the interest vessel or voyage.Change ofVoyage Clause5 This insurance is against all risks of loss of or damage to the subject-matter insured but shall in no case be deemedto extend to cover loss damage or expense proximatcly caused by delay or inherent vice or nature of the subject-matter insured. Claims recoverable hereunder shall be payable irrespective of percentage. All Risks Clause6 No claim for Constructive Total Loss shall be recoverable hereunder unless the goods are reasonably abandoned eitheron account of their actual total loss appearing to be unavoidable or because the cost of recovering, reconditioning and forwarding the goods to the destination to which they are insured would exceed their value on arrival. Constructive Total Loss Clause7 General Average and Salvage Charges payable according to Foreign Statement or to York-Antwerp Rules if in accordancewith the contract of affreightment.G. A. Clause8 The seaworthiness of the vessel as between the Assured and Underwriters is hereby admitted.In the event of loss the Assured’s right of recovery hereunder shall not be prejudiced by the fact that the loss may have been attributable to the wrongful act or misconduct of the shipowners or their servants, committed without the privity of the Assured. Seaworthiness Admitted Clause9 It is the duty of the Assured and their Agents, in all cases, to take such measures as may be reasonable for thepurpose of averting or miniunising a loss and to ensure that all rights against carriers, bailees or other thirdparties are properly preserved and exercised.Bailee Clause10 This insurance shall not inure to the benefit of the carrier or other bailee.Not to InureClause11 This insurance is extended to indemnify the Assured against such proportion of liability under the contract ofaffreightment “Both to Blame Collision” Clause as is in respect of a loss recoverable hereunder.In the event of any claim by shipowners under the said Clause the Assured agree to notify the Underwriters who shall have the right, at their own cost and expense, to defend the Assured against such calim. “Both to Blame Collision”Clause12 Warranted free of capture, seizure, arrest, restraint or detainment, and the consequences thereof or of any attemptthereat; also from the consequences of hostilities or warlike operations, whether there be a declaration of war ornot; but this warranty shall not exclude collision, contact with any fixed or floating object (other than a mineor torpedo), stranding, heavy weather or fire unless caused directly (and independently of the nature of the voyageservice which the vessel concerned or, in the case of a collision, any other vessel involved wherein, is performing)by a hostile act by or against a belligerent power; and for the purpose of this warranty “power”includes any authoritymaintaining naval, military or air forces in association with a power.F. C. & S. ClauseFurther warranted free from the consequences of civil war, revolution, rebellion, insurrection, or civil strife arising therefrom, or piracy.Should Clause No. 12 be deleted, the relevant current Institute War Clauses shall be deemed to form part of this insurance.13 Warranted free of loss or damage(a) caused by strikers, locked-out workmen, or persons taking part in labour disturbances, riots or civilcommotions;(b) resulting from strikes, lock-outs, labour disturbances, riots or civil commotions.Should Clause No. 13 be deleted, the relevant current Institute Strikes Riots and Civil Commotions Clauses shall be deemed to from part of this insurance. F.S.R. & C.C. Clause14 It is a condition of this insurance that the Assured shall act with reasonable despatch in all circumstances withintheir control.ReasonableDespatchClauseNOTE: -It is necessary for the Assured when they become aware of an event which is "held covered" underthis insurance to give prompt notice to the Underwriters and the right to such cover is dependent upon compliance with this obligation.。
日本财产保险(中国)有限公司团体住院津贴保险条款总则第一条本保险合同由保险条款、投保单、保险单以及批单等组成。
凡涉及本保险合同的约定,均应采用书面形式。
第二条投保人应为对被保险人有保险利益的机关、企业、事业单位和社会团体,其投保的人数必须占约定承保团体人员的75%以上,且投保人数不低于5人。
第三条除另有约定外,本保险合同的受益人为被保险人本人,保险人不受理指定或变更受益人的任何申请或请求。
保险责任第四条在本合同有效期限内,被保险人因意外事故或于本合同持续生效三十日以后(批增的被保险人以保险人同意承保并取得被保资格之日起三十日后,续保不受三十日规定的限制)发生的疾病,经医院诊断确定必须住院治疗,在其住院治疗期间,保险人依本保险合同约定给付下列保险金。
(一)一般每日住院津贴被保险人因疾病住院的,保险人以被保险人实际住院日数减三日得到的日数乘以住院津贴日额所得数额给付住院津贴保险金。
被保险人因意外伤害事故住院的,保险人以被保险人实际住院日数乘以住院津贴日额所得数额给付住院津贴保险金。
本项保险金的给付,同一被保险人累计住院日数以一百八十日为限。
(二)癌症每日住院津贴被保险人因癌症住院的,保险人除按第一项规定支付住院津贴外,另以被保险人实际住院日数乘以住院津贴日额所得数额给付癌症住院额外津贴保险金。
本项保险金的给付,同一被保险人累计住院日数以九十日为限。
(三)重症监护病房日额津贴被保险人因实际需要进住ICU病房治疗时,保险人除按第一项规定支付住院津贴外,另以实际进住ICU病房的日数乘以住院津贴日额所得的数额给付ICU病房津贴保险金。
本项保险金的给付,同一被保险人的累计进住日数以三十日为限。
责任免除第五条因下列原因导致被保险人住院的,保险人不承担给付保险金责任:(一)投保人的故意行为;(二)被保险人自致伤害或自杀,但被保险人自杀时为无民事行为能力人的除外;(三)因被保险人挑衅或故意行为而导致的打斗、被袭击或被谋杀;(四)被保险人未遵医嘱,私自服用、涂用、注射药物;(五)核爆炸、核辐射或核污染;(六)恐怖袭击;(七)被保险人犯罪或拒捕;(八)被保险人从事高风险运动、或参加职业或半职业体育运动。
日本财产保险(中国)有限公司机动车延长保修责任保险条款B总则第一条与本保险合同有关的投保单、保险单、保险条款、批单以及所附的其他文件是本保险合同的有效文件。
凡涉及本合同的约定,均应采用书面形式。
保险对象第二条在中华人民共和国境内(香港、澳门及中国台湾地区除外)依法设立、从事汽车制造的车辆生产商或其他相关企业可以投保本保险,成为本保险的被保险人。
保险责任第三条被保险人在本合同所载明的保险期限内与符合条件的汽车车主签订汽车延长保修协议书,在该协议书规定的延长保修期间内,如发生约定的应由被保险人承担的保修责任,导致被保险人产生相关损失,保险人根据本合同的约定,在双方约定的赔偿限额内承担赔偿责任,向被保险人支付保险金。
第四条根据上条给付保险金的损失的范围为以下费用:在延长保修期内,车辆在正常行驶的情况下,保修范围内的零部件确因质量问题而损坏所产生的修理或更换零部件的工时费、零部件费、材辅料费以及其他保险人与被保险人约定的各项费用。
除外责任第五条除保险人与被保险人另有约定的外,由于下列原因造成的损失,保险人不承担赔偿责任:(一)预防性保养、改造、加装、改良等。
(二)汽车制造商或零件制造商提供的产品召回、免费零件淘汰更换等服务。
(三)应政府监管机构要求而检测或更换零配件的费用。
(四)任何由于车辆不能使用而造成的直接或者间接损失(五)任何形式的违约金、罚金或惩罚性赔款。
(六)被保险人的任何诉讼、审理、和解、仲裁、调停费用。
(七)车辆作以下用途时导致的损失:1.比赛、竞赛和越野用车(为以上目的设计的车辆除外),短期自驾租赁用车,出租车或驾驶学校用车,快递用车以及任何以营利为目的的用车。
2.公共服务用车,包括但不仅限于警用车、消防车、救护车、救助和军事目的用车。
(八)直接或者间接由战争、内战、叛乱、军事政变、恐怖事件、火灾、盗窃、飓风、台风、洪水、闪电、雷雨、龙卷风、暴雨、地陷、崖崩、雪崩、冰雹、泥石流、滑坡、沙尘暴、地震、火山爆发、海啸或其它外力因素导致的物质损失或灭失,或者因此导致的任何费用。
日本财产保险(中国)有限公司公众责任保险条款总则第一条本保险合同由保险条款、投保单、保险单以及批单组成。
凡涉及本保险合同的约定,均应采用书面形式。
保险责任第二条在本保险期限内,被保险人在本保险单明细表列明的承保地址内,依法经营业务时,因过失导致意外事故,造成第三者的人身伤亡和财产损失,依照中华人民共和国法律(不包括港澳台地区法律)应由被保险人承担的经济赔偿责任,保险人按照本保险合同的约定负责赔偿。
第三条保险事故发生后,被保险人因保险事故而被提起仲裁或者诉讼的,对应由被保险人支付的仲裁或诉讼费用以及事先经保险人书面同意支付的其他必要的、合理的费用(以下简称“法律费用”),保险人按照本保险合同约定也负责赔偿。
责任免除第四条保险人对下列各项不负赔偿责任:(一)被保险人根据与他人的与意外事故无关的协议应承担的责任,但即使没有这种协议,被保险人依法在意外事故情况下仍然应承担的责任不在此限;(二)对为被保险人服务的任何人所遭受的伤害的责任;(三)被保险人或其家庭成员或其代表或其雇员的人身伤亡;(四) 对下列财产损失的责任:1.被保险人或其家庭成员或其代表或其雇员所有、保管或控制的财产;2.被保险人或其代表或其雇员因经营业务一直使用和占用的任何物品、土地、房屋或建筑。
(五)由于下列各项引起的损失或伤害责任:l.对于未载入本保险单明细表而属于被保险人的或其所占有的或以其名义使用的任何牲畜、脚踏车、车辆、火车头、各类船只、飞机、电梯、升降机、自动梯、起重机、吊车或其他升降装置;2.火灾、爆炸、烟熏;3.洪水、地震、海啸等不可抗力原因;4.大气、土地、水污染及其他污染。
包括污染物质的排放、流出、分散、扩散、渗漏等;5.因石棉或含有石棉的产品的有害特性引起的赔偿责任;6.有缺陷的卫生装置或任何类型的中毒或任何不洁或有害的食物或饮料。
(六)由于震动、移动或减弱支撑引起任何土地、财产、建筑物的损坏责任。
被保险人因改变、维修或装修建筑物造成第三者人身伤亡或财产损失的赔偿责任;(七)被保险人侵害他人姓名权、名称权、肖像权、名誉权、荣誉权以及个人隐私的行为;(八)被保险人侵害他人商标权、专利权、著作权以及商业秘密的行为;(九)被保险人或其雇员作出的或认可的医疗措施或医疗建议、或因其从事医师、药剂师、审计师、设计师、监理师、评估师、律师、会计师、建筑师、美容师或其他专门职业所发生的赔偿责任;(十)被保险人的董事、监事和高级管理人员履行职务时,由于单独或共同的过失行为导致第三者遭受的经济损失,依法应由其及被保险人承担的赔偿责任;(十一)由被保险人出售或提供的物品、产品或商品引起的责任,或是由于被保险人或以其名义对财产从事的工作,在该财产不再为被保险人保管或控制后引起的责任;(十二)被保险人因在本保险单列明的地点范围内所拥有、使用或经营的游泳池发生意外事故造成的第三者人身伤亡或财产损失;(十三)被保险人因在本保险单列明的固定场所内布置的广告、霓虹灯、灯饰物发生意外事故造成的第三者人身伤亡或财产损失;(十四)被保险人因在本保险单列明的地点范围内所拥有、使用或经营的停车场发生意外事故造成的第三者人身伤亡或财产损失;(十五)精神损害赔偿;(十六)间接损失;(十七)由于战争、类似战争行为、敌对行为、武装冲突、恐怖活动、谋反、政变直接或间接引起的任何后果所致的责任;(十八)由于罢工、暴动、民众骚乱或恶意行为直接或间接引起的任何后果所致的责任;(十九)被保险人及其代表的故意行为或重大过失;(二十)由于核裂变、核聚变、核武器、核材料、核辐射、及放射性污染所引起的直接或间接责任;(二十一)罚款、罚金或惩罚性赔款;(二十二)行政行为或司法行为;(二十三)在保险单列明的承保地址范围外所发生的任何损失;(二十四)保险单明细表或有关条款中规定的应由被保险人自行负担的免赔额;(二十五)其他不属于本保险责任范围的损失、费用和责任。
日本财产保险(中国)有限公司办公室综合保险条款总则第一条本条款由财产损失保险、租金损失保险、现金保险、公众责任保险、雇主责任保险和通用条款六部分组成。
财产损失保险、租金损失保险、现金保险、公众责任保险、雇主责任保险部分的约定适用于各自部分,通用条款的约定适用于整个保险合同。
保险人在本保险合同下承担的保险责任以保险合同中载明的各相应部分保险金额或赔偿限额为限。
第一部分财产损失保险保险标的第二条本保险合同明细表中列明的保险标的地址范围内的下列财产可作为保险标的:(一)室内装潢;(二)办公家具和非消耗性用品、用具;(三)办公用电子电器和计算机设备(包括便携式计算机设备和便携式照相摄像器材);(四)存货(包括样品)。
第三条下列财产不属于本保险合同的财产保险标的:(一)金银、珠宝、钻石、玉器、首饰、古币、古玩、古书、古画、邮票、字画、艺术品、稀有金属等珍贵财物;(二)货币、票证、有价证券以及有现金价值的磁卡、集成电路(IC)卡等卡类;(三)文件、账册、图表、技术资料、计算机软件、计算机数据资料等无法鉴定价值的财产;(四)上述第二条(三)以外的其他便携式装置、设备;(五)违章建筑、危险建筑、非法占用的财产;(六)领取公共行驶执照的机动车辆;(七)枪支弹药;(八)动物、植物、农作物。
保险责任第四条在保险期间内,由于自然灾害或意外事故造成保险标的直接物质损坏或灭失(以下简称“损失”),保险人按照本保险合同的约定负责赔偿。
前款原因造成的保险事故发生时,为抢救保险标的或防止灾害蔓延,采取必要的、合理的措施而造成保险标的的损失,保险人按照本保险合同的约定也负责赔偿。
第五条因发生上述保险事故而发生的清除、拆除和支撑受损保险财产的费用,保险人在财产损失之外另行赔偿。
但每次事故该项费用的赔偿金额不超过保险财产损失金额的10%。
第六条保险财产为清洁、维修或其它类似目的而临时移动时,从被保险场所至中华人民共和国境内的任何地方(不包括港、澳、台地区)的往返运输途中,因保险合同本部分所承保的风险发生的损失,保险人负责赔偿。
日本财产保险(中国)有限公司This is a claims made Policy - no claim can be made against this Policy after the expiry date stated in theSchedule.This Policy is not a renewable contract.PROFESSIONAL INDEMNITY INSURANCEAPPLICABLE TODESIGN AND CONSTRUCTION/ENGINEERING ACTIVITIESIn consideration of the Insured having made a written proposal to the insurance company stated in the Schedule (hereinafter referred to as "the Company") containing particulars and statements which are to be considered as incorporated in this policy, and having paid the premium stated in the Schedule, the Company will indemnify the Insured in accordance with and subject to the limitations, conditions and endorsements of this policy.INSURING CLAUSEIf, by reason of any negligent act, error or omission committed or allegedly committed after the retroactive date stated in the Schedule, in the conduct and execution of the Professional Activities of the Insured in connection with a construction/engineering contract stated in the Schedule by the Professional Staff of the Insured or any Professional Party employed or engaged or previously employed or engaged by them, the Insured becomes legally liable to pay any sums arising from any Claim first made against them and notified to the Company during the period of insurance stated in the Schedule, then the Company will indemnify the Insured subject to the limitations, terms, conditions and endorsements of this policy.If, during the period of insurance, the Insured shall become aware of any circumstances which might subsequently give rise to a Claim under this policy and elect, during the period of insurance, to give written notice to the Company of such circumstances, then any such Claim which might subsequently arise out of such circumstances will be deemed to have been made during the period of insurance.COSTS AND EXPENSESFURTHER, it is understood and agreed that the Company will pay, the costs and expenses incurred with the written consent of the Company in the defence, settlement or investigation of any Claim under Insuring Clause which exceeds the Excess stated in the Schedule. Such payment shall form part of the Limit of Liability and are not additional thereto.LIMIT OF LIABILITY1. The maximum liability of the Company under this policy will not exceed the Limit of Indemnitystated in the Schedule in any one Claim and in the aggregate for all Claims made against the Insured (including the Costs and Expenses incurred in the defence or settlement of the Claims pursuant to Insuring Clause).2.All Claims made against the Insured shall, unless they arise from acts, errors or omissions that aredifferent and totally unrelated, be regarded as one aggregated claim and/or loss or expense, and the Company's total liability under this policy for the aggregated claim and/or loss or expense(including the costs and expenses incurred in the defence or settlement of the aggregated claim) will not exceed the Limit of Indemnity.THE EXCESS1. In respect of each Claim made against the Insured, the amount of the Excess specified in theSchedule shall be borne by the Insured at their own risk and the Company shall only be liable to indemnify the Insured in excess of such amount.Should any Claim involve more than one act, error or omission then the Excess specified in the Schedule shall apply to each such act, error or omission separately. All causally connected or interrelated negligent acts, errors or omissions shall jointly constitute a single act, error or omission under this Policy.2. All the Costs and Expenses incurred by the Company (including but not limited to the engagementof professional advisers considered necessary to adequately determine the liability of the Insured and to resolve the Claim to the satisfaction of the Company) shall be borne by the Insured provided that the total amount to be borne by the Insured in respect of any one act, error or omission shall be limited to the amount of the Excess specified in the Schedule.DEFINITIONS1. Insured means:(a) the company, corporation, statutory authority, association, legal entity, members of thepartnership, or person(s) specified in the proposal form, declaration or underwritinginformation being the basis of this contract providing that such definition includes theirpredecessor(s) in business; and(b) any person who is, becomes or ceases to be a principal, partner, director, controllingofficer or employee of any entity specified in (a) above, but in each case solely in respectof work carried out for and on behalf of that entity.2. Claim or Claims means:(a) any writ, statement of claim, summons, application or other originating legal or arbitralprocess, cross claim, counter-claim or third or similar party notice issued against orserved on the Insured for compensation; or(b) the receipt by the Insured of any written demand for compensation made against the Insured.3. The Professional Activities of the Insured means preparation of the permanent record (whetherwritten or electronic) of the design of the project/contract in accordance with the Written Brief.Such record ordinarily comprises drawings, specifications, bills of quantities, method statements, calculations, model, feasibility studies, technical investigations and the like.4. Professional Staff, Professional Party, Professional Sub-contractor, Professional Consultantor External Design Consultant means those qualified personnel (i.e. personnel with tertiary bachelor degrees in an appropriate construction design related discipline such as architecture or engineering; or personnel currently certified, licensed, registered or authorised under the relevant legislation or industry codes of practice governing the relevant profession in construction/engineering industry) who form part of dedicated design team of the Insured .Professional Staff does not include site personnel other than a dedicated project manager.5. Betterment is defined as the additional material costs incurred following under design of any partof a project/contract arising from any act, error or omission but is limited to the additional cost of materials which would have been included had the elements of under design been eliminated prior to the construction costing of the project/contract.6.Tender Process means all activities involved in the preparation and submission of any tenders.7. Written Brief means the information provided to the Insured by the insured’s client (i.e. theprincipal, property owner or the developer) describing the requirement of the project/contract.Such brief must also have been prepared to comply with the requirements of any relevant government authorities.EXCLUSIONS1. This policy will not indemnify the Insured against any Claim :(a) made against or incurred by them prior to the commencement of the period ofinsurance nor in respect of any claim(s) or circumstance(s) or loss(es) or expense(s)notified under any previous policy, nor in respect of any claim(s) or circumstance(s)or loss(es) or expense(s)which might give rise to a Claim which was known to theInsured or was discovered by the Insured at or before the inception date of thisinsurance or which is stated on the proposal form, declaration or underwritinginformation being the basis of this insurance.(This exclusion relates to the act, error or omission from which the claim(s) orcircumstance(s) or loss(es) or expense(s) known to the Insured arises, irrespective ofhow, or whether, that claim(s) or circumstance(s) or loss(es) or expense(s) is/aredeclared to the Company); or(b) arising from or relating to any failure or omission on the part of the Insured to effector maintain insurance; or(c) arising directly or indirectly out of any act, error or omission committed within theterritorial limit of United States of America and/or Canada, its territories orprotectorates; or(d) in respect of any action for damages brought against the Insured in a court of law ofthe United States of America and/or Canada, its territories or protectorates, nor inrespect of the enforcement of judgements, orders or awards obtained in, or pursuantto, the laws of the United States of America and/or Canada, its territories orprotectorates; or(e) arising from the ownership, use, occupation or leasing of property mobile and/orimmobile by, to or on behalf of the Insured; or(f) in anyway connected with the insolvency of the Insured; or(g) brought about or contributed to by the dishonest, fraudulent, criminal or malicious act of the Insured; or(h) comprising the Insured’s corporate overhead charges of any description; or(i) damage or liability directly or indirectly occasioned by or happening through or in consequence of:(i) war, invasion, acts of foreign enemies, hostilities or warlike operations(whether war be declared or not), civil war, rebellion, revolution,insurrection, civil commotion assuming the proportions of or amounting toan uprising, military or usurped power or confiscation or nationalisation orrequisition or destruction of or damage to property by or under the orderof any government or public or local authority; or(ii) any act of terrorism.For the purpose of this exclusion an act of terrorism means an act, includingbut not limited to the use of force or violence and/or the threat thereof of anyperson or group(s) of persons, whether acting alone or on behalf of or inconnection with any organisation(s) or government(s), committed for political,religious, ideological or similar purposes including the intention to influenceany government and/or to put the public, or any section of the public, in fear.This exclusion also excludes loss, damage, liability, cost or expense of whatsoever nature directly or indirectly caused by, resulting from or in connection with any action taken in controlling, preventing, suppressing or in any way relating to (a) and/or (b) above.If the Company alleges that by reason of this exclusion, any loss, damage, liability, cost or expense is not covered by this insurance the burden of proving the contrary shall be upon the Insured.(j) damage or liability directly or indirectly occasioned by, or(i) caused by or arising from or in consequence of or contributed to by nuclearweapons materials, or(ii) arising from or in consequence of or contributed to by ionising radiation or contamination by radioactivity from any nuclear fuel or from any nuclearwaste from the combustion of nuclear fuel. Combustion shall include anyself- sustaining process of nuclear fission.(k) damage to property unless such loss or damage arose directly from an act, error or omission in respect of which indemnity is provided by this policy; or(l) arising from work in connection with any contracts undertaken by the Insured as construction contractors which do not involve the Professional Activities of the Insured; or(m) arising from day-to-day site administration and/or any design change which has not been approved by the Insured’s Professional Staff; or(n) arising from faulty or poor construction workmanship of any kind; or faulty or defective materials used in the construction of the works; or(o) in respect of liability imposed upon the Insured pursuant to any express warranty, guarantee or contractual obligation (including liquidated damages, statutory penalties or convictions or penalty provisions of any kind) which increase the Insured's liability beyond that applicable at the laws of The People’s Republic of China; or(p) associated with Betterment; or(q) arising out of any Tender Process; or(r)arising in circumstances where the Insured has not been provided with a Written Brief; or(s)arising from untried and untested design used in the project/contract.2. This policy shall not apply to and does not cover any actual or alleged liability whatsoeverfor any claim or claims in respect of loss or losses directly or indirectly arising out of, resulting from or in consequence of asbestos in whatever form or quantity.3. The Company shall not be liable to indemnify the Insured against any claim or claims including costs and expenses brought about by or contributed to by or consequent upon or in any way arising out of any failure of any Computer (by whomsoever owned or operated) to recognise or respond to, correctly and effectively, any particular date or period of time (continuous or otherwise).“Computer” herein shall mean any computer or other electronic data processing de vice, equipment or system, any hardware, software, program, instruction, data or component utilised or intended to be utilised therein or thereby, or any actual or intended function of or process performed by any of the foregoing.4.This policy will not indemnify the Insured against any Claim made in respect of any goodsmanufactured, sold, designed, specified, formulated, constructed, installed, distributed, treated, serviced, altered, repaired or supplied by the Insured for:i) the cost of repairing and/or replacing such goods; and/orii) bodily injury or damage to property which was caused by a defect in such goods.CONDITIONS1. The Insured’s Duties(a) The Insured will, as a condition precedent to any coverage under this policy, give theCompany immediate notice in writing of any Claim whether oral or in writing and willprovide all information and assistance to the Company as it may reasonably require toenable it to investigate and defend any Claim and/or to enable the Company to determineits liability under the policy. Such information and assistance will include, but not belimited to, releasing or causing to be released to the Company any and all data anddocuments the Company may require to determine the existence or extent of theCompany’s obligations and asserting all rights of contribution or indemnification asagainst any and all other culpable persons, entities or organisations.(b) The Insured shall not admit liability for or settle or make or promise any payment inrespect of any Claim, which may be the subject of indemnity hereunder or incur any costsor expenses in connection therewith without the written consent of the Company.(c) On notification of any Claim under the policy, the Company may appoint legalrepresentatives to investigate the Claim, and/or assume, direct and control the conduct ofthe defence of any allegation contained in any such Claim. As a condition precedent toany coverage under this Policy, the Insured must provide all information and assistance tothe legal representatives appointed by or on behalf of the Company in the conduct of suchinvestigation or defence. If indemnity under the policy is subsequently denied, theCompany’s obligation to defend such claims will cease but the Insured agrees that thelegal representatives appointed by or on behalf of the Company will continue to have apositive duty to the Company alone to advise and/or represent it on all matters pertainingto the Claim including, but not limited to, the Company’s liability under the policy.(d) The Insured shall not waive any right of recovery they may have against any third party inrespect of matters the subject of this policy.(e) The Insured will, when instructed by the Company, pay promptly (or within the terms ofany proposed settlement) any amount payable by them under this policy provided theamount is within the Excess stated in the Schedule. Any failure or refusal by the Insuredto make such payment will entitle the Company to deduct such amount from anyamount(s) required to settle any Claim, judgement, order, or any other payment to bemade by the Company under this policy.2. Defence and Settlement(a) The Company will be entitled to take over and conduct, in the name of the Insured, thedefence or settlement of any Claim.(b) The Insured will not be required to contest any legal proceedings unless a Senior Counsel(to be mutually agreed upon by the Insured and the Company) advises that suchproceedings should be contested.(c) In the event that the Company elect to settle any Claim, the Company may discharge itstotal liability under this policy by paying the then available Limit of Indemnity to theInsured.(d) In the event that the Insured wishes to continue to contest any Claim which, in theopinion of the Company should be settled, then, with the consent of the Company, theInsured may so elect, provided that the Company's liability in respect of any such Claimshall not exceed the amount for which, but for such election, the Claim could have beensettled, together with costs and expenses payable in accordance with this policy andincurred up to the date of such election.(e) The Company may, if it believes that any Claim will not exceed the Excess stated in theSchedule, instruct the Insured to conduct the defence of the Claim, keeping the Companyadvised of developments as they occur. In these circumstances the Company willreimburse the Insured for all reasonable defence costs in the event that any payment madeto dispose of the Claim by way of damages exceeds the Excess stated in the Schedule. 3. SubrogationIt is a condition precedent to the Insured's right to be indemnified under this policy that the Company will be entitled to claim indemnity or contribution at any time in the name of the Insured from any party against whom the Insured may have (or had) such rights.4. Other InsuranceIf at any time indemnity is granted under this policy, the Insured is or would be but for the existence of this policy entitled to indemnity under any other policy or policies the Company shall not be liable except in respect of any excess beyond the amount which would have been payable under such other policy or policies had this insurance not been effected.5. External Designers, Professional Consultants and Professional Sub-ContractorsThe Company will indemnify the Insured in respect of liability arising out of any act by an External Design Consultant, Professional Consultant or Professional Sub-Contractor of the Insured engaged in the performance of any Professional Activities provided that the rights of recourse against such External Design Consultants, Professional Consultants and Professional Sub-Contractors are not waived or otherwise impaired.6.CancellationThe Insured or the Company may cancel this policy by giving 60 days notice in writing to the other party.If the policy is cancelled by the Company, the Company will arrange a refund of premium pro-rata to the unexpired period of insurance.If the policy is cancelled by the Insured prior to the issue of any practical completion or take-over certificate, the Company will allow a refund of 80% premium pro-rata to the unexpired period of insurance after deduction of the Value of The Incurred Claims, if any.If the policy is cancelled by the Insured after the issue of any practical completion or take-over certificate, the Company will allow a refund of 50% premium pro-rata to the unexpired period of insurance after deduction of the Value of The Incurred Claims, if any.For the purpose of this clause, “Value of The Incurred Claims” shall mean the sum of:(a)all the indemnity paid by the Company (including costs and expenses incurred) in all theClaims made against the Insured and reported to the Company during the period ofinsurance; and(b)the total reserve for indemnity maintained by the Company as of a date three months afterthe date of cancellation of this policy in all the Claims made against the Insured andreported to the Company during the period of insurance.7. Proposal Form - SeverabilityThis policy will protect innocent individuals and/or entities comprising the Insured (other than in the case of single principal operations) in that the Company will not void the policy because of the failure of a person guilty of dishonesty of any description to disclose such dishonesty on the proposal form, declaration or underwriting information being the basis of this policy.8. InterpretationThe interpretation of the terms, exclusions, limitations and conditions of this policy shall be determined in accordance with the laws of The People’s Republic of China .9. SignatoryTo be valid, this policy must have a Schedule attached signed by an authorised officer of the Company.- End of Wording -。
