Purchasing Contract Template
This Purchasing Contract ("Contract") is entered into as of
[Date] between [Seller's Name], with its principal place of
business at [Seller's Address] ("Seller"), and [Buyer's Name],
with its principal place of business at [Buyer's Address]
("Buyer").
1. Purpose of the Contract
This Contract sets forth the terms and conditions under
which the Seller agrees to supply and the Buyer agrees to
purchase certain goods ("Goods") as detailed in the Purchase
Order attached hereto as Exhibit A.
2. Purchase Order
The Purchase Order shall be deemed accepted by the Seller
upon execution of this Contract. The terms of the Purchase
Order are incorporated herein by reference.
3. Delivery
The Seller shall deliver the Goods to the address
specified in the Purchase Order within the timeframe
specified therein.
4. Payment Terms
The Buyer shall pay the total purchase price as specified

5. Warranty
The Seller warrants that the Goods are free from defects

7. Termination

8. Force Majeure
Neither party shall be liable for any failure or delay in
performing its obligations under this Contract to the extent
