Bosses stay awake worrying about a call, a letter or a 100-page presentation in whicha hedge fund outlines the depths of their ineptitude. At the start of the year executives were especially on edge. During this year’s annual “proxy season”—a succession of shareholder meetings—they have mostly avoided voteson dissident nominees to their boards. Nevertheless in recent months some of the world’s largest firm s—including Alphabet, Bayer, Disney and Salesforce—have had to tussle with activists, who are increasingly focused on the biggest companies. On May 25th, as we published this article, the battle between Carl Icahn,a prominent activist, and Illumina, a genomics giant, was set to come to a head.【2】Activist hedge funds are often seen as villains who are nasty, brutish and focused on the short term. Sometimes the shoe fits. But more often activists are playing a role that is essential for shareholder capitalism. For several reasons,their campaigns are increasingly important.【3】One is the rise of passive investing, which attempts to replicate the returns of an index rather than surpass them. Only one in threedollars invested by institutions in America’s thousand largest public companies is actively allocated, according to Man Group, an investment firm. Thebiggest passive asset-managers, such as BlackRock, charge low fees andrun lean investment-stewardship teams which are not designed to spot empire-building bosses or lazy boards. The result is anincreasingly idle corporate electorate. Efforts to enfranchise the ultimate owners offunds are unlikely to solve the problem. They typically want to earn returns but leave the decision-making to somebody else.【4】There are other channels by which bosses’ feet might be held to the fire. Since the 1980s leveraged buy-outs by private-equity firms have been a persistent threat to underperforming executives. The best way to deter a hostile takeover is to raise your company’s share price. Today, however, the buy-out industry is roiling from the effects of higher interest rates, and is unlikely to recover fully for some time.【5】While the routes by which managers are held to account have shrunk, the need to boost profits by applying discipline has grown. When interest rates were low, large technology firms hired aggressively and expanded into peripheral lines of business. Now profits are more important than growth. Over the past decade the demand for managers to respond to environmental, social and governance (ESG) concerns has also grown. Some shareholders campaign for ESG—as is their right—but the danger of firms losing focus and wasting money as they are drawn into politics has increased. 【6】In such an environment the presence of activists is a welcome reminder that itis owners, not managers, in whose interest firms should be run. And because dealmaking is down, activists will be more likely to improve a firm’s operations than force it to sell itself in search of a quick buck. Seize the day.这是我最喜欢的电影之一《死亡诗社》(又名《春风化雨》)里,罗宾.威廉姆斯扮演的老师经常说的一句话,第一次见到那些常青藤的预备生的时候的时候,他带他们去参观了校史馆,里面是学校荣誉的所在,他悄悄地在学生们的耳边吐出这样的话语.他让学生撕掉书上的前言,指引着他们的思维曼妙起舞,不经意地用他的魔指弹奏出激昂旋律.他让学生们叫他船长.噢,船长,我的船长.多么熟悉经典的语句.在一个优异的学子沉迷于演戏,并在对父亲的妥协与不甘中以自杀来反抗后.所有的指责都瞄向了老师,他成了恶魔,把学生推向深渊的刽子手,在学校的压力和威胁下,学生们不得不送走老师.最后一幕,也是我最钟爱的一幕,老师回教室拿东西,校长临时在给学生上课,学生们泫然欲泣,他们对老师说是学校逼迫他们的,老师大度而了然地微笑.在老师准备离开的时候,学生们纷纷站到桌子上,不顾校长的反对和威胁,吟诵着"噢,船长,我的船长",看着这些站在桌子上的水手们,老师回首,微笑,离去.因为他已经明白,他的任务完成了,这些水手们已能为自己的青春做主,为自己的梦想奋斗!Seize the day.老师一直教育他们.我觉得老师最难能可贵的一点是教会他们活在当下,珍惜时间,珍惜自己的梦想和热情.这部电影和《美丽心灵》也是我最最喜欢和热爱的两部励志片!因为他们教会了我很多,前者教会我如何对待和坚持自己的梦想,后者让我懂得如何去实现自己的梦想!当然,这是一部好片子,有起承转合流畅的故事,有巧妙精致的细节,有浪漫质感的画面,还有一群可圈可点的演员,但看完后就是不那么舒服,究其原因,在于片子所表达的主题与我的价值观出现偏差。
这一点让我自己都觉得很奇怪,因为在中学时代,我也曾是一个“反动”分子。
片子里的孩子所干的事情,除了自杀我基本都是过来人,加入个小团体,谈个小恋爱,喝个小酒,打个小架,顶撞个师长,反抗个制度......片中学生们的行为还不算出格,除了自杀的举动,而这个自杀的原因编织得不够有重量,如果就因为自己不能按自己的兴趣爱好来就自杀的话,只能说明这个孩子太脆弱了,试想一下,有多少人在做着自己不喜欢的事情,绝大多数人还不是照样得生存。
爱好与生命相提并论是微不足道的,但要是把爱好悬格成自由,自由与生命,倒可以成为一个题目了,可惜我没有泛滥的浪漫情怀,不敢苟同“若为自由故,两者皆可抛”。
至于老师,我曾经也算遇到过半个Keeting,教的是历史,但他显然没有影片中的人物那样戏剧化,而我对他也只是停留在敬畏的层面。
像Keeting式的老师会在一定程度上启发学生的思维,主要是对生活的不同看法,这样的一个人物对于每个青少年来说都是会存在的,让人突然发现,原来还有另一种活法,但并不代表你就要成为那样。
我对Keeting的开放式教学方法很是赞同,比如他的第一节课,从老照片中得出“carpe diem”,比如帮助学生突破恐惧心理,再比如一边射门一边吟诗,这些想法都很好,就是太戏剧化了,真要放到现实中来效果未必好,只能说这部片子浪漫色彩太浓郁了。
有点矛盾的是,片子又想把学校、学生的状态写实,而所谓“写实”,在我看来不够真实,尤其是学校对学生的束缚程度,还是觉得是被“美化”后的。
如果片子的编导能细了解一些中国教育,那片子里学校与学生的矛盾能激化好几倍。
现实的事情没有影片中那样浪漫,但要比影片中恶劣得多。
记得上中学的时候,痛恨一切教条,对自由热烈向往,以至于做过一些盲目寻求自以为是自由的事情。
看完影片后,我问了一个刚上大一的弟弟什么感受,他说激动、亢奋。
我想如果我是在学生时代看,也会产生共鸣吧。
中国的教育体制可以不用说道,这个词条一出现大家立马能产生共鸣,恨得牙痒痒也照样得按规矩来,这是一个沉痛的话题。
沉痛的话题还依旧沉痛着,且不说沉痛的后遗症,也且不说沉痛后还有更沉痛,我毕竟早已从那片沉痛中走出,也许有些时候还有“反动”的念头,但行为上绝对是良民。
我很无奈地承认,我被制度招安了,这被前辈们称为成长了。
在成长后看这部影片,我不能完全认可片中的“反抗”。
我会老气横秋地说,做学生要有做学生的样子,做老师要有做老师的姿态。
不知从什么时候起,tradition,honor,discipline,excellence逐渐从不屑的口号变成了生活的信条,坚定不移,甚至想不通为什么当初要怀疑它们。
《死亡诗社》是一部极其出色的青春电影,本片由彼得·威尔执导(《楚门的世界》的导演),讲述了发生在美国一所男生大学预科学校的故事,这所学校历史悠久,却死气沉沉,与青春格格不入。
一群学生在新老师基丁的带领下,重现找到了生活的勇气。
我觉得这是大学生必看的电影之一,它告诉我们如何打破陈规,如何追寻理想,如何去发现生活中有趣的东西。
影片一开始开学典礼上学生们背诵校训“传统、荣誉、纪律、优秀”,学生们都害怕进这个学校,称之为地狱。
还为学校编了另一套校训“嘲弄、恐怖、颓废、排泄”,表达学生的强烈不满。
基丁老师的到来打破了学校僵死的气氛,他上课的激情和上课的方法,令学生们大为惊讶,继而兴趣黯然。
比如第一次上课,他从后门进来,又从前门出去,学生一片愕然,之后又带学生去看前辈们的照片。
第二次上课,他叫学生撕掉课本的前言,认为他有碍学生领略诗歌的真谛。
第三次上课,他突然站到课桌上朗读剧本。
之后,还让学生踢足球时每人喊一句口号,让学生各自在院子里走步等等,这些上课的方式极大的激起了学生的兴趣。
基丁老师正如朗诵的剧本一样,“船长,我的船长”。
他教给学生全新的思想,他要学生汲取生命精华,抓住生命每一天。
撕掉课本前言,是要学生打破教条的、僵化的权威。
教大家应该懂得生命、爱情才是真正的诗。
站到课桌上,是要学生换一个角度用不同的方法看世界。
踢足球时每人高喊一句,希望大家不要压抑自己。
院子里散步,教导学生尽量保持自我,保持独立。
影片中基丁老师充满魅力,身上散发出一股强大的力量,深深地影响着和感染着学生。
除了基丁老师,影片里的学生群像也都个性鲜明栩栩如生。
初恋的诺克第一次打电话给心爱的女孩,一拨通电话紧张得有赶紧挂上,当着许多漠生人的面,勇敢地向心爱的姑娘念出自己的情诗,私自在校刊上登出要求招女生的文章,受校长的体罚痛打也不出卖同学。
而尼尔和托德则受基丁老师追求生命意义,发掘真正自我教导影响最为深刻的两个人。
尼尔家境平常,学习成绩优异,父母期望很高。
可是他天生有着艺术的气质,浪漫的理想。
基丁老师关于生命的精华,诗意的思想,极大地触动了他。
他组织同学们恢复基丁老师当年的“死亡诗社”,希望通过诗社的活动与大家一起寻找生命的真谛。
另一个是他怀着极大的激情应聘《仲夏夜之梦》的角色,获演主角,演出大为成功。
尼尔参演戏剧,是出于他真正生命的需要,在基丁老师的潜移默化下,尼尔寻找到真正的自己,。
他假冒极为严厉的父亲之名同意自己参演,可以极度兴废,全身心投入。
他以自己的方式,而不是家长的安排,找到了生命的意义与诗意找到了自己的方向,从中得以成长。
当然,尽管尼尔极具表演天分,但由于家长的严苛,无法与之沟通,尼尔被迫自杀了。
尼尔的死有一点软弱的成分,但他却是生命成长中不可避免的残酷仪式。
尼尔在戏剧里通过角色展现自我,在舞台上尽情展示自己的生命华彩。
这是导演对青春的礼赞,对基丁老师倡导生命诗意的礼赞。
但是,梦幻注定要坠落,青春的成长注定要经受风霜雨雪。
尼尔在成长中夭折了。
可爱的尼尔在青春的灿烂与华美中凋谢了,他们的成长在木讷、内秀的托德中完成。
在一大群活泼的学生中,托德并不出众。
他胆小、羞涩,不积极参与集体活动。
参加“死亡诗社”也只想做一个纪录的工作。
基丁老师要求做一个诗歌作业,不善言谈的托德不愿上去,最后在基丁老师启发与鼓舞下,他不仅爆发了野兽般的号叫,还临场发挥创作了一手充满神奇想象与深刻思想的诗,所有人包括他自己都深受震撼。
他内心是一个十分丰富的世界,而基丁老师激发了他的潜能。
尼尔的自杀使托德悲痛欲绝,平视沉默不语的他踉踉跄跄奔跑在雪地里,发出了令人揪心的呼喊。
紧接着,托德等人被迫签字画押承认尼尔之死与基丁老师有关,学校以此开除基丁。
内心敏感的托德内心难以接受,但在校方的高压下只有沉默。
影片的结尾非常的出色,托德终于打破沉默,站上课桌,高喊“船长,我的船长”,非常朴素地向基丁老师说明画押一切都是被迫的。

导演让托德等人以完全不同的方式宣告了自己的成长与独立,尼尔自杀了,托德等人站起来,以自己强有力的姿态对陈旧、腐朽、邪恶的势力宣战,捍卫了公平、正义,也捍卫了自己纯洁的青春,捍卫了自己的成长。
同学们站在桌上的英姿是他们已经真正成长起来的标志。
有多少人在平静的绝望中把活生生的生活窒息。
又有多少人在生命终结的时候,发现自己从来没有真正的活过。
一个人要做一个真实的自己有时候很难很难,我们不但被现实局限,更可怕的是被自己的思想局限。
北岛有一首描述生活的诗歌,就一个字,生活——网。
却仿佛泰山压顶,让人有一种喘不过气来的感觉。
基顶老师反传统的教育方法,应该成为全中国教师顶礼膜拜的教材,在中国推广。
我们的素质教育已经喊了多少的年头,但是培养出来的学生依然是那些没有思想不会思考没有自我的孩子,不是我们的孩子出了问题,出问题的恰恰是我们的大人,是我们的社会缺乏或根本没有像基顶老师那样的灵魂工程师。
多的是默守成规的校长,盛气凌人自以为真理在握的尼尔父亲般的家长。
《死亡诗社》的剧本精彩是公认的——紧凑,智慧,富有哲理。
特别是基顶老师的台词和他的每一次亮相,精彩绝伦,给人无限的艺术享受和人生启迪。
成为电影史上一个不朽的经典。
他的教学的目的,并非是要让人们熟读一篇文章,记住一首诗歌,他授业解惑,更主要的是要让孩子懂得每一个个体做为人的尊贵。
做一个特立独行的自己,在平静的绝望中用智慧的梨耙开拓出不可思议的精彩人生。
挖掘每一个孩子创造的潜能并让他们在压力面前能够勇敢地站立起来,用府视的眼光渺视一切强权和暴力,卑鄙和伪劣。
基顶老师分明是成功的,当影片最后,大多数的学生,或果断,或彷徨,或犹豫,或勇敢一个个站在桌上的时候,我们终于看到了,传统的教育方法终于在校长坐下坐下坐下的声嘶力竭中败下阵来。
“我步入丛林,因为我希望生活得有意义,我希望活的深刻。
汲取生命中所有的精华,把非生命的一切都击溃,以免让我在生命终结时,发现自己从来没有活过!”基顶老师的教育的终极道路,就是让我们在死之降至的时候,能够坦然地说道:我已经活过。
这样的老师,我们无望在生活上碰到,特别在中国,但是我们应该要感谢这部电影的编剧,使我们有幸在银幕上与这样一位我们曾经渴盼的灵魂工程师邂逅。
更要感谢威廉姆斯把基顶老师这一形象演得栩栩如生。
剧本中有许多纯粹诗意的片断,更有余香满口的精彩台词,让人过目难忘,比如害羞自闭的托蒂,没有在周一完成基顶老师布置的作业诗歌时,基顶老师并没有怪罪他,只是让他用发泄的方法狂吼,终于使他敏感纤细的心灵触摸到了诗意的翅膀,他突然吟出了出自灵魂的诗篇,第一次在诗意的天空翱翔。
