协助合营公司在中国境内购置或租赁设备、材料、原料、办公用具、交通工具、通讯设施等；
assisting joint venture to purchase or lease equipment，raw and processed materials，office and transportation appliance，communication facilities，etc．within the boundaries of china；
协助合营公司联系落实水、电、交通等基础设
施；
assisting joint venture to get water supply，electricity，transport services and other necessities required；’
协助合营公司招聘当地的中国籍的经营管理人员、技术人员、工人和所需的其他人员；
assisting joint venture to employ local chinese management personnel，technicians，workers and other needed persons：
协助外籍工作人员办理所需的人境签证、工作许可证和旅行手续等；
assisting foreign employees to get entrance visas，work licenses and travel permits，etc．；
负责办理合营公司委托的其他事宜。

乙方责任：
按第十一条和第十二条的规定提供现金、机械设备、工业产权……并负责将作为出资的机械设备等实物运至中国港口；

办理合营公司委托在中国境外选购机械设备、材料等有关事宜；

提供需要的设备安装、调试以及生产技术人员、生产和检验技术人员；
sending technical personnel for the installation and debugging of needed equipment and trial production and technicians for production and product examination；
培训合营公司的经营管理人员以及技术人员和工人及其他人员。
training managerial and technical personnel，workers and other employees for joint venture；
如乙方同时又是技术转让方，则应负责合营公司在规定的期限内按设计能力稳定地生产合格产品；
1.Sales Agreement The agreement, (is) made in Beijing this eighth day of August 1993 by ABC Trading Co., Ltd., a Chinese Corporation having its registered office at Beijing, the People’ Repubic of China (hereinafter called “Seller”) and International Tradi ng Co., Ltd., a New York Corporation having its registered office at New York, N.Y., U.S.A.
