Confidentiality Rules
The company's trade secret XXX:
1) All personnel of the company have the XXX secrets for
their own benefit。allow others to use or jointly use them。and

2) All personnel of the company who know the
company'XXX. 本公司所有员工在任职、经营过程中,可能会接触到公司的商业秘密和技术资料,因此必须承担保密责任,不得泄露、打听、谈论公司的商业秘密。对于涉及到保密的资料,特别是密级资料,必须妥善保管。
为了加强保密管理,公司应注意以下事项:各级部门应指定专人保管涉及保密范围内的相关资料,并建立保密档案和台账。保密档案和相关资料必须归入具有保密措施的橱柜内,开锁密码也应定期更换并由专人管理。电脑储存资料和其他载体也必须定期清理和检查,对于涉及到保密范围内的资料和信息,应及时登记储备并采取防泄密措施。员工在离职办理移交手续时,必须将保密范围内的相关资料和载体同时移交,并做好登记手续。对于涉及保密范围的软盘、光盘、移动存储器和其他载体,必须归入档案系统保管,借用人员需经批准并做好借用登记手续。
保密岗位的员工上岗前,必须经所在部门提出意见,经总经理审核同意后方能上岗。用人部门应与公司人力资源、保密等有关部门共同对保密岗位的员工进行审查考核。如果员工违反保密要求,公司应根据有关规定或与员工签订的保密协议的约定视情况作出处理或处罚。对于负有保密义务的员工,公司可以在劳动合同或保密协议中约定竞业限制条款,员工任职期间不得在同行业或相似行业的其他公司、社会团体、其他组织内从事任何兼职工作。如果员工违反竞业限制约定,应向公司支付不少于20万元的违约金。员工在任职期间应严格遵守公司的保密规章制度,履行保密义务,防止泄露秘密信息。员工的保密义务并不因劳动合同的解除或终止而消失,员工对其在任职期间获悉的公司秘密信息仍负有保密义务,应严格遵守公司的有关保密规定。
如果员工违反保密规定,公司将视情况作出处理或处罚。同时,公司应在劳动合同或保密协议中约定违约金、赔偿金等条款。对于严重违反保密规定的员工,公司可以解除劳动合同或保密协议,追究其法律责任。
保护公司机密是每位员工的责任。如果员工违反保密规定,将承担相应的法律责任。具体来说:
1.如果员工泄露或利用公司技术或商业机密,导致公司经济损失,将按照直接损失和预期利益总和的1倍赔偿,实际赔偿不低于200万元。 2.如果员工与公司机密无关,但故意窃取相关资料或信息,公司将按照违纪处理。
3.如果员工负责保存公司机密信息资料,未经批准擅自带出公司,导致公司损失,将按照损失的实际金额的2倍赔偿。如果员工将机密信息资料交易以获取个人利益,将按照利益的3倍赔偿,实际赔偿不低于300万元,并受到违纪处理。
4.如果员工违反保密制度导致公司重大损失或情节严重,将按照实际赔偿不低于300万元的标准进行赔偿,并视情况保留追究刑事责任的权利。
公司有权对上述情况进行警告、扣发薪酬、解除劳动合同、罚款或责令赔偿等处罚,并保留追究刑事责任的权利。
本规定由公司总经理办公室负责解释,总经理办公室还将根据需要对其进行修订和完善。
本规定自颁布之日起生效。
