Article1Definitions第一条定义1.1"TechniqueproposalofsmartT/RVerificationsystem(h ereinafterreferredtoas “thesolution”)"shallmeanalltherequiredtechniquest oconstructthegeneralideawhichwillcommittheattachedt echnicalrequirements.Thesolutionshallincludealltech nicaldetailsofalldesigningschemesandexperimentalver ificationforkeycircuits.智能收发验证系统技术方案（以下简称“方案”），是指设计满足附件要求的总体技术方案，所需要的解决方案。

该解决方案包括全部设计方案资料及关键电路验证技术资料。

1.2"Technicaldocumentations"shallmeanallthenecessar ydocumentstodesignthesolutionandalltheverificationd ocumentsthatpartybwilluseindesigningthesolution.技术资料，指研发解决方案所必需的资料，包含乙方在设计方案的过程中，所使用的全部有关验证技术资料。

1.3“R设计技术方案；(2)Keycircuitsverification;验证关键电路；(3)Detailedtechnicalrequirementsseetechniqueattachm ent.详细技术要求见技术协议附件。

2.1.2Technicalmethodandstrategy技术方法和路线:(1)shouldadoptsocandAsIctechnology;采用soc和AsIc技术；(2)shouldadoptthesmartT/Rsystemtoverifythekeycircui ts.采用智能收发组件系统对关键电路进行实验验证。

2.2Theobligationsofbothparties双方义务2.2.1partybshallsubmittheR启动阶段：晶圆厂的选定、设计文件的获得、工艺文件的分析、计算机系统的建立、eDA软件的租用及购买、验证电路与整体方案设计思路的初步沟通；2)Designphase:moduledivisionofchip,principledesign, computersimulation,layoutdesign;设计阶段：芯片的模块划分、原理设计、计算机仿真、版图设计；3)Testphase:primarytestandconsecutivetest.测试阶段：初测及继续测试。

(2)phasetwo:Alterthesolutionaccordingtothefirstphas eresults,andstartsecondrun.第二阶段：根据第一阶段测试结果对方案进行修改，同时配合总体设计进行修改。

2.2.3withthebothparties’confirmationandontherequestofpartyA,partybshallprov idetechnicalguidanceandtrainingtothepersonneldesign atedbypartyAorprovidethetechnicalservicerelatedinth efulfillmentsolutionafterthesolutionisqualifiedbyth everificationcircuits.双方确定，乙方应在合同方案的关键电路验证合格后，根据甲方的请求，为甲方指定的人员提供技术指导和培训，或提供与完成方案相关的技术服务。

2.2.4withtheconfirmationofthebothparties,withinthev alidityofthecontract,partyAshallaspartyA’sprojectcontactpersonaspartyb’sprojectcontactperson.Ifanychangesofthecontactperso noccur,onepartyshallinformtheotherpartybasedonwritt enmaterialsinduetime.Ifonepartyfailstopromptlyinfor mtheotherparty,itshallbeheldresponsibleforanyinflue nceordamagecausedbytheuntimelynotificationduringthe performanceofthecontract.双方确定，在本合同有效期内，甲方指定为甲方项目联系人，乙方指定为乙方项目联系人，一方变更项目联系人的，应当及时以书面形式通知另一方。

未及时通知并影响本合同履行或造成损失的，应承担相应的责任。

2.3Delivery交付partybshalldeliverthecontractsolutiontopartyAinacco rdancewiththecontentsasspecifiedinitem2.2.2ofthecon tract.乙方应按本合同条款2.2.2规定的内容，将合同方案技术资料交付甲方。

2.4Assessment合同签订后启动费用：甲方支付乙方8万美元；4.2Afterthewholeprimarysolutionprovidedbypartybisqu alified,partyAshallpayonehundredandtwentythousanddo llarstopartyb;乙方整个初步方案通过后，甲方支付乙方12万美元;4.3Afterselectingfoundary,partyAshallpayonehundreda ndfiftythousanddollarstopartyb;选定晶圆厂后，甲方支付乙方15万美元；4.4Afterprovidingthedesignsolutionandsimulatedresul ts,partyAshallpaythreehundredthousanddollarstoparty b;提供设计方案及模拟结果后，甲方支付乙方30万美元；4.5Afterprovidingverificationcircuitsandqualified,p artyAshallpayeighthundredandseventythousanddollarst opartyb.测试电路提供后并验证了电路后,甲方支付乙方87万美元。

Article5Infringementsandconfidentiality第五条侵权和保密5.1partybguaranteesthatthesolutionsuppliedbyeachpar tywithoutanyinterferenceorchargefromanythirdparty.I ncaseofanyinterferenceorchargefromathirdparty,theys hallbehandledbyeachpartyandthethirdparty.therespons ibilityandloss,eitherlegallyoreconomically，shallbebornebypartyb.乙方保证所提供的总体方案不受任何第三者干涉和指控。

如果发生第三者干涉和指控，则由乙方负责同第三者进行交涉，并由其承担法律上和经济上的全部责任和损失。

5.2Afterterminationofthecontractterm,partyAshallsti llhavetherighttousethesolutionandtechnicaldocumenta tionstomanufacturerelevantproducts.在本合同终止后，甲方仍有权继续使用乙方提供的技术方案和全部技术文件进行相应产品的生产。
