APLMA 版本贷款合同审查指引

成本和费用的补偿条款Cost and Expenses交易开支、修订费用、执行费用的补偿属于APLMA版本的常见条款这部分条款可以适当协商借款人不同意承担的费用；者限定上限之类法律条款授权"Authorisation" means:(a) an authorisation, consent, approval,resolution, licence, exemption, filing,notarisation, lodgement or registration; or(b) in relation to anything which will befully or partly prohibited or restricted bylaw if a Governmental Agency intervenesor acts in any way within a specified periodafter lodgement, filing, registration ornotification, the expiry of that periodwithout intervention or action.授权指贷款协议以及贷款协议项下交易所涉及的各类授权授权条款主要用于陈述和保障条款，该定义的内容非常宽泛如果符合APLMA标准定义，无需修改。

融资文件"Finance Document" means thisAgreement, any Accession Letter, any FeeLetter, any Resignation Letter, anyUtilisation Request and any other documentdesignated as such by the Agent and the通常指与贷款协议直接相关的文件担保文件的概念贯穿于整个贷款协议如果符合APLMA标准定义，无需修改。

集团"Group" means the Company and itsSubsidiaries from time to time.指[母公司/借款人]及其子公司贷款协议中贷款人希望界定集团的概念，来扩大集团这个概念的范围，以此将贷款协议的部分内容对集团内所有成员都有约束力（1）应当根据情况缩小概念范围；（2）如果条件允许，甚至可以寻求删除该定义子公司"Subsidiary" means in relation to anycompany or corporation, a company orcorporation:(a) which is controlled, directly orindirectly, by the first mentioned companyor corporation;(b) more than half the issued equity sharecapital of which is beneficially owned,directly or indirectly, by the first mentionedcompany or corporation; or(c) which is a Subsidiary of anotherSubsidiary of the first mentioned companyor corporation,子公司，指：（1）该公司直接控制或间接控制的公司；（2）被该公司直接或间接拥有超过一半已发行股份的其它公司；或（3）该公司子公司的子公司与集团的概念相同，贷款人以此希望将贷款协议的部分内容对更多实体有约束力（1）如果符合APLMA标准定义，无需修改；（2）和集团的概念相比，贷款人可能更不会同意对子公司的定义做修改关联公司"Affiliate" means, in relation to any person,a Subsidiary of that person or a HoldingCompany of that person or any otherSubsidiary of that Holding Company.关联公司包括子公司、控股公司、或控股公司控制的其他子公司如果符合APLMA标准定义，无需修改。

控股公司"Holding Company" means, in relation to aperson, any other person in respect ofwhich it is a Subsidiary.控股公司指该公司，以及其子公司如果符合APLMA标准定义，无需修改。

债务人"Obligors" means the Borrowers and theGuarantors and "Obligor" means each oneof them.指借款人和保证人如果符合APLMA标准定义，无需修改。

人Person包括自然人和拟制人（法人）APLMA标准定义无此定义，如果贷款人版本中有这个定义，可以接受先决条件（CP）1、先决条件是贷款人发放贷款之前必须满足的各项条件，常见的先决条件包括：（1）公司组织文件（章程、合资协议等）；（2）授权文件（各类决议、授权书、签字样本、董事证明）；（3）财务报表；（4）先期费用支付证明（比如承贷费等）；（5）法律意见书；（6）解除原有担保证明；（7）KYC（Know your customer）文件；（8）其它授权文件，等（1）应当逐条核对先决条件是否可以满足；（2）应当根据情况减少先决条件的事项担保权益"Security" means a mortgage, charge,pledge, lien or other security interestsecuring any obligation of any person orany other agreement or arrangement havinga similar effect.“担保”指抵押、押记、质押、留置或其他担保权益担保权益的概念宽于中国法的担保类型如果符合APLMA标准定义，无需修改。

保证条款pliance with lawsEach Obligor shall comply in all respects withall laws to which it may be subject, if failure soto comply would materially impair its ability toperform its obligations under the FinanceDocuments.a.授权（Authorisation）同本表格前文“授权”条款如果符合APLMA标准定义，无需修改。

b.遵守法律（Compliance with laws） b.遵守法律（Compliance withlaws）如果符合APLMA标准定义，无需修改。

c.The borrower will not create or permit tosubmit any Security Interest over any of itsassets.c.消极担保（Negative Pledge）；要求借款人不得对其资产设定任何担保权益。

虽然不是担保，但本质上和担保类似；贷款人要求除非经过其允许，否则借款人不能进行相关的行为。

（2）借款人在“消极担保”和“类似担保的安排”的安排这样的条款上应当逐条核对相关的条款，并尽可能与贷款人沟通，以达到：范围仅适用于借款人，增加一些例外情况，设定限额等d.DisposalsNo Obligor shall [(and the Company shallensure that no other member of the Group will)],enter into a single transaction or a series oftransactions (whether related or not) andwhether voluntary or involuntary to sell, lease,transfer or otherwise dispose of any asset.d.资产处置的限制（Disposals）借款人处置资产方面的限制如果符合APLMA标准定义，无需修改。

e.无借款（No lending） e.无借款（No lending）借款人所在集团内部借款的限制借款人应当进行核实确认。

f.分红及股份赎回（Dividends and shareredemption）f.分红及股份赎回（Dividends andshare redemption）对借款人的限制借款人应当进行核实确认。

g.资产维持（Maintenance of assets）g.资产维持（Maintenance ofassets）借款人应当进行核实确认。

h. AcquisitionsNo Obligor shall [(and the Company shallensure that no other member of the Group will)]acquire any company, business, assets orundertaking or make any investment.33h.不得并购（Merge）债务人不得进行任何合并、分拆、兼并或公司重组借款人应当进行核实确认。

i.Change of businessThe Company shall procure that no substantialchange is made to the general nature of thebusiness of the Obligors or the Group from thatcarried on at the date of this Agreement.i.不得变更业务（Change ofbusiness）借款人应当进行核实确认。

j.保险（Insurance）j.保险（Insurance）借款人须维持通常保险借款人应当进行核实确认。

陈述和保障a.Status(a) It is a corporation, duly incorporatedand validly existing under the laws of thejurisdictionof incorporation set opposite its nameunder the heading "Jurisdiction ofIncorporation" in Part I of Schedule 1 (TheOriginal Parties).(b) It and each of its Subsidiaries has thepower to own its assets and carry on itsbusiness as it is being conducted.a.主体资格(Status）借款人应当进行核实确认。
