销售合同协议英语模板

This Sales Agreement (the "Agreement") is entered into between [Seller Name], with a

mailing address at [Seller Address], and [Buyer Name], with a mailing address at [Buyer

1. Sale of Goods

Seller agrees to sell and deliver to Buyer the following goods and products (the "Goods"):

2. Purchase Price

5. Title and Risk of Loss

Title to the Goods shall pass to the Buyer upon delivery. Risk of loss shall pass to the Buyer

6. Indemnification

The Seller agrees to indemnify and hold harmless the Buyer from any claims, liabilities,

damages, or expenses arising out of or in connection with the use or resale of the Goods.

7. Limitation of Liability

In no event shall either party be liable for any incidental, consequential, special, or punitive

damages arising out of or relating to this Agreement, regardless of the cause of action.

8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State

of [State], without regard to its conflicts of laws principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the sale of

the Goods and supersedes all prior agreements, negotiations, and understandings, whether

written or oral.

业绩目标考核补充协议

协议人： 成都第一健康医疗管理有限公司 （以下简称甲方）

协议人： （以下简称乙方）

甲乙双方经平等协商一致，自愿订立本附件协议，共同遵守本协议所列各项条款。

乙方签订劳动合同后，即刻进入业绩目标考核。

一、试用期业绩目标考核

1、业绩目标考核期限

业绩目标考核时间为 2 个月。每月10日前入职，考核时间为入职当月和次月；每月10日后(含10日)入职，考核时间为入职次月和第3个月。每月1日公布试用人员考核结果。

2、业绩目标考核标准

（1）业绩目标考核期间累计实收达到 2.5万

业绩，即可办转正手续，从次月1日起转为合格健康顾问；

（2）试用期首月未达到 6000元 业绩者，由营销中心负责人视其工作情况，决定是否继续试用；

（3）试用期满累积未达成 2.5万元 业绩标准，则淘汰。

3、业绩目标考核结果

业绩目标考核期结束，未达成业绩目标考核要求的，公司结束业绩目标考核期。如其本人书面申请，且经营销中心负责人签字，可以暂保留OA并进行代理销售公司产品和服务，为时 1 个月，在此期间达成以下标准，可自次月1日起办理入职及转正手续，转正后发放转正奖金2000元并享受合格人员相关待遇。

具体标准如下：

（1） 月均早会参会率≥85%；

（2） 严格按要求填写活动日志，且每日最少客户访量为3访，达标日拜访率≧80%；按公司要求工作汇报率≥90%；

（3） 试用期业绩与代理期内业绩累积达到3万或有已下单并排期的团检业务大于6万。

二、劳动合同期间维持业绩目标考核

所有乙方均需参加劳动合同维持滚动业绩目标考核：

1、对已经签订劳动合同的乙方，实施每连续 2 个月累计业绩计算的滚动式业绩目标考核。

相关具体考核要求如下：

（1）每连续两个月业绩累积≥2万元；

（2）任何一个单月业绩不得少于2000元；

甲乙双方经过友好协商，就甲方委托乙方(独家)代理销售甲方产品事宜，在互惠互利的基础上达成以下协议，并承诺共同遵守。

一、合作方式和范围

1.甲方指定乙方为 (五区一市)的独家销售代理，销售甲方指定的产品，销售基价由甲乙双方确定（详附表），价格如有变动双方另行商定。乙方可视市场销售情况征得甲方认可后，有权灵活浮动。甲方所提供并确认的销售价目表为本合同的附件。

二、合作期限

1.本合同代理期限为12个月，自2012年7月至2013年7月。在本合同到期前的30天内，如甲乙双方均未提出反对意见，本合同代理期自动延长。

2.在本合同有效代理期内，除非甲方或乙方违约，双方不得单方面终止本合同。 三、代理佣金及支付

1.乙方的代理佣金为产品材料销售额的2%；乙方实际销售价格超出销售基价部分，甲方扣除17%增值税，作为乙方代理（销售）佣金，一并支付给乙方。

2.甲方在正式销售合同签订并收到货款后应不迟于3天将代理佣金支付乙方。

3.乙方若代甲方收取货款，在收齐货款后，应不迟于5天将货款汇入甲方指定银行帐户;乙方不得擅自挪用代收的货款。

四、 甲方的责任

1.同意乙方以甲方办事处的名义开展营销工作。

2.向乙方提营业执照复印件、产品介绍、使用说明、产品检验报告、合格证等，并保证所提供资料的真实性。

3.与客户签订合同并履行合同，对产品的质量负全责。

4.甲方应积极配合乙方的推广销售工作，为乙方提供强有力的技术支持，并承担产品的广告宣传、实地考察等费用。（该费用由甲方按1%产品材料营业额同代理佣金一并支付给乙方，由乙方包干使用。）
