Interruption of Service.Customer shall notify the servicing agency in the event of the failure of any Product. ABC, however, may assist in preparation of the SRRC or MPT license application at no charge to Customer.13. Entire Agreement.Customer acknowledges that it has read and understands the terms and conditions of the Agreement and agrees to be bound by them, that it is the complete and conclusive statement of the agreement between the parties and that this Agreement sets forth the entire agreement and understanding between the parties relating to the subject matter hereof and all understandings and agreements, oral and written, heretofore made between ABC and Customer, are merged in this Agreement which alone fully and completely expresses their agreement.14. Amendment.No modification of or additions to this Agreement shall be binding upon ABC unless such modification is in writing and signed by the ABC Division Service Vice President authorized to make such revisions and an authorized agent of Customer.15. Validity.If any term or provision of this Agreement shall to any extent be held by a court or other tribunal to be invalid, void or unenforceable, then that term or provision shall be inoperative and void insofar as it is in conflict with law, but the remaining terms and provisions of this Agreement shall nevertheless continue in full force and effect and the rights and obligations of the parties shall be construed and enforced as if this Agreement did not contain the particular term or provision held to be invalid, void or unenforceable.16. Headings.Section and paragraph headings used in this Agreement are for convenience only and are not to be deemed or construed to be part of this Agreement.17. Law.This Agreement and the Rights and Duties of the Parties Shall Be Governed and Interpreted in Accordance With the Laws of the PRC.18. Assignment.No assignment or transfer, in whole or in part, of this Agreement by Customer shall be binding upon ABC without its prior written consent.19. Waiver.Failure or delay on the part of ABC or Customer to exercise any right, power or privilege under this Agreement shall not operate as a waiver of any right, power or privilege of this Agreement.20. Time To Sue.Except for money due upon an open account, no action shall be brought for any breach of this Agreement more than two (2) years after the accrual of such causeof action except where a shorter limitation period is provided by applicable law.21. Language.This Agreement is executed in both Chinese and English versions. In order to assure the quality of equipment installation project and guarantee technique provider personal and property interests, both parties have negotiated and reached the following agreement, which is fair, voluntary, legal, law-abiding principle.
For the Seller: 卖方的义务
1.由卖方为买方购买的xxx和xxx设备提供技术服务支持。
负责为买方所购买的设备安装,
所需的技术参数,图纸,标准,安装规范,提供支持。
指导买方施工人员,遵守机械设备安装规范进行施工。
The Seller provide technique service and support for the xx and xx equipment to the Buyer.
The Seller is responsible for required technique data, drawing, standard, installation
specification, technique supply for machine of the Buyer. According to the equipment
installation specification.
2.对前期的准备工作给出指导和建议,安装、运输,不带包装,清洗零配件(包括怎么防止
生锈等)。
To give guidance and proposal for putting cases in line with procedure of the erection,
transportation, unpacking and cleaning the parts (including how to prevent rust etc.).
3. 指导买方的工人和技术人员如何保养和维护设备。
To supervise erection of machines and to train the buyer's technicians and workers to make maintenance and overhaul of machines.
4.所有器材自售出即日起,一年内由器材本身质量所产生的故障,将实行:
Any failure or malfunction due to equipmen t’ s itself from and on the date of selling will be treated by ways as below:
1). 一个月保换;Exchange same model product within one month from the date of selling.
2).一年内免费保修;Maintenance free of charge within one year form the date of selling. 5. 保修期为一年。
此期间,卖方履行无偿维护服务。
于接到用户故障后,即时派专业人员到
场;
Guaranty period is one year, within which the Seller shall provide maintenance service free of charge to the Buyer and send professional to the scene as soon as possible upon receiving the Buyer’ S trouble notice.
For the Buyer: 买方的义务
1. 完全使用由卖方提供的设备,零件和配件。
To keep the machines, spare parts and accessories supplied by the Seller properly.
2. 买方要为安装和调试设备工作安排,提供相应的工人。
To meet the requirement of erection and trial production, the buyers shall provide an engineer of maintenance and repair to undertake the following works: welding, turning, benching, planning, drilling, toner’s work, masonry and carpentry etc.
3.买方要提供和调试设备所需要的空调装置,电力装置,水供应装置和相应的操作员,工
人。
To provide following facilities namely: air-condition, power and water supply, transport
equipment and to arrange necessary operators and workers for erection and trial production.
4.卖方在施工过程中,对设备安全提供解决方案。
买方应严格执行卖方提供的安全方案,如
未按相关方案,以及操作规程施工,造成的相关设备,人身事故由买方自行承担。
In construction engineering, the Seller should provide solutions for equipment safety. The Buyer should strict execute security solution provide by the Seller. If The Buyer make the
construction fails to the relevant solution and operation specification, The Buyer must bear the equipment and personal accident caused by violation operation.
Other:其他
发生如下因素之一,所造成的损失故障,不属保用、保修范围,卖方恕不负任何经济责任:The loss / malfunction being produced or due to one of factors or courses below is not within maintenance and warranty, and no any economical responsibility borne by the Seller.
1.非属卖方之专业维修人员或工程人员撕毁保修封条,拆开机器的;
Not specialty of serviceman or the project personnel of the Seller tears maintains seal, disassembles the machine;
2.火灾,电击、外界物体倒塌或其它自然灾害所导致的设备损坏;
Fire, electric shock, outside object collapse or other natural disasters causes make the equipment damage.
3.非卖方职工或非卖方授权使用者使用导致的故障;
Failure or malfunction due to non- Seller staff or non-user authorized.
本协议一式两份。
自双方签字(盖章)之日起生效。
