DefinitionsThe following terms used in this Agreement shall have the following meanings:"Sponsorship Amount" refers to the total amount of financial support provided the Sponsor to the Recipient as specified in Article 3 of this Agreement."Event/Project/Program" refers to the specific event, project, or program for which the Sponsorship is provided."Term" refers to the duration of this Agreement as specified in Article 4 of this Agreement.3. Sponsorship AmountThe Sponsor agrees to provide the Recipient with a sponsorship amount of [Amount] (hereinafter referred to as the "Sponsorship Amount") for theEvent/Project/Program.4. Term of AgreementThis Agreement shall be effective from the date of execution and shall remn in effect until [ specify the end date or duration, e.g., "December 31, 2023" or "fora period of six months from the date hereof" ] (hereinafter referred to as the "Term").5. Use of Sponsorship FundsThe Recipient agrees to use the Sponsorship Amount solely for the purposes specified in this Agreement and in accordance with any additional terms and conditions set forth the Sponsor.6. Promotion and AcknowledgmentThe Recipient agrees to acknowledge the Sponsor in all promotional materials, including but not limited to, press releases, advertisements, programs, and social media posts related to the Event/Project/Program. The Sponsor shall have the right to review and approve any such materials prior to their publication.7. Reporting and AccountingThe Recipient agrees to provide the Sponsor with periodic reports on the progress and financial status of the Event/Project/Program, including but not limited to, a detled accounting of the Sponsorship Amount and its use.8. Representations and WarrantiesEach party represents and warrants that:It has the full legal right, power, and authority to enter into this Agreement and to perform its obligations hereunder.It has not entered into any other agreements that would conflict with or prevent the performance of its obligations under this Agreement.9. Limitation of LiabilityThe parties agree that the Sponsor shall not be liable for any indirect, special, or consequential damages resulting from the performance or non-performance of this Agreement.10. TerminationThis Agreement may be terminated either party upon written notice to the other party in the event of a breach of any material term or condition of this Agreement.11. Governing LawThis Agreement shall be governed and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of laws principles.12. Entire AgreementThis Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.13. SPONSORSHIP AGREEMENT (SAMPLE ONLY)DATE: ___________________________________BETWEEN: ___________________________________ (Sponsor) ___________________________________ (Sponsee)TERMS OF AGREEMENT:1. The sponsee agrees to grant the sponsor the following sponsorshiprights: (List all benefits to sponsor.)2. If the parties cannot agree on an arbitrator, or both parties do notagree with the decision of the arbitrator appointed, the agreementmay be terminated in the following manner:a) If the breach is one that can be rectified, then the non-breachingparty can request in writing that the breach be rectified in 14days. If the breach is not rectified within that time, the non-breaching party may terminate the Agreement immediately;b) If the breach is one that cannot be rectified, the non-breachingparty may terminate the Agreement by giving 14 days writtennotice of their intention to terminate.c) If either party goes into liquidation, is wound up, dissolved(except for the purpose of reconstruction or amalgamation),enters into a scheme of arrangement or is placed under officialmanagement or in receivership, the other party may terminatethe Agreement by giving 14 days written notice of their intentionto terminate under the clause.d) In the event of a termination under this Agreement, each party’srights and liabilities will cease immediately but the terminationshall not affect a party’s rights arising out of a breach of thisagreement by the other party.8. Where one party is unable to carry out its obligations under thisagreement due to circumstances beyond its control or which it couldnot have prevented, those obligations are suspended whilst thosecircumstances continue, provided the other party is notified and thefirst party uses its best endeavours to overcome the circumstancespreventing its obligations from being carried out.9. Each party shall indemnify the other against any claims arising fromany breach of the agreement by either party.10. The terms and conditions of this agreement shall not be disclosedto any third parties without the prior written consent of both parties.11.
