网易新闻客户端-高校校刊入驻协议协议书合同编号:甲方:网易传媒科技(北京)有限公司联系地址:北京市海淀区中关村东路1号院清华科技园科技大厦D座25层联系人:电话:电子邮件:乙方:地址:联系人:电话:电子邮件:经双方友好协商，就乙方授权甲方在其享有权益的"网易新闻客户端"产品中按照甲方编辑的数据格式使用乙方提供的内容，以向因特网及移动网终端用户提供信息服务之合作事宜达成协议如下。
一、合作内容1、乙方授权甲方在网易新闻客户端中使用乙方所经营的刊物《》(包括并不限于以上刊物相关内容)等(以下简称“内容”)。
2、乙方向甲方提供的内容及方式为:甲方在网易新闻客户端建立订阅栏目，乙方开通网易媒体订阅平台账号，每周至少两次主动自行更新平台内容。

2、甲方在网易新闻客户端为乙方建立专属内容订阅栏目。
3、甲方不定期给予乙方订阅首页媒体横幅、活动广场、焦点图(包括并不限于以上推广形式)等新闻客户端优质资源。
4、本协议项下甲方使用乙方内容不需要支付费用。
5、如双方合作良好，可后续展开其它合作，如对方提供品牌视觉形象，我方制作相关新闻客户端产品皮肤、与对方合办线下活动等环节，具体细节由双方另行协商。
6、如乙方提供内容不符合甲方要求，甲方可与乙方协商予以及时补充;如乙方提供内容发生重大变化，甲方可提前单方面终止协议，协议终止后，协议期间甲方使用的乙方内容可以继续保留在原位置。
7、乙方授权甲方可以对乙方提供的内容进行一定的修改或调整，但仅限于为推广目的而制作宣传品及宣传素材等。
三、乙方承担的责任和义务1、乙方承诺其在甲方开设的订阅平台为独家新闻客户端订阅平台。
除甲方平台外，乙方不得在任何与甲方有竞争关系的媒体平台开设订阅栏目。
2、乙方承诺在其所经营的刊物《》每一期的“读者互动”或“线索征集”等版面固定位置体现校刊独家新闻客户端合作媒体:网易新闻客户端等字样。
3、乙方承诺在其所经营的刊物《》每一期的杂志封面/版权页/主编刊首语处/等固定位置添加有乙方订阅二维码地址，方便用户扫码订阅。
4、乙方可以通过自身渠道、招贴、宣传推广等方式宣传自身订阅平台，具体方式可以与甲方共同协商。
5、乙方保证提供给甲方的内容的合法性、真实性，不侵犯第三方的合法权益。
6、乙方保证对所提供给甲方的内容拥有版权或代理版权。

7、乙方保证甲方行使乙方依本协议给予的授权行为不会对第三方权益产生任何影响。
如乙方提供的内容中涉及肖像权、设计权等权利，乙方应负责获得权利人的许可并支付费用。
8、如乙方违反上述保证而造成甲方及/或网易新闻客户端损失的，乙方应负责赔偿。
本协议期满或提前终止后，本条款仍将继续有效。
9、乙方同意在网易新闻客户端因使用或涉嫌使用乙方内容而受到第三方质疑时，配合甲方和网易新闻客户端向第三方或国家机关提供乙方历史上既已登出的有关内容和相关证据。
10. 乙方应妥善保管订阅栏目的账号，不得向任何第三方泄露，如因乙方原因导致账号信息泄露，甲方有权立即更改账号设置并暂停乙方的发布权限，如因此给甲方造成其它损失，甲方有权立即终止协议并要求乙方赔偿其损失。
四、协议期限1、本协议自双方签署之日起生效，有效期为壹年。
2、协议期满前一个月内，如双方没有提出书面异议，协议可自动顺延一年。
3、乙方同意在本协议期满或终止后，网易新闻客户端仍有权刊登在合作期限内乙方已经向甲方提供的内容。
4、因政府机关的法令、指示或命令导致甲方无法继续在网易新闻客户端使用乙方内容的，双方有权提前解除本协议并不承担任何违约责任。
