Agency Agreement
This Agency Agreement (the "Agreement") is made and entered into as of
[date] and between [Principal Company Name], a pany incorporated and
existing under the laws of [Principal Company's Jurisdiction], with its principal
place of business at [Principal Company Address] (the "Principal"), and [Agency
Company Name], a pany incorporated and existing under the laws of [Agency
Company's Jurisdiction], with its principal place of business at [Agency Company
Address] (the "Agency").
WHEREAS, the Principal desires to appoint the Agency as its exclusive agent
to promote and sell its products/services in the territory of [Territory] (the
"Territory"), and the Agency is willing to accept such appointment on the terms
and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and
agreements contned herein, the parties agree as follows:
1. Appointment
The Principal appoints the Agency as its exclusive agent to promote, market,
and sell the Principal's products/services in the Territory. The Agency agrees to
use its best efforts to promote and sell the Principal's products/services in the
Territory and to ply with all applicable laws and regulations in the performance
of its duties under this Agreement.
2. Term
The term of this Agreement shall mence on [Start Date] and shall continue
for a period of [Duration] years. Unless otherwise terminated in accordance with
the provisions of this Agreement, this Agreement shall be automatically renewed
for successive periods of [Renewal Duration] years upon the expiration of the
initial term or any renewal term.
3. Duties and Obligations of the Agency
(a) The Agency shall use its best efforts to promote and market the
Principal's products/services in the Territory. The Agency shall develop and implement marketing strategies and plans to increase the sales of the Principal's
products/services in the Territory.
(b) The Agency shall mntn accurate and plete records of all sales and
marketing activities related to the Principal's products/services in the Territory.
The Agency shall provide the Principal with regular reports on the sales and
marketing activities and the results achieved.
(c) The Agency shall not engage in any activities that may damage the
reputation or image of the Principal or its products/services. The Agency shall ply
with all instructions and guidelines provided the Principal from time to time.
(d) The Agency shall be responsible for handling all customer inquiries, plnts,
and售后服务 (after-sales service) related to the Principal's products/services in
the Territory. The Agency shall promptly forward to the Principal any customer
inquiries or plnts that require the Principal's attention or intervention.
4. Duties and Obligations of the Principal
(a) The Principal shall provide the Agency with all necessary information,
materials, and support to enable the Agency to perform its duties under this
Agreement. The Principal shall provide the Agency with trning and technical
support as may be reasonably required.
(b) The Principal shall ensure that the products/services provided to the
Agency are of high quality and ply with all applicable standards and regulations.
The Principal shall be responsible for any defects or deficiencies in the
products/services.
(c) The Principal shall not appoint any other agent or distributor to promote
and sell its products/services in the Territory during the term of this Agreement
without the prior written consent of the Agency.
5. Commission
In consideration of the services provided the Agency under this Agreement,
the Principal shall pay the Agency a mission of [Commission Rate]% on the net
sales of the Principal's products/services in the Territory. The mission shall be
calculated and pd on a monthly basis within [Payment Period] days after the end
of each month. 6. Payment Terms
All payments made the Principal to the Agency under this Agreement shall
be made in [Currency] and shall be pd to the Agency's bank account as specified
in this Agreement. The Agency shall issue an invoice to the Principal for each
payment due.
7. Confidentiality
(a) Both parties agree to keep confidential all information and materials
disclosed the other party during the course of this Agreement. The parties shall
not disclose such information to any third party without the prior written consent
of the disclosing party.
(b) This confidentiality obligation shall survive the termination of this
Agreement for a period of [Confidentiality Period] years.
