CONTRACT FOR SPACE FORM ENTERPRISE LEARNING CHINA
PUDONG EXPO - SHANGHAI
11 - 12 NOVEMBER 2008
1.DEFINITION
The terms of this contract are defined as follows: “EXHIBITOR” means the company or person that applied for exhibit space rental and agreed to enter into that contract upon acceptance by GL events China in the manner state below.
“ORGANIZER”means collectively GL events China and each of its employees and assigns.
2.APPLICATION FOR THE EXHIBITION /
ADMISSION
The Application is legally binding for the Applicant/Exhibitor. The authorized signature on the Application Form is legally binding for the Applicant/Exhibitor. The Application must be made on the GL events China Application Form.
The Organizer will exclusively decide if the Applicant will be allowed to participate as an Exhibitor of the exhibition, without having to justify his decision. The Application doesn’t give the Applicant any right whatsoever to a specific rental space area and doesn’t justify a legal claim to a stand location. The Organizer will give advice to the Exhibitors on stand location and will then inform of the definite location.
On acceptance of the application, the Exhibitor will receive a written confirmation of his rental space area. If admission rights are being transmitted to a third party, the Exhibitor is obligatory to ask for written permission from the Organizer. Exhibitors are not authorized to sub rent or lend their stand.
3.PAYMENT CONDITIONS & WITHDRAWAL
CONDITIONS
Each space rental booking is subject to a deposit payment: see amount in attached contract. If the Exhibitor cancels its participation, this deposit remains definitely granted to the Organizer.
The remaining rental space fee is due in full not later than: see attached contract.
If the Exhibitor wishes to cancel its booking, he needs to send a registered letter (for instance, by EMS) to the Organizer before the Exhibition starts. Any cancellation made until 90 days prior to the show will incure a charge of 50% of the value of the contract. Within 90 days, the charge will be 100% or at the discretion of the organizer. Three days after confirming to the Exhibitor the reception of its registered letter, the Organizer is entitled, but not forced to re-utilize the cancelled stand space for a different purpose. The Exhibitor can not claim for compensation.
No Exhibitor will be allowed to participate at the Exhibition if all the due fees have not been paid. If the space rental and the other invoiced fees have not been paid within the period indicated, the Exhibitor loses the right to participate at the Exhibition, loses any right to contest and shall be liable for the total payment.
4.STAND CONSTRUCTION AND DISMANTLING,
CLEANING
Hours and dates for installing, occupying and dismantling exhibits shall be those specified by the Organizer.
By handing over the application, the Exhibitor commits himself to occupy his stand in time before the beginning of the exhibition and to stay until the official end of the exhibition.
Only in exceptional circumstances can construction and dismantling work be carried out outside of the period specified by the Organizer and then only with the prior written consent of the Organizer against additional payment.
Stand arrangement and equipment is up to the Exhibitor. If the clearance of the stands has not been undertaken within the time indicated, the Organizer is authorized to have the stand cleared at the expense of the Exhibitor. With no liability for losses or damages, the goods will be put in storage at the Organizer’s forwarder.
The Organizer is responsible for the cleaning of the hall gangways and of the open exhibition area. The Exhibitor is responsible for the cleaning of his stand; this has to be completed before the daily opening of the exhibition. During the Exhibition, the appearance of stand must be impeccable; bulk packaging and items not used for presentation must be stored away from public view.5.LIGHTING, ELECTRICITY, GAS AND WATER
The Organizer is responsible for the general lighting in the
exhibition halls.
The Exhibitor will be charged separately for the costs of
the installation and usage of gas, water and electricity
supply for each stand. The stand owner is liable for all
damages incurred by uncontrolled removal of energy. The
Organizer is not liable for interruptions or capacity
fluctuations in gas, air, water and electricity supply.
6. MUSIC PERFORMANCE / ADVERTISING
Sound or music within a stand is not permitted without the
written authorization of the Organizer. The Organizer shall
ask the Exhibitor to stop the music or may cut off the
power supply if the Exhibitor violates this rule.
Distribution of samples and printed matter of any kind and
any promotional materials is restricted to the exhibit stand.
No signs, decorations, banners, advertising material or
special exhibits will be permitted in the common area
except by written permission of the Organizer.
By exhibiting at the exhibition, Exhibitor grants to the
Organizer a fully-paid, perpetual non-exclusive license to
use, display, and reproduce the name, trade names and
product names of the Exhibitor in any directory (print,
electronic or other media) listing the exhibiting companies
at the exhibition and to use such names in the Organizer’s
promotional materials.
7.SECURITY GUARDING / EXCLUSION OF
LIABILITY / INSURANCE
The Organizer is responsible for the general security of the
exhibition halls and for the control of the entrances, until
the official ending of the exhibition on the final day.
The Organizer is not liable for any loss or damage of
articles brought by the Exhibitor, arising during the
exhibition, transport and at installation and dismantling
times. The general security assumed by the Organizer
does not limit the exclusion of liability for damages to
property or injuries.
The Organizer is only liable within the framework of his
legal liability so that any further liability for damages to
property or injuries on the exhibition center, in the halls,
on the open exhibition area, parking lot, paths, etc. are
excluded. In particular, damages resulting from fire,
water, explosion, demonstration, acts of violence, storm
and other kinds of force majeure or from theft, burglary,
break-down of a supply network (such as electricity, gas,
water) and similar causes are excluded.
The Exhibitor has to insure himself against all possible
dangers (notably theft of exhibits).
The Organizer is entitled to check at any time whatsoever
that the security regulations are being observed. The
Organizer is authorized to order the immediate elimination
of a situation which does not conform to regulations at the
expense of the Exhibitor and to prohibit at all times any
operation which is against regulations.
The Exhibitor undertakes to observe instructions and
directives given on the basis of public emergency
regulation (smog directives, emergency laws, etc.).
The Exhibitor is liable for all damage to persons or
property, as well as economic losses, which have been
caused by his stand construction, stand equipment,
exhibits and their operation or by his employees or those
acting on his behalf.
If local trade and sanitary permits are necessitated, these
documents are to be obtained by the Exhibitor in good
time prior to the start of the event and kept on hand at the
stand. The Organizer does not bear any risk of insurance.
8.FORCE MAJEURE AND EXCLUSION OF CLAIMS
FOR COMPENSATION
The Organizer may cancel or postpone the Exhibition in
case of force majeure. If the Exhibition is cancelled by the
Organizer, amounts paid by the Exhibitors will be
reimbursed, after deduction of costs engaged for the
preparation of the Exhibition. Modifications of dates or
hours of the Exhibition will not justify partial or total
cancellation by the Exhibitors. If the exhibition shall be
interrupted once opened by force majeure, the Organizer
is not obliged to refund the space rent or parts of it.
9.EXHIBITS
Exhibitors agree to exhibit products and materials in
accordance with the People’s Republic of China regulations;
and to present only products and services for which they have
been admitted to exhibit and that he manufactures,
represents or distributes.
Non-authorized exhibits or services may be removed by
the Organizer at the expense of the Exhibitor. In case that
the Exhibitor presents repeatedly non-authorized exhibits
or services, the Organizer is entitled to close the stand.
The same applies for inadequate objects regarding
appearance, smell, noise or obvious faults.
According to the Measures of Shanghai Municipality for the
Administration of the Exhibition Industry, retail sales at
the exhibition are strictly prohibited.
10.PICTURE AND SOUND RECORDINGS
Photographs, video films and soundtracks made by
professional within the Exhibition may be permitted, with
the written approval of the Organizer.
The Exhibitor authorizes the Organizer to use all
photographs taken during the Exhibition representing his
stand, including all representations of his brands, logos,
and products, for its own promotion purposes only
(internal communication, promotional brochures and
website, press packs).
11.VERBAL AGREEMENTS
Verbal agreements are valid only after a written
confirmation by the Organizer.
12.SETTLEMENT OF DISPUTES
Any dispute arising from the execution of, or in connection
with this contract shall be settled through friendly
consultations between the two parties.
In case no settlement can be reached through
consultations, the disputes shall be submitted to the China
International Economic and Trade Arbitration Commission
(CIETAC) in accordance with its rules of procedure in
Shanghai People’s Republic of China in English.
The award shall be final and binding on the two parties. By
submitting the dispute to arbitration, the parties shall
have undertaken to carry out the resulting award without
delay.
13.APPLICABLE LAW AND LANGUAGE
This contract, its validity, interpretation, execution and
settlement of disputes shall be governed by the related
laws of the People’s Republic of China.
When the publicly available laws do not govern a certain
matter, international legal principles and practices shall
apply.
This contract shall be written in English version.
14.VALIDITY AND MISCELLANEOUS
Exhibitor further acknowledges that this document
constitutes the entire agreement and the binding rules
and regulations existing between the Parties.
This contract is signed in China by the authorized
representatives of both parties in 2 originals in English.
