WHEREAS SELLER agrees to sell and deliver and BUYER agrees to purchase, accept delivery of and pay for coal on the terms and conditions set out in this Agreement.

在双方接受和遵循本合同条款的情况下,卖方同意销售并出运,且买方同意购买煤。

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

ARTICLE 1

1.1 “MT” shall means metric tonne (s) (Equal to 1,000 Kilogram – for Calculation of coal Weight)

1.14 “Su itable Vessel ” shall means bulk coal cargo vessel with full grabs and gears, less than 20 years old

and suitable for anchorage loading in open sea from SELLER ’S loading devices (Barges);

1.14 “Su itable Vessel ” 指配备全套的链钩和齿轮、船龄低于20年的、在卖方装运地的公开海域适合

抛锚的能够装载煤的船只

1.15 “Holiday s” shall refer to “Idul Fitri, Idul Adha, Chinese New Year, Easter Day, Good Friday, Labour

Day, Independence Day, General Election Day, Christmas Day, New Year, Vesak Day, Nyepi Day,

and other government declared national non-working public holidays in Indonesia";

1.15 “Holiday s” 指“开斋节、回教节、中国新年、复活节、耶稣受难日、劳动节、独立纪念

日、大选日、圣诞节、新年、卫塞节、安宁日和印尼政府规定的其他不工作的公众假

日”。

1.16 “S tevedore ” shall means person(s) who conducts the loading services (stevedoring) of the coal

appointed and hired by The SELLER;

1.17 “Laytime ” shall means time allowed for loading a vessel calculated based on the loading rate as per

Article 11;

1.17 “Laytime ” 指根据条款11指出的装卸率允许装运的时间

1.18 “Time Sheet or Statement of Fact s” shall means a document which records all daily particulars

relating to the loading or discharging of the coal as well as the duration of and reason for any

stoppage of work and is used as a basis for the calculation of demurrage/dispatch;

1.19 “WWD ” shall means Working Weather day, that is, a day of 24 consecutive hours on which work in

loading coal on board a vessel may be carried out without loss of time due to the weather;

1.20 “ATDN SSHINC ” means any time day or Night Saturdays, Sundays and Holidays including;

1.22 “L/C”shall mean Documentary Letter of Credit, Irrevocable, 100% at sight, Transferable or Non

Transferable from acceptable prime International to the SELLER bank;

1.22 “L/C”指头等银行开立给卖方的不可撤销、100%即期、可转让或不可转让的跟单信用证

1.23 “D emurrage” means a penalties/charges payable by SELLER in the event the SELLER is unable to

complete the loading within the laytime period given based on the loading rate;

1.23 “滞留费”指由于卖方没有在装卸期限内完成装运而支付的罚金

1.24 “D espatch”means a bonus payable by the BUYER in the event the SELLER complete the loading

earlier than the laytime period given;

1.24 “派遣费”指由于买方提早在装卸期限内完成装运而支付的奖金

1.25 “Laycan” means an estimated date of vessel arrival at the loading anchorage point/port;

1.26 “ETA” means Estimate Time of Arrival of vessel;

1.27 “ETD” means Estimate Time of Departure of vessel.

ARTICLE 2

COMMODITY & SOURCE

商品和货源

2.1 Coal deliverable hereunder shall be Indonesian Steam (Non-Coking) Coal in Bulk as per

specifications set in Article 6.1.

2.1 以下所说的将要出运的煤应该是(无炼焦的)散装印尼煤,规格遵照条款6.1

2.2 The coal to be supplied by the SELLER to The BUYER under this agreement shall come from mine in

Kalimantan, Indonesia

3.1 Seller shall deliver and Buyer shall purchase 60,000 MT +/- 10% for 1(one) trial shipment follow by

11 x 60,000 MT per month in total 720.000 MT within the contract period of 1 (one) year of Indonesian

origin steam coal.

3.1 卖方将出运60,000公吨+/- 10% 的印尼动力煤作为第一单试单,接下来再出运1船货每月,合同期限为1年。

COAL PRICE

煤的价格

4.1 Unit price USD 96(United States Dollars nine ty six) per Metric Ton FOBTMV Kalimantan,

Indonesia, NCV ARB 5500 Kcal/Kg reject below NCV ARB 5300 Kcal/Kg for the first 1 (One) trial shipment only.

4.1 单价 USD96(96美元)每吨,FOB平舱印尼加里曼丹,净热值收到基 5500 Kcal/Kg 净热值收

到基低于5300 Kcal/Kg 拒收,此价格仅作为第一单试单。

4.2 Following the first 1 (One) trial shipment, base price will be recalculated accordingly. This adjusted

price will then be used for the next three (3) months or three (3) shipments, whichever is earlier. All changes in the base price have to be confirmed by both The SELLER and The BUYER in writing. Any disagreements are to be resolved by referring to Newcastle Global Coal (NEWC) published Index at: https://www.doczj.com/doc/ee7263929.html, and are to be considered final.

4.2 第一单试单之后的价格将作相应调整。调整后的价格作为接下来三个月的三船货的价格。价

格的改动必须由买卖双方书面确认。若产生分歧,则根据全球煤炭交易平台:https://www.doczj.com/doc/ee7263929.html, 来解决,且解决结果作为最终的。

4.4 The base price is inclusive of all local and/or exports taxes and or any other additional fees at

loading port.

5.1 Cargo will be on board fully geared vessel nominated by The BUYER and accepted by The SELLER.

Goods to be delivered within 40 (fourty) days for trial shipment to the vessel at loading anchorage point at one safe open sea Kalimantan, Indonesia

QUALITY DETERMINATION

6.1 The quality of coal to be supplied hereunder shall be with the following typical specifications to be

determined and analyzed as per ASTM standard. All percentages used refer to percentage by weight.

6.2 The sampling and analysis of the Coal during loading of the subject Coal into the vessel at the loading

port will be ascertained by ……...

6.2 在装运期间煤的抽样和分析将由……进行。

6.3 Certificate of Sampling and Analysis/Certificate of Quality issued by CCIC at the loading port shall be the

basis for the payment settlement pursuant to this contract, upon the parties hereto.

6.3 在装运港 CCIC 出具的质量检测的结果作为付款的依据。

6.4 The Buyer shall have the right to appoint the surveyor of CCIC to sample and analysis the coal at loading

port incurred pursuant to this Article shall be borne by and charged to the Seller.

6.4 买方有权指派 CCIC 的检验员对装运港的煤进行抽样和分析,本条款指出的所有在装运港产生的

检验费用由卖方支付。

6.5 The CCIC Laboratory report shall be regarded as final,all sample shall be obtained from the mother

vessel at loading port.

CCIC 出的报告将被视为最终报告,样品需从装港的母船上取得。

ARTICLE 7

QUANTITY DETERMINATION

数量检测

7.1 At loading port:

在装运港:

7.1. A Certificate of Weight for the shipment at loading port shall be issued by CCIC to be mutually agreed

by Seller and Buyer. The Buyer shall have the right to appoint the surveyor of CCIC to sample and analysis the coal at loading port.

7.1. 装运港货物的重量检测需由买卖双方同意的…CCIC…进行检验。买方有权指派…CCIC…..的检验员

对装运港的煤进行抽样和分析。

7.2. The Certificate of Weight at the loading port shall be the determination of payment.

7.2. 装运港重量证书作为结算依据。

7.3. The Certificate of Weight shall be based upon the determination of weight by draft survey of the

carrying vessel at the loading port ascertained by an …….mutually agreed by Seller and Buyer.

7.3. 重量的检测需基于由买卖双方同意的…….对装运港船只的检验进行。

7.4. All inspection cost at the Loading Port incurred pursuant to this Article shall be borne by and charge to

the seller.

7.4. 本条款中列明的所有装运港检验所产生的全部费用由卖方承担。

The four (4) “sample sets” shall be established for this shipment at loading port as follows :

本次出运需装运港准备四份“样本”并按如下进行分配:

at the loading port to determine its quality and characteristics.

(a) 一份样本是用来给CCIC 在装运港对货物的质量和特性进行分析检测的。

(b)One sample set shall be delivered within fifteen (15) days after the B/L date to the buyer in a suitable

airtight container, properly sealed and labeled , by air parcel or in such other manner as the buyer may direct.

(b) 一份装于密封容器内并贴上标签的样本将在提单所示日期后15天内通过空运包裹直接寄给买方。

(c) One sample set shall be kept by the seller.

(c) 一份样本由卖方保管。

( d) One sample set shall be retained by …….at the loading port.

(d) 一份样本由装运港………检验机构妥善保存。

PRICE ADJUSTMENT ON QUANTITY & QUALITY

质量和数量的价格调整

8.1 In the event the quality of coal supplied as determined by …CCIC…..vary from the specifications

set out in ARTICLE 6, then adjustment to the invoice shall be made in accordance with the following provisions:

8.1.2 Total Moisture As Received Basis

If the actual Total Moisture (ARB), as determined by …CCIC …is higher than 16% then the

invoice weight shall be adjusted by the following formula:

Invoiced Weight = Actual Weight x [100%- (Actual TM –16%)]

The BUYER have the right to reject to cargo should the Total Moisture (ARB) exceed 17 %

8.2 Ash (Air Dried Basis)

The cargo shall be subject to rejection by The BUYER should the ash be reported to be above 13 %.

ARTICLE 9

PAYMENT TERM, DOCUMENTATION, PENALTY & PERFORMANCE BOND

9.1 IRREVOCABLE, NON-TRANSFERABLE DLC at sight

100% of the L/C value shall be paid through the L/C acceptance bank by providing a full set of documents (clean on board ocean B/L , P/L, Invoices, Certificate of origin, Inspection report and other necessary documents).

不可撤销、不可转让即期跟单信用证

提供全套文件(海运清洁提单、装箱单、发票、产地证、检验报告和其他必要的文件)给信用证承兑银行来议付100%的信用证金额。

9.2 T h e L / C s h o u l d b e e s t a b l i s h e d w i t h i n 7 (seven) banking days after the final contract

is duly signed by all parties.

9.2 在双方签字后的7个银行工作日内,LC需要被开立。

9.3 The L/C payment shall be effected against presentation of following documents:

e.One original and 2 copies of Certificate of Origin issued by IndonesianGovernment authority.

f.Beneficiary’s Certificate stating that copy of 1 (one) set negotiable shipping documents shall be email

for custom and port clearance within 7 (Seven) business days from date of sailing of the vessel. Seller

shall be responsible for any delay, demurrage and consequential losses, due to delays of this transmitting

these documents.

f. 开航后7个工作日内,卖方需将受益人证明电邮给买方。由于这些文件的迟交而导致的滞留费和

间接损失均由卖方承担。

g.A statement issued and signed by representative of applicant whose signature must be in conformity

with the record held in applicant’s bank, showing the cargo is comply with the specifications

stipulated by the contract.

Additional conditions:

1.All Documents must be issued in English Language.

2.Charter Party bills of lading are acceptable.

at loading port, if higher than 16 percent, weight will be adjusted as per the following

The BUYER have the right to reject to cargo should the Total Moisture (ARB) exceed 17%

如果总水分高于17%(收到基),则买方有权拒收货物。

7.All charges, interest and Levy by the issuing bank or their agen t’s including confirmation

charges are for the applicant account. All charges outside issuing bank’s country are for the

beneficiary’s account.

7. 所有由开证行或其代理行产生的费用、利息、税收,包括确认费用均由申请人支付。所

有开证行意外的费用均由受益人支付。

8. L/C to indicate: spelling or typing errors not affecting figures are not considered discrepancies

9. L/C to be subject to the uniform customs and practice for documentary credits (2007 revision)

ICC publication no. 600 unless expressly stated.

10. L/C to be opened as per contract terms, all amendments required as a result of not opening

L/C as per contract terms are for applican t’s account. All amendments required due to

SELLER’S requesting extension of validity date or last shipment date would be on the

beneficiary’s account.

10. 开立的LC作为合同的一部分,因为延迟开立信用证而产生的费用由申请人承担。所有由

11. L/C to allow under or over drawn due to price adjustments based on quality findings.

9.5 The Seller after receiving LC cable to open a fully operative Performance Guarantee Bond (PB)

within 3 (three) banking days as per Buyer’s approved format for 2% (Two percent) value of 1 (One) shipment which will remain valid for until success ful loading on mother vessel.

VESSEL NOMINATION, LOADING TERMS AND DEMURRAGE/DESPATCH SETTLEMENT

船只的指定、装运条款、滞留费/派遣费

10.1 Shipment to be performed by self loading / fully geared Mother vessel. In case of Mother vessel

not equipped with crane & grabbers, BUYER has to arrange floating cranes and/or grabbers at BUYER cost.

10.1 货物由齿轮链接的母船装载。如果母船不配备起重机和链钩,则买方需出资安排起重机和链

10.4 BUYER to nominate for each shipment a vessel to SELLER 10 (ten)days prior to Estimate Time

Arrival (ETA) of the vessel after SELLER provide confirmation and prove of 75% cargo readiness at stockpile or jetty. The ETA dates should be within the agreed dates, negotiated between BUYER and SELLER. SELLER will reply within 24 hours a formal letter acceptance of the nominated vessel, which acceptance shall not be unduly withheld.

Vessel to be classed highest Loyds or ABS or equivalent and ISM certified with max 20 years of age unless otherwise agreed. Vessels with more than 20 years of age to be mutually agreed on case by case basis and loading rate may change depending on vessels loading capacity.

Demurrage / Despatch rate to be informed by BUYER to the SELLER according to the relevant Charter Party upon vessel’s nomination. If the SELLER fails to meet the specified loading period, the SELLER shall pay the demurrage to the BUYER for the time lost after expiration of allowable lay time at the rate given as per charter party agreement of 8000 MT PWWD SHINC. For the purpose of this agreement, allowable lay-time shall be calculated by dividing the loading quantity (metric tons) by the agreed loading rates (Metric Tons per 24 hours of weather working day). BUYER to appoint agents at load port whose full style shall be forwarded to SELLER. BUYER or their agents shall send 7,

5 days approximate notice and 3, 2, 1 day (s) to the SELLER.

5 MT cranes capacity and equipped with minimum 4 x 10 CBM grabs and the loading rate to be minimum 8000 MT PWWD SHINC, basis geared vessel with 4 x 20 MT cranes capacity and equipped with minimum 4 x 8 CBM grabs (excluding weather, break down cranes that affect the operation). This rate will be the rate to be applied for the calculation of demurrage or dispatch.

SELLER guarantee ’s BUYER with 1 (one) safe Anchorage at Anchorage Point at One safe open sea Kalimantan, Indonesia confirmed at the time of vessel acceptance.

11.1.1 The BUYER / vessel agent shall intimate in writing to the SELLER, the name of person, company

and full style of the nominated vessel agents at the loading port. The Notice of Readiness (NOR) will be addressed and tendered to the agent by e-mail or fax. The NOR to be tendered ATDNSSHINC, Indonesian major holidays excluded and NOR will be deemed accepted if it has been tendered as per contractual terms. Lay time to commence 12 hours after tendering NOR unless sooner commenced, in which case actual time used to count.

11.1.1 买方/船运代理需书面通知卖方,人名、公司名称、装运港指定船只的设计。备装通知应通过

email 或传真给代理。除了印尼主要节日,备装通知都必须发出。销约期开始于收到备装通知后12小时。

11.1.2 Detention: In the event the vessel is prevented from or delayed in berthing or sailing at / from the

load port as a result of SELLER failure to complete all formalities and process necessary documentation and BUYER has provided necessary L/C before shipment, SELLER will be responsible for the costs associated with the detention of the vessel over and above demurrage.

11.1.2 延迟费:如果买方已经在出运前提供了LC ,船只由于卖方未完成必要的手续和文件而在装运港

泊位受阻或延迟,那么卖方需支付由于船只滞留而产生的费用。

11.2 Dead Freight: The Owner / Master / Agents of the vessel nominated to SELLER by BUYER shall

declare the stowage plan to the SELLER / their agents by e-mail / fax, prior to arrival of vessel at loading port. Once the stowage plan is declared, the SELLER shall load coal as per the quantity declared in the stowage plan. For any short quantity loaded, the SELLER shall pay dead freight which shall be calculated by multiplying the short quantity by the freight rate of the vessel nominated to the SELLER. 11.2 空舱费:由买方指定给卖方的船只的所有者/主人/代理需在船只抵达装运港前通过email 或传真将货物积载计划提交给卖方或其代理。货物积载计划发给卖方后,卖方需按照计划所列开始煤的装运。如果短装,卖方需支付空舱费。

STEVEDORING DAMAGE

装卸损坏

12.1 The Stevedores at loading port are to be appointed by the SELLER at their risk and expense. The

Stevedores shall be considered as the SELLER ’S servants and the SELLER are to be responsible for any negligence, default or error in judgment of the Stevedores and /or the barges / lighters employed in loading the vessel (s).

Loading is to be done under supervision of Master. Master has the right to stop loading if in his opinion it is found unsafe that may cause damage to the vessel. All delays due to this stoppage of work to be on SELLER account.

12.1 装卸工由卖方出资并指派。装卸工被视为是卖方的仆人其卖方对装运港船只上的装卸工的责任

事故和差错负责。

装运需在船主的管理下进行。如果船主发现不安全因素或对船只有损害,则船主有权停止装运。由于停工而产生的延迟费由卖方支付。

12.2 Should Master suspect any damage caused to vessel by barges and /or due to Stevedores, Master

to immediately notify in writing to Stevedores / SELLER / SELLER’S agent by fax / cable or telex Within 24 hours of its occurrence. SELLER or their agents have the right to inspect any reported damage with their own surveyor. Master has the right to report the hidden damages upon discovery whether at sea or at discharge port. SELLER are solely responsible for such damage and same to be repaired at SELLER’S time and cost prior to vessel sailing from loading port except for hidden damages which to be repaired at SELLER cost and time at place and time requested by the owners.

12.2 如果船主发现船只的损害是由于驳船或装卸工造成的,则船主必须在损坏发生的24小时内立即

TITLE, RISK AND LIABILITY

13.1 Title with respect to shipment shall pass on to BUYER at full 100% payment received by the SELLER.

13.2 Risk with respect to shipment shall pass to the BUYER when the material passes the ship’s side rail

at the loading port.

TAX AND DUTIES

14.1 All taxes, duties, levies, dues, etc., of the coal loaded onto the vessel, if any, at the port of loading

to be paid by SELLER and similarly, at the port of unloading shall be to BUYER’s account.

14.1 所有的税费、关税等,在装运港产生的由卖方支付,在卸货港产生的由买方支付。

INSURANCE

5.1 BUYER undertakes at his own cost marine insurance cover for 110% of the contracted FOB value of

the cargo including Institute Cargo Clauses and also covering all risk including War, SRCC etc from the load port to the discharging port.

15.1 买方需出资购买从装运港到卸货港的海运保险,保险金额为合同FOB总金额的110%,包括协

会货物保险条款,覆盖所有的风险,包括战争、罢工等。

ARTICLE 16

LIMITATION ON ASSIGNMENT

16.1 Neither party may assign the whole or any part of its rights nor obligations under this contract to a

third party without the prior consent in writing of the other party.

16.1 在未得到另一方书面认可前,任何一方都不能指定第三方享有本合同下的权利和义务。

ARTICLE 17

FORCE MAJEURE

不可抗力

17.1 In the event of emergency or situation beyond the control of either party and without its faults or

negligence, including but not restricted to acts of God, acts of public enemy, war, chaos/riots, lock- out, acts of government, fires, floods, epidemic, quarantined from which the affected party cannot reasonably relieve itself by giving security or otherwise, the contract shall be suspended until such causes cease to exist.

17.1 如果由于天灾、公敌、战争、混乱或暴动、停工、政府行为、火灾、洪水、传染病、检验隔

离等不可抗力因素而导致合同无法正常履行,则合同需根据状况的发生进行暂缓。

17.2 In the event of Force Majeure situation, the affected party shall inform the other party about the

causes of Force Majeure within 48 hours of occurrence of such event in writing.

17.2 不可抗力因素发生后48小时内,被影响的一方需书面通知另一方。

17.3 The time of SELLER to make or BUYER to receive delivery hereunder shall be extended during any

period in which delivery shall be delayed or prevented by reason of any of the foregoing causes, up to a total of 30 (Thirty) days. If any delivery hereunder shall be delayed or prevented for more than 30 (Thirty) days, either parties may terminate this agreement by giving a written notice to the other party.

17.3 由于上述提及的原因,买卖双方需延长货物的交付30天。如果延长时间超过30天,则任何一

方都有权通过书面通知给另一方终止本合同。

ARTICLE 18

RISK PURCHASE

购买风险

Initial sign: 21 18.1 If the SELLER fails to adhere to the quality norms, delivery schedules and other terms and

conditions contained in the Contract for purchase of coal, BUYER shall have the liberty to procure the material from an alternate source at the SELLER risk and cost, and the SELLER shall be liable to make good the loss incurred by BUYER in this process. BUYER shall act anyhow in order to mitigate his losses.

18.1 如果卖方未能保证货物质量、或按照出运时间表出运或为遵照合同的其他条款,买方可自由

选择其他能源且风险和费用由卖方承担,卖方需赔偿因此产生风的损失给买方。买方需为了减少损失而行动。

18.2 In the event that when the vessel arrives at the loading port and the Seller’s stock pile is not available or

insufficient for shipment, the seller will pay a penalty to the buyer for 10% of the total L/C value. If the stock pile is 100% available upon agreed loading date, but the Buyer does not full fill the commitment, then the Buyer will pay a penalty to the other party for 10% of total value of L/C.

ARTICLE 19

ARBITRATION

仲裁

19.1

All disputes or differences whatsoever arising between the parties out of or relating to the construction, meaning and operation or effect of this Contract or the breach thereof shall be settled by Indonesia International Arbitration Centre, in accordance with the Rules of Arbitration

of International Chamber of Commerce (ICC) and the award made in pursuance thereof shall be

binding on both the parties.

19.1 所有因本合同产生的争议需由新加坡国际仲裁中心根据国际商会仲裁条例进行裁决,且仲裁

19.2 The arbitration shall be governed by Indonesia law and shall be conducted in English language.

The Arbitration shall be borne by the losing party. Should there be no such losing party or winning party as in the case of a compromise, the expenses shall be borne by initiating party, except in cases where the SELLER and the BUYER agree otherwise on mutual consultation or where the Arbitrator gives a specific Award otherwise in which event the said Agreement or the said specific Award shall be respected.

19.2 仲裁需用英语的法律条文和英语进行。仲裁费用由输掉的一方承担。如果由于双方协调而仲

裁结果没有赢的一方或输的一方,则费用由最初提出仲裁的一方承担,除非买卖双方同意共同承担仲裁费用。

ARTICLE 20

VALIDITY OF CONTRACT
