是法国南部多个顶级酒庄的中国地区总代理，公司本着"共同拥有品牌、保护品牌、发展品牌"的经营理念，愿与贵方通力合作.甲、乙双方在诚实，信用,平等,互利的原则基础上，就对代理的有关事宜进行友好协商，达成如下条约，以兹共同遵守：
代理产品与供应价格（见附表）
授权代理地域及年限及保证金约定
甲方授权乙方取得甲方所代理的上述酒庄系列葡萄酒在_区域的
_代理权,并按合同之约定享有权利和承担义务.
甲方授权乙方取得上述酒庄系列葡萄酒授权代理产品的代理期为壹年,即自合同生效之日起至___________________ 年______ 月______ 日止.期满
如需继续履行本合同，由甲、乙双方协商后，另行签定合同.
甲方在依据合同约定取消乙方的代理权或乙方自动放弃代理权之前，甲方不得在已授权乙方代理的区域内再对授权乙方代理的产品种类另设代理商，以保证乙方在该区域的利益，若甲方违反本条之约定,应赔偿乙方的经济损失.
乙方应自本合同签订之日起七个工作日内向甲方交纳保证金人民币万元（因乙方违约而被甲方扣除保证金的，乙方应及时补
足保证金额）,否则视为乙方违约?代理期满后甲方无息退还保证金，在代理期间若乙方违反代理合同规定，甲方有权处置该保证金.
交货时间、费用承担
甲方在收到乙方有效的订货单及货款后（新货及补充货须先交付订货单数额的30%$款的预订款）,在三个工作日内（以货款到达后的
日期为计算起始日期）将乙方订购的货物发出, 若遇国家法定假期或逾不可
