根据《中华人民共和国劳动合同法》及有关法律和法规的规定，甲乙双方在平等自愿、协商一致的基础上签订本合同。
According to the Labor Contract Law of PRC and relevant laws and regulations, Party A and Party B sign this contract on the basis of equality, free will and mutual consultation.
一、工作内容及地点
Article One, Working Contents and working location
1.1 甲方因工作需要，同意聘用乙方为本公司员工，职位为的。乙方同意接受该安排，遵守劳动纪律和职业道德，执行劳动安全规程，提高职业技能，完成工作任务。

1.2甲方可根据生产经营需要依法调整乙方的工作岗位或职位。

1.3您的主要工作地点为。如您因业务需要出差，出差地点包括但不限于：公司在国内各分支机构所在地；公司关联单位所在地；公司客户和供应商所在地；公司开展业务、从事活动以及拟开展业务、从事业务的其他地区。
Your main work location is in _. You may need to take domestic or overseas business trips to the locations which include but not limited to where the Company’s branches or operating offices, affiliates, the customers and suppliers are located. Other locations include where the Company needs to develop its business and explore its business opportunities and engaged in other business activities.
二、合同期限
Article Two, Term of Contract
本合同自年月日至年月日，其中试用期为个月（自年月日至年月日）。劳动合同的期限届满或约定的终止条件出现，劳动合同即终止执行。经双方协商一致的，可以解除或续订劳动合同。

三、工作时间
Article Three, Working Hours

3.3甲方由于工作需要更改工时制度，经政府有关部门批准后，乙方应密切配合执行。
Party A may change working hour’s system for business requirement after approval by relevant government authorities and Party B shall execute it of his own will.
四、薪酬
Article Four, Remuneration
4.1 在试用期内，甲方支付乙方的每月基本工资为人民币元。试用期后，月基本工资为人民币元
Party A pays RMB to Party B as base pay per month during probation. After probation, the base pay will be RMB per month.
4.2 甲方严格执行国家有关最低工资的规定和标准。
Party A shall strictly execute relevant regulations and standard of the lowest wage.
4.3 甲方的发薪日期为每月日。如遇节假日或休息日，应提前到最近的工作日支付
Party A shall pay the wage on the day every month. When impact with holiday or weekend, will pay in a lasted working day.
甲方应书面记录支付乙方工资的时间、数额、工作天数、签字等情况，并向乙方提供工资清单。
Party A shall record salary payment date、amount、working days、signature and so on, and provide pay slip.
五、甲方严格执行劳动定额标准，不得强迫或者变相强迫乙方加班。确因生产经营需要，经与工会和乙方协商后可
以延长工作时间，一般每日不超过1小时。因特殊原因需延长工作时间的，在保障乙方身体健康的条件下，延长工作时间每日不超过3小时，每月不超过36小时。
Article Five, Party A shall implement labor ration standard, shall not require or covert require Party B over time. If really because of business need, shall negotiate with labor union and Party B. Usually shall not be over 1 hour. Because of special reason to extend working time, shall not over 3 hours per day and 36 hours per month, which is base on ensure Party B’s health
六、甲方安排乙方延长工作时间或者在休息日、法定节假日工作的，应依法安排乙方补休或者按照国家相关规定向
乙方支付加班工资。
Article June, Party A shall arrange Party B have a rest or pay over time salary according to government policy, if Party A arranges Party B to extend working time or work in weekend、legal holiday.
七、乙方正常提供劳动的，甲方支付给乙方的工资不得低于最低工资标准。
Article July, Party B works as normal, Party A shall not pay salary which is lower than the social lowest salary.
八、乙方在医疗期内的病假工资由甲方根据企业规章制度的规定标准支付，但不得低于最低工资标准的80%。Article Eight,Party A shall pay sick leave salary for Party B within medical period according to company
regulation. But it shall not lower than 80% of the social lowest salary standard.
九、社会福利待遇
Article Nine, Social Welfare
甲乙双方应当依法参加社会保险，按时足额缴纳各项社会保险费。其中，乙方负担的部分由甲方负责代扣代缴。The both parties shall attend social insurance according to law, pay on time and full specified amount for each social insurance premium. In which, the Party B part shall be deducted and paid by Party A on a monthly basis for and on behalf of Party B, in accordance with the rules of China.
十、乙方在合同期内，休息休假、患病或负伤、患职业病或因工负伤、生育、死亡等待遇，以及医疗期、孕期、产
期、哺乳期的期限及待遇，按相关法律、法规的规定执行。
Article Ten, leave、sick or injury、occupation disease or on job-injury、maternity、die and so on treatment, and medical period 、pregnant period、confinement、suckle period and related treatment shall be in accordance with related law、rule which is within Party B’s contract period.
十一、甲方为乙方提供以下补充保险和福利待遇：

十二、劳动保护、劳动条件和职业危害防护
Article Twelve, Labor Protection、Labor Condition and Occupational Risk Safety
甲方建立健全安全技术操作规程、工作规范和劳动安全卫生、职业危害防护制度、并对乙方进行必要的培训。乙方在劳动过程中应严格遵守各项制度规范和安全技术操作规程。
Party A shall build safety & technique operation regulations、work criterion and labor safety sanitation、occupational risk safety policy, and arrange related training for Party B. Party B shall strictly abide all kinds of policies and safety& technique operation regulations.
甲方为乙方提供符合国家规定的劳动安全卫生条件和必要的劳动防护服务器。安排乙方从事有职业危害作业的，定期为乙方进行健康检查。
Party A shall provide the labor safety sanitation condition and necessary labor protection tools for Party B. If arrange Party B to work with occupational risk, shall give regular health check-up.
甲方对可能产生职业病危害的岗位，应当向乙方履行如实告知的义务，并对乙方进行劳动安全卫生教育，预防劳动过程中的事故发生，减少职业危害。
Party A shall trustily tell Party B that some positions may with occupational risk. And provide labor safety and hygiene education to party B, prevent work accidents in the process and reduce occupational hazards.
甲方违章指挥、强令冒险作业，危及乙方人身安全的，乙方有权拒绝。乙方对危害生命安全和身体健康的劳动条件，有权对甲方提出批评、检举和控告。
Party B has the right to reject if Party A command illegally、compel work at risk so that endangering the safety and security. Party B has the right to criticize、impeach and charge for the work conditions with risk for life and body health.
十三、劳动合同的履行和变更
Article Thirteen, Performance and Modification of Labor Contracts
甲乙双方按照本合同的约定，依法、全面履行各自的义务。
Both parties in accordance with the contract terms, fully perform their respective obligations in accordance with law
甲方变更名称、法定代表人、主要负责人或者投资人等事项，不影响本合同的履行。
No affect that implement this contract if Party A changed company name、legal representative or main person in charge of matters such as investors.
甲方发生合并或者分立等情况，本合同继续有效，由承继甲方权利和义务的单位继续履行。
When Party A happened merger or division, this contract shall continue to be valid and inherited by Party A's rights and obligations of the unit to continue to fulfill
经甲乙双方协商一致，可以变更本合同约定的内容，并以书面形式确定。
The unanimous negotiation between both parties, this contract can be changed, and the content of determined in written form 十四、劳动合同的解除和终止
Article Fourteen, Dissolution and Termination of Labor Contracts
经甲乙双方协商一致，本合同可以解除。
This contract can be dissolved after both parties’ negotiation.
乙方提前30日以书面形式通知甲方，可以解除本合同。乙方在试用期内提前3日通知甲方，可以解除本合同。Party B may dissolve this labor contract by giving 30 days notice in writing to Party A. During Party B’s probation period, Party B may dissolve this labor contract by giving 3 days notice in writing to Party A.
十五、甲方有下列情形之一的，乙方可以解除本合同：
Article Fifteen, in any of the following circumstances, Party B may dissolve this labor contract at any time if: （一）未按照约定提供劳动保护或者劳动条件的;
(1) Party A fails to provide labor protections and working conditions in accordance with the labor
contract;
（二）未及时足额支付劳动报酬的；
(2) Part A fails to pay labor remuneration in full and on time;
（三）未依法为乙方缴纳社会保险费的；
(3) Part A fails to pay the social insurance premiums for Party B in accordance with the law;
（四）规章制度违反法律、法规的规定，损害乙方权益的；
(4) the rules and regulations of Part A violate laws or regulations, thereby harming Part B’s rights and
interests;
（五）因《劳动合同法》第二十六条第一款规定的情形致使劳动合同无效的；
(5) any of the conditions specified in Item 1 of Article 26 are met; or
（六）法律、行政法规规定乙方可以解除劳动合同的其他情形。
(6) other circumstances as specified in laws or administrative statutes enable Part B to dissolve the
labor contract.
（七）甲方以暴力、威胁或者非法限制人身自由的手段强迫乙方劳动，或者违章指挥、强令冒险作业危及乙方人身安全的，乙方可以立即解除本合同，不需事先告知甲方。
(7)If Part A uses violence, intimidation or unlawful restriction of personal freedom to compel Part B to
work, or if Party B is instructed in violation of rules and regulations or peremptorily ordered by Part A
to perform dangerous operations which will endanger his personal safety, Part B may dissolve this
labor contract forthwith without giving prior notice to Part A.
十六、乙方有下列情形之一的，甲方可以解除本合同：
Article Sixteen, Part A may dissolve this labor contract if Part B:
（一）在试用期间被证明不符合录用条件的；
(1) Is proved during the probation period not to satisfy the requirements of employment;
（二）严重违反甲方规章制度的；
(2) Materially breaches Party A’s rules and regulations;
（三）严重失职，营私舞弊，给甲方造成重大损害的；
(3) Commits serious dereliction of duty or practices graft or corruption, causing substantial
damage to Party A’s interests;
（四）乙方同时与其他用人单位建立劳动关系，对完成甲方的工作任务造成严重影响，或者经甲方提出，拒不改正的；
(4) Has additionally established a labor relationship with another Unit which materially
affects the completion of his tasks or refuses to rectify the matter when brought to his
attention by Party A t;
（五）以欺诈、胁迫的手段或者乘人之危，使甲方在违背真实意思的情况下订立或者变更劳动合同的；
(5) Party B uses such means as fraud, coercion or taking advantage of Party A’s unfavorable
position to sign the labor contract against genuine will;
（六）被依法追究刑事责任的。
(6) Has his criminal liability investigated in accordance with the law.
十七、乙方有下列情形之一，甲方提前30日以书面开工通知乙方或者额外支付乙方1个月工资，可以解除本合同：Article Seventeen, Party A may dissolve this labor contract by giving Party B 30 days prior written notice, or one month’s wage in lieu of notice, if:
（一）乙方患病或者非因工负伤，在规定的医疗期满后不能从事原工作，也不能从事由甲方另行安排的工作的；
(1) after the regulated period of medical leave for an illness or non-work related injury expires, Party
B is incapable of performing his original work or is incapable of performing a new job as arranged by
Party A;
（二）乙方不能胜任工作，经过培训或者调整工作岗位，仍不能胜任工作的；
(2) Party B is proved incompetent and remains incompetent after training or adjustment of his
position; or
（三）劳动合同订立时所依据的客观情况发生重大变化，致使劳动合同无法履行，经双方协商，未能就变更劳动合同内容达成协议的。
(3) a major change in the objective circumstances relied upon at the time of conclusion of the labor
contract hinders continued fulfillment of the original contract and, after consultations, Party A and
Party B are unable to reach agreement on amending the labor contract.
十八、甲方如需裁员，应依据《劳动合同法》规定进行，并不得侵害乙方合法权益。
Article Eighteen, If it is necessary to reduce workload, Party A shall proceed according to
十九、有下列情形之一的，本合同终止：
Article Nineteen, Party B contract terminates if:
（一）劳动合同期满的；
(1) its term expires;
（二）乙方开始依法享受基本养老保险待遇的；
(2) Party B has started receiving basic old age insurance pension in accordance with the law;
（三）乙方死亡，或者被人民法院宣告死亡或者宣告失踪的；
(3) Party B dies, or is declared dead or missing b y a People’s Court;
（四）甲方被依法宣告破产的；
(4) Party A is declared bankrupt according to law;
（五）甲方被吊销营业执照、责令关闭、撤销或者甲方决定提前解散的；
(5) Party A has its business license revoked, is ordered to close down or decides to dissolve ahead
of schedule; or
（六）乙方达到法定退休年龄的。
(6) Party B has reached legal retiring age.
二十、甲方应当在解除或者终止劳动合同时向乙方出具解除或者终止劳动合同的证明，并在15日内为乙方办理档案和社会保险关系转移手续。乙方应当按照约定办理工作交接。应当向乙方支付经济补偿的，甲方应当在乙方办理工作交接时支付。甲方对已经解除或者终止的劳动合同文本，至少保存2年备查。
Article Twenty, Party A shall provide dissolution or termination contract proof for Party B, deal with personnel files and transfer social insurance matters within 15 days. Party B shall take over work well by appointment. If it is necessary to pay compensation to Party B, Party A shall pay out after taking over or in a negotiable time. Party A shall keep 2 years for the dissolution or termination contract text, in order to get checking.
二十一、经济补偿和赔偿
Article Twenty-One, Compensation
按本合同，由甲方提出解除合同的以及终止合同的，甲方应按《劳动合同法》第四十六条和《实施条例》第二十二条规定向乙方支付经济补偿。

二十二、经济补偿按乙方在甲方工作的年限，每满1年支付1个月工资。6个月以上不满1年的，按1年计算；不满6个月的，支付半个月工资。工资标准为乙方解除或终止劳动合同前12个月平均应得工资。低于当地最低工资标准的，按照当地最低工资标准计算。乙方工作不满12个月的，按照实际工作的月数计算平均工资。
Article Twenty-Two, Compensation calculation method: Party B’ service year expired 1 year, pay out 1 month salary. More than 6 months but not matched 1 year, as 1 year standard; lower than 6 months, pay out half month salary; salary standard shall be the lasted 12 months average salary before dissolution or termination contract. Lower than lowest salary, shall be calculated with the lowest salary. Lower than 12 months; calculate with actual average month salary.
二十三、若乙方的工资高于甲方所在直辖市、设区的市级人民政府公布的本地区上年度职工月平均工资的3倍，甲方以职工月平均工资的3倍为标准向乙方支付经济补偿，支付的年限最高不超过12年。
Article Twenty-Three, If Party B’s salary is more than local employees’ last year 3 times average salary of the location which Party A is in, Party A shall pay as Party B’s monthly average salary standard. The highest service year for payment shall be not over 12 years.
二十四、甲方违法解除或者终止本合同，乙方要求继续履行本合同的，甲方应当继续履行；乙方不要求继续履行本合同或者本合同已经不能继续履行的，甲方应当依法按照经济补偿标准的二倍向乙方支付赔偿金。
乙方违法解除劳动合同，给甲方造成损失的，应当承担赔偿责任。
Article Twenty-Four, If Party A will dissolve or terminate contract, Party B requests keeping contract, Party A shall keep implementation; Party B will not request fulfill contract or couldn’t fulfill this contract, Party A shall pay 2 times compensation to Party B.
二十五、其他事项
Article Twenty-Five, Other items
甲方为乙方提供专项培训费用，对其进行专业技术培训，双方可以订立专项协议，约定服务期。
If Party A provides special training cost for Party B, which coaches’ professional skill, the two Parties can sign a special agreement, agree on a service period.
乙方违反服务期约的，应当按照约定支付违约金。
If Party B disobeys service period agreement, also shall pay compensation to Party A.
乙方负有保密义务的，双方可以订立专项协议，约定竞业限制条款。
Party B has obligation to keep confidential. The both parties can make a special agreement which agree on
Non-competition clause.
乙方违反竞业限制约定的，应当按照约定支付违约金。给甲方造成损失的，应当承担赔偿责任。
If Party B disobeys the Non-competition, shall pay compensation according to the Non-competition. If made any damnous thing for Party A, shall take the responsibility of amends.
二十六、以下协议作为本合同的附件：

二十七、双方约定的其他事项Article Twenty-Seven, any other agree on：
二十八、甲乙双方因履行本合同发生劳动争议，可以协商解决。协商不成的，可以依法申请仲裁、提起诉讼。Article Twenty-Eight, If labor dispute occurs, both parties shall resolve it through consultation. In case of failing to reach an agreement, each party may submit the dispute to Labor Dispute Arbitration Committee having jurisdiction.
二十九、本合同未尽事宜，按中华人民共和国省、市有关规定执行。
