甲/乙双方为发展共同的事业，本着平等互利的原则，根据国家《合同法》及国家旅游局《中国公民出国旅游管理办法》的相关规定，经友好协商，就合作经营出境游事宜，达成以下协议。

一、工作划分/Work management:
甲方将自行组织的出境旅游客人交由乙方接待，甲方负责本地区内出境旅游线路推销、招揽客人、办理护照、收取旅游费用事宜，乙方负责出境团队的安排游客境外段接待事宜。甲乙双方各对职内工作承担相关的责任与义务，享受相关的权利。

二、质量保证/Quality management:
双方必须认真操作。保证质量，做好前后环节的衔接，避免出错，以优质的服务做好每一个出境团队（或散客）的接待工作。
双方应当就出境旅游的行程、标准、购物等情况向客人做如实陈述，不做虚假、误导性的书面或口头宣传。
乙方应当本着谨慎、周到的原则，按照甲乙双方协商后确认的行程标准为客人提供旅游服务。

三、团队出境前双方义务/Group leaves country the bilateral duty:
双方应随时保持信息交流，及时勾通情况，双方必须最迟于出境前十天做出团队最后确认（“黄金周”、圣诞节等旺季期间计划要提前预报，具体要求按实际作业情况商定）。

四、违约责任/Break a contract:
双方同意对出境团队行程费用的确认均以传真为依据，双方按约定的接待标准和日程安排为游客提供服务，如甲方操作失误造成游客行程延误、更改、取消所产生的经济损失由甲方承担，除人力不可抗拒因素外，如乙方未按约定的标准和日程向游客提供服务，应当为游客提供补偿服务或将低于服务标准的费用差额退还甲方（或在甲方许可的情况下直接退还给游客）。

五、第三方责任/Third party:
如果甲方客人因特殊原因在签证签出的情况下要求退团，则所产生的签证费用及机票损失费用，应由甲方或其客人自行承担。

在境外参团期间，如甲方客人违反有关国家或地区法律、法规而被惩罚、拘留、遣返及追究其他法律责任的，相关责任和费用由甲方的客人自行承担。

六、投诉处理Dispose of complaint:
双方对出境团队（或散客）提出的投诉，应相互配合，调查核实，如投诉属实，根据投诉内容的责任范围，由责任方承担相应的责任，做出解释道歉，并根据相关法律规定合理赔偿客人损失。如乙方在接待中出现严重服务质量或信誉问题，甲方有权向乙方提出，责成乙方整改，直接取消与乙方的合作，并可根据实际受损情况，要求乙方赔偿损失。

七、处理事故/Adjudicate a dispute:
甲方在出团前需向客人清楚解释出境旅游过程中的注意事项及安全问题,并建议客人自行购买保险.在境外发生任何意外事故,双方将协助处理问题.双方都有责任和义务积极预防，杜绝事故隐患。

八、结算团款/Clearing form:
双方同意按机票、签证款全额以及地接款80%以(现金/公司成对支票/汇款)在出团前支付，地接费用20%以(现金/公司城对支票/汇款)作为尾款在团队返回之后支付方式结算团款，乙方应在团队出发前将团队账单传真给甲方，甲方应在收到帐单后两个工作日内予以确认(传真/扫描件)，并在团队出发前按约定支付团款。如甲方未能按期结算团款，则乙方有权利拒绝接待甲方客人。尾款在团队返回后(1~5) 个工作日之内结清。超过时间没有结算将每天支付团队总费用的1% 作为违约罚金.

九、结算违约条约/Clearing form break a contract:
甲方如果没有按照合约规定的期限结算团队费用,乙方有权终止合作关系,并要求甲方支付因为违约结款而产生的一切费用.

本协议执行过程中双方往来文件均系能够证明事实的法律文件，是本协议的组成部分，全部往来文件必须以原件或本协议指定传真号码送达对方，文件应加盖如本协议签字栏样式的签章或有本协议签约代表的签字，传真文件应在传真件上显示发送方传真号码，以上条件具备时双方均视为有效原件文件；以本协议指定电子邮箱发送文件的，对方收到后应向发送方确认回复，双方即确认该往来系有效法律文件。

十一、争议解决方式/Dispute settle a claim:
本合同如有条款与国家有关规定相抵触的，以国家有关规定为准。本合同未尽事宜，双方应本着友好、公正的态度协商解决。协商不成，可根据国家有关法律规定，提交甲方所在地法院解决。
