The China National Cereals, Oils &. Foodstuffs Import and Export Corporation, hereinafter called the Sellers, agree to sell and Messers. China Native Products, INC., Los Angeles, Calif. 90065, U.S.A., hereinafter called the Buyers, agree to buy the undermentioned goods subject to the terms and conditions stipulated below:
With 5% more or less both in amount and quantity allowed at the Sellers' option.
5. Time of Shipment: During June/July, 199__
6. Packing: In cartons.
7. Loading port and Destination: From China ports to Los Angeles or San Francisco.
8.Insurance: To be covered by the Buyers.
9.Terms of payment: To be made against sight draft drawn under an irrevocable,
transferable, divisible Letter of Crebit, without recourse, for the total value of the goods in US $, allowing 5 more or less both in amount and quantity at Sellers’ option in favour of the China National Cereals, Oils &. Foodstuffs Import and Export Corporation, Dalian Branch, established through a bank which is mutually agreed by the two sides. The Letter of Credit in due form must reach the Seller at least 30 days before shipment and remain valid for at least 15 days in China after the last day of shipment.
10. The General Terms and Conditions on the back page constitute an inseparable part
of this Contract and shall be equally binding upon both parties.

GENERAL TERMS AND CONDITIONS
1. Documents to be submitted by the Sellers to the Bank for negotiation:
(a) Full set clean-on-board shipped Bill of Lading.
(b) Invoice.
(c) Inspection Certificate on Quality and Inspection Certificate on Weight issued by the
China Commodity Inspection Bureau at the port of shipment.
(d) Insurance Policy.
2. Quality and Weight::
Quality and Weight certified by the China Commodity Inspection Bureau at the port of shipment as per their respective certificates are to be taken as final.
3. Shipping Advice:
Immediately after loading is completed, the Sellers shall notify by cable the number of credit, quantity and name of vessel to the Buyers.
4. Amendments of Letter of Credit;
The Buyers shall open Letter of Credit in accordance with the terms of this Contract.
If any discrepancy is found, amendments of Letter of Credit should be made immediately by the Buyers upon receipt of the Sellers- advice, failing which the Buyers shall be held responsible for any losses thus incurred as well as for late shipment thus caused.
5. Force Majeure;
Should the Sellers fail to deliver the contracted goods or effect the shipment in time
by reason of war, flood, fire, storm, heavy snow or any other causes beyond their control, the time of shipment might be duly extended, or alternatively a part or whole of the Contract might be cancelled without any liability attached to the Sellers but the sellers have to furnish the buyers with a certificate attesting such event or events.
6. Arbitration;
Should there be any disputes between the contracting parties, they shall be settled through negotiation. In case no settlement can be reached, the case under dispute may then be referred to arbitration.
7. Claims:
Should the quality, quantity and/or weight be found not in conformity with those stipulated in this Contract, aside from those usual natural changes of quality and weight in transit and losses within the responsibility of the shipping company and/or insurance company, the Buyers shall have the right within 30 days after the arrival of the goods at the port of destination, to lodge claims concerning the quality or weight of the goods (Claims for perishable goods are to be put forward immediately after arrival of the goods at destination), but the Buyers should provide the Sellers with the Certificates issued by the concerned Inspection Organization.

A) The Corn supplied by the Sellers should be in conformity with the following

Damaged Kernels (total): 5% maximum, of which max.

B)The Corn supplied by the Sellers should be in sound condition, fit for human edible
purpose, without any unpleasant odour, free from any sign of mould, fermentation or deterioration as well as free from live insect pests, such as _____ also free from evidence of plant injurious diseases, such as
C)The Corn supplied by the Sellers should be free from the following diseases, pests
or weeds dangerous to plants in accordance with the regulations of the Ministry of Agriculture of the Peopled Republic of China: _____.
D)The chemical residues of the Corn supplied by the Sellers shall not exceed the
regulations stipulated by the Ministry of Public Health of the Peopled Republic of China and substantiated by a qualified independent laboratory at loading:
E)The Afla Toxin of the Corn supplied by the Sellers should not exceed 20 (twenty)
PPB according to the regulations stipulated by the Ministry of Public Health of the Peopled Republic of china.
3. QUANTITY:
________metric tons of 1,000 kilos each, 5% more or less for chartering purpose at the Sellers’ op tion and at contracted price.

7. PAYMENT;
Cash against documents with payment to be effected by______________, with T/T reimbursement within ________ working days in _____ after the receipt of the following Shipping documents found in good order by the buyers.
A) Commercial invoice in quintuplicate.
B) Elevators Letter in duplicate certifying that the actual crop year from which the
Corn is shipped as stipulated in Clause 1 of this contract.
C) Official Grade and Weight Certificate in quintuplicate issued by Federal Grain
Inspection Service certifying that the actual weight and quality of the cargo shipped are in conformity with stipulations of the Contract (enumerating actual percentage of Moisture, Test weight, Broken Corn and Foreign Material as well as Damaged kernels, etc. )
D) National Cargo Bureau or officially Licensed Inspectors Certificate of ships hold in
quintuplicate evidencing that the holds are suitable to receive and carry the Corn.
E) Full set of clean on board ocean shipping Bills of Lading made out to order and
blank endorsed.
Charter party bills of lading to be acceptable.
F) Phytosanitary certificate in quintuplicate issued by the Animal plant & Health
Inspection Service of the United States of America together with a certificate issued by a qualified independent laboratory certifying that the Corn is substantially free from the following and indicating the date and nature of treatment. And the corn treated with the chemical agents shall have no harm for human consumption.
G) Certificate in quintuplicate issued by a qualified independent laboratory certifying
that the chemical residues and the Afla Toxin of the Corn at loading shall be in conformity with the limitation in Clause 2 Item D) and E) of the Contract, and also indicating the date and nature of treatment and/or fumigation as well as the chemical and quantities thereof applied to the shipment. Any Corn treated with the chemical agents shall have no harm for human consumption.
All banking charges incurred beyond the opening place shall be for the Sellers' account.
8. SHIPMENT:
A) Shipment shall be effected in

The chartering vessel shall be subject to the acceptance of the Buyers and the Buyers reply 24 working hours latest. After chartering the Sellers should airmail a copy of the charter party as well as ship's particular to the Buyers.
C) The loading range shall be either from U. S. Gulf or Atlantic, excluding _____

Despatch, where neither demurrange nor despatch money is called for.

vessel over 15 years for the Sellers’ account.
F) The Sellers shall advise the Buyers in time by telex of the time of departure,
invoice amount, quantity actually shipped, type of vessel, its draft, ETA to China and B/L No. and Date.
G) The agent for discharging port will be named by the Buyers.
9. INSPECTION:
The certificate of quality and weight, the phytosanitary certificate, chemical residue certificate and Afla Toxin certificate at loading port shall be taken as valid. But if any major deviation from loading specifications of quality and/or weight occur at discharge, the Sellers and the Buyers shall settle such dispute through mutual and friendly negotiation.
10. ARBITRATION:
Should any dispute arise between the contracting parties to which no agreement can be reached, these disputes shall be settled by arbitration, which shall take place in a third country agreeable to both of the Sellers and the Buyers. The award given by the organization concerned shall be final and binding upon both parties.
The fee for arbitration shall be borne by the losing party.
11. FORCE MAJEURE:
The fulfilment of this Contract is subject to the usual force majeure practice.
12. REMARKS:
A) The Buyers have the right to send their representatives to the loading port(s) in
the United States to observe the inspection and loading operation of Corn during the contract period and the Sellers will render convenience and good co-operation to the Buyers.
B) Performance Bond: The Sellers shall put up a 10 percent performance bond to the
Buyers for guarantee of the Con-tract, the performance bond will be returned to the Sellers in proportion to the document presented by the Sellers for payment and the outstanding amount of the performance bond will be subject to the prevailing saving interest rate of first class New York bank.
