1. CONFIRMATIONS PROCEDURE:确认步骤:
1.1. The Seller shall, in respect of each Transaction, send to the Buyer by
facsimile or email a Confirmation.
对于每笔交易，卖方均应通过传真或电邮向买方发送确认函。
1.2. If the Buyer is satisfied that the Confirmation sent pursuant
to Clause 1.1
above accurately reflects the terms of the relevant Transaction, the Buyer
shall sign and return the Confirmation by facsimile or email notice
to the
Seller within two (2) Business Days of receipt of the Confirmation.
对于根据上述条款1.1发送的准确反映相关交易条款的确认函，若买方对此确认函满意，则应在收到确认函两(2)个营业日内，签署并通过传真或电邮通

1.3. If the Buyer is not so satisfied, the Buyer shall within two (2) Business Days of
receipt of the Confirmation send the Seller a facsimile or email notice of any
inaccuracies. The Seller shall, if it agrees that the Confirmation
is inaccurate,
promptly send to the Buyer by facsimile or email a corrected Confirmation
recording the details of the Transaction and in any event by no later than two
(2) Business Days after first being notified by the Buyer of such inaccuracies.
若买方对此确认函不太满意，则应在收到确认函两(2)个营业日内，通过传真或电邮通知将任何不准确处发送给卖方。若卖方同意确认函不准确，则应立即通过传真或电邮将更正过的记录交易细节的确认函发送给买方。无论如何，不得超过收到买方首次不准确通知后两(2)个营业日。
2. DEFINITIONS:定义:
2.1. “ADB” means “air dried basis”
ADB意思是空干基。
2.2. “ARB” means “as received basis”
ARB意思是收到基。
2.3. “ASTM” means American Society for Testing & Materials
ASTM意思是美国试验材料学会。
2.4. “Bill (s) of Lading” shall mean the receipt for the Coal loaded on board of
Vessel signed by the master or agent of the Vessel or a third party who is
authorized by the master, and which is also the negotiable document of title of
the Coal.
提单应指装载到船只上的煤炭收据，经船长或船只代理或船长授权的第三方签署，提单也是煤炭所有权的可转让凭证。
2.5. “Business Day” means a day upon which business is regularly transacted in
Australia, and unless expressly state d, the term “day” shall be deemed to
mean calendar day (including weekends and any bank holidays).

2.6. “Coal” means Australian Steam Coal with specifications as described in
Clause 4 of this Agreement.

2.7. “Demurrage” shall mean the compensation in US Dollars payable by the
BUYER to the SELLER in accordance with Clause 15.5 where the discharge
of the Vessel is completed after the expiry of Laytime.

2.8. “Despatch” shall mean the compensation in Dollars payable by the Seller to
the Buyer in accordance with Clause 15.5 where the discharge of the vessel is
completed before of the expiry of Laytime.
速遣费应指根据条款15.5，在装卸时间期满前即完成船只卸货的情况下，卖方以美元支付给买方的赔偿金。
2.9. "Dollars", "Cents" or the symbols "$" and "?" where used shall refer to currency
of the United States of America.

2.10. "Government" shall mean the Government of Australia and its ministries and
subdivisions or government of the xxx and its ministries and subdivisions.

2.11. “ETA” shall mean estimated time and date of arrival.

2.12. “GCV” means the Gross Calorific value of the Coal as per the ASTM quality
determination testing procedure.

3. “NCV” means the Net Calorific value of the Coal as per the ASTM quality
determination testing procedure.

2.14. “Incoterms 2010” means the International Commercial Terms 2010 published
by the International Chamber of Commerce and any subsequent amendments
thereof.

2.15. "Loading Port" shall mean one safe berth/one safe load
port/one safe
anchorage at Port Waratah confirmed by SELLER, always afloat, always accessible.
装货港应指卖方确认的瓦拉塔港口始终可浮泊、可驶入的安全泊位/安全装货
港
口/安全锚地。
2.16. "Discharge Port" shall mean one safe berth/one safe discharge port/one safe
anchorage at South China confirmed by BUYER, always afloat, always accessible.
卸货港应指买方确认的中国南部港口始终可浮泊、可驶入的安全泊位/安全卸
货
港口/安全锚地。
2.17. “Major Holiday” shall public holidays at discharge port, China.
主要假日应指中国卸货港的公共假日。
2.18. Notice of readiness validly tendered at the Discharge Port by the master of the
Vessel. NOR to be tendered by written or radio daily anytime day or night
SSHINC but Major Holidays exclude upon vessel arrival at discharge port,
provided Vessel arriving within the designated laydays whether in port or not,
whether in berth or not, whether in free of pratique or not, whether in customs
clearance or not.
船长在卸货港正式递交的卸船备妥通知书，在船只抵达卸货港后，应在白天和夜晚任何时间(周六、周日和假日包括在内，但不包括主要假日)，通过书面或广播形式递交卸船备妥通知书。但船只应在指定的装卸时间内抵达，无论在港与否、无论靠泊与否、无论取得检疫证书与否、无论清关与否。
2.19. “Party” shall mean the BUYER or the SELLER and “Parties” shall mean the
BUYER and the SELLER collectively.
一方指买方或卖方，双方指买方和卖方的统称。
2.20. “Port Authority” shall mean the applicable terminal and port authority at the
relevant Discharge Port.
港务局是指位于相关卸货港的适用的码头和港口管理局。
2.21. "Price" shall mean the price for invoicing purposes expressed in US Dollars
with any calculated price rounded upward from the half cent and above to the
nearest cent.

2.22. “SSHINC” shall mean Saturdays, Sundays and publ ic holidays included, and
“SHINC” shall mean Sundays and public holidays included.

3. “Ton(s)”, “tonne(s)”, “tonnage” and “MT” means metric tonne of 1,000 Kgs as
defined in the International system of units.

2.24. “Vessel” shall mean a single deck, ocean going bulk carrier nominated by the
BUYER and suitable to enter, berth and leave the Loading port.

2.25. Incoterms 2010 shall apply save that, to the extent there is any inconsistency
or conflict between Incoterms 2010 and the terms of the Contract,
the Contract
shall prevail.

2.26. L/C shall mean documentary letter of credit as governed by ICC UCP 600
latest edition.

3. TERM条款
The term of this Contract shall come into effect from xx July 2012 and until the obligations of both parties under this Contract have fully completed. 本合同条款自2012年7月XX生效，直到双方完全履行完本合同项下义务为止。
4. PRODUCT产品
Thermal coal with Australian Origin.
产自澳大利亚的热能煤。
5. SHIPMENT PERIOD装运期
The Seller shall supply the quantity of coal as mentioned herein in Clause 6 to the
Buyer with a tentative shipment laycan at load port of xx/xx xxxx 2012.
卖方应向买方供应本合同条款6中规定数量的煤炭，装货港的暂定装运受载期为
2012年xx/xx xxxx。
In the event the delivery period cannot be performed then both parties can mutually
agree to alter the timing of delivery. If both parties cannot agree to alter the delivery
period for one or more shipments then the party that requests the change in delivery
will be liable for all costs and consequences associated with non-performance of the
contract.
如果不能执行交付期，则双方可相互协商同意修改交货时间。若双方对于一批或多批
货物的交付期修改不能达成一致，则要求修改交付期的一方应承担与未履行合同相关
的所有费用和后果。
6. QUANTITY数量
The contract is for the supply of Coal from the Seller to the Buyer of Three million
one Hundred and Twenty thousand metric tonnes (3,120,000) with 2 shipment of
130,000 MT (+/- 10% at Se ller’s option) per month for three years with rolls and
extensions.
本合同为卖方向买方供应煤炭的合同，数量为三百一十二万(3,120,000)公吨，从第
二批次货物起，每月数量为130,000 公吨 (+/- 10% 由卖方选择)，期限为三年，可
滚动延期。
7. QUALITY质量
Specifications of the coal air dried basis unless otherwise stated and measured
according to ASTM Standards shall be as follows:

8. PRICE 价格
8.1. The Base Price for coal delivered under this contract shall be US$ 91 per MT
(United States Dollar per metric ton) basis, South China Port.
本合同项下交付的煤炭的基价为91美元/公吨，中国南部港口。
8.2. The Base Price for coal shall be adjusted as provided in Clause 11.
煤炭的基价可根据第11项条款进行调整。
8.3. Price to be adjusted every month using the formula as set out below.

9. REJECTION 拒收
If the quality of the coal in the shipment does not satisfy the specification limits as
stated under this contract both parties shall meet as soon as possible in an
endeavour to agree upon a reasonable and equitable settlement in respect of such
shipment.
如果所运输的煤炭与合同中所述产品规格要求不符，则合同双方应对此货物尽快给出
合理、公平的解决方案。
10. SAMPLING AND ANALYSIS 取样和分析
10.1. The Independent Surveyor nominated by the Seller shall take a representative sample of the Coal at the loading port in accordance with ASTM Standards at a point close to the point of ship loader.
由卖方指定的独立检验机构应依照ASTM标准，在靠近装船机的某一点对装货港的煤炭抽取代表性样品。
10.2. The representative sample shall be divided into three parts to provide:
代表性样本将被分成三份:
, one sample for analysis by the Independent Surveyor at the loading port (the
“Loading Port Sample”);
一份由独立检验机构在装货港做分析使用(装货港样本);
, one sample to be delivered in a suitable airtight container properly sealed and
labelled to the Buyer at the Seller’s expense within 12 (twelve) days of the Bill
of Lading date;
一份装在适宜密封容器中，恰当密封并贴标签后在提单日期12(十二)天之
内送达买方，费用由卖方承担;
, one sample to be retained by the Independent Surveyor in a
suitable airtight
container properly sealed and labelled until 90 (ninety) days after the bill of
lading date for the vessel (the “Umpire Sample”).
一份装在适宜密封容器中，恰当密封并贴标签后由独立检验机构保存直至货船提单日期90(九十)天后(仲裁人样本)。
10.3. The Independent Surveyor will test the Loading Port Sample in accordance with ASTM Standards and against the specifications listed in clause 7. The Independent Surveyor shall issue a certificate of analysis certifying the results of such analysis (the “Certificate of Sampling and Analysis”). The
Certificate of Sampling and Analysis shall be final and the Parties for settlement.
独立检验机构应依照ASTM标准以及条款7中所列出的产品规格对装货港样本进行检验，并对分析结果出具检验证书(取样分析证明)。该取样分析证书应作为双方结算的最终依据。
11. UMPIRE ANALYSIS 仲裁分析
11.1. The Independent Surveyor shall ensure to keep the “Umpire Sample” clearly sealed an d labelled (including without limitation, “Umpire sample” and container weight) and kept in air tight sealed containers until 90 (ninety) days after the Bill of Lading date for the vessel.
独立检验机构应确保仲裁人样本明确密封并贴标签(包括但不限于，仲裁人样本标识及容器重量)，保存在空气密封的容器中直至货船提单日期90(九十) 天后。
11.2. In the event that either Party (the “challenging Party”) wishes to challenge the
results as certified in the Certificate of Sampling and Analysis, it shall do so within 30 (thirty) days from date of Bill of Lading (date of completion of loading of the vessel). In such event the Umpire Sample taken at the loading port shall be sent to mutually agreeable internationally recognised independent commercial laboratory (the “Umpire Laboratory”). Laboratory shall perform analysis of the specifications for the parameters requested by the party called for umpire analysis, and issue a certificate (the “Umpire certificate”) certifying the results of such analysis.
如果其中任何一方(挑战方)对取样分析证书结果持有异议，则该异议应在提单日期(货船装货完毕之日)30(三十)天之内提出。这种情况下，在装货港提

11.3. The costs and expenses of such further analysis shall be borne by the party requesting such analysis.

11.4. In the event that the results of the analyses of the umpire
are deviating beyond the reproducibility limits (set out below) from the analysis reports produced by the Independent Surveyor or should one party prove any inaccuracy in taking the samples or analysing, both parties will discuss in good faith the situation and agree on a new analysis result for invoicing purposes. If agreement cannot be reached on a new analysis, the umpire analysis shall be final and binding on both parties.

11.5. Reproducibility limits: Gross Calorific Value (as received basis): 52 Kcal/kg, Total Moisture (as received basis) 0.50%,Total Sulphur (air dry basis): 0.10%, Ash Content (air dried basis): 0.30%.
再现性标准差:总热值(收到基):52 Kcal/kg，总含水量(收到基):0.50%,
全硫分(空干基):0.10%, 灰分含量(空干基):0.30%.
12. PRICE ADJUSTMENT 价格调整
12.1. CALORIFIC VALUE PRICE 热值价格
If the certified GCV (NCV) supplied is higher or lower than 5,500 Kcal/kg as stated in the surveyor’s certificate at Loading Point (“Certified NCV”), then the Price shall be adjusted by the following (fraction pro-rata), till rejection limit:
如果实际提供的GCV(NCV)高于或低于独立检验机构在装货港所出具证书中的数据(已证实的NCV)，即5,500kcal/kg，则价格将依照以下公式(按比例计算) 进行调整至拒收限值:

12.2. ASH CONTENT灰分含量
12.2.1. If the Ash content on an air dried basis of a shipment of Coal, as determined
by the Independent Surveyor, exceeds 18 percent but within the rejection
limits, then a penalty of USD 0.1 (twenty five cents) shall be applicable for
every 1% increase in ash content above 18 percent, fraction prorata.
如果独立检验机构测定的装载煤炭的空干基灰分含量超过18%，但仍在拒收限以内，则灰分含量超过18%的部分按比例每多出1%，处以0.1USD(25
分)的罚金。
12.3. SULPHUR CONTENT 硫含量
12.3.1. If the Total Sulphur content on an air dried basis of a shipment of Coal, as by
the Independent Surveyor, exceeds 0.8% percent but within the rejection
limits, then a penalty of USD 0.1 (twenty five cents) shall be applicable for
every 0.1% increase in Total Sulphur content above 0.8% percent, fraction
prorata.
如果独立检验机构测定的装载煤炭的空干基全硫分含量超过0.8%，但仍在拒收限以内，则全硫分超过0.8%的部分按比例每多出0.1%，处以0.1USD(25 分)的罚金。
13. SHIPPING TERMS 运输条款
13.1. NOMINATION 指定
13.1.1. The Seller shall nominate a vessel to Buyer at least seven (7) days prior to
the estimated time of arrival of the vessel at Loading Port. Actual performing
vessel must be nominated to Buyer at least seven (7) prior to ETA at the
Loading Port for approval by Buyer within one (1) working day after receipt.
In case the Buyer does not revert to the Seller on the vessel nomination
within one day, Seller reserves the right to confirm the nominated vessel as
the performing vessel.
卖方应至少在船只估计到达装货港的前七(7)天向买方指定货船。实际运货船舶应由卖方至少在货船预期到达装货港的前七(7)天指定给买方，买方则应在接到通知的一(1)个工作日之内给予批准。若买方未能在一个工作日之内及时回复卖方，卖方有权将指派船舶作为最终运货船舶。
13.1.2. The Seller has the right to substitute the nominated vessel prior to the
vessel’s arrival at loadport. In case the Buyer does not revert to the Seller on
the vessel nomination within one day, Sellers reserves the right to confirm
the substitute vessel as the final performing vessel.
在指派船只到达装货港之前，卖方有权更换指派船只。若买方未能在一个工作日之内回复卖方，卖方有权将指派船只作为最终运货船只。
