合同：合同是平等主体的自然人、法人及其他组织之间设立、变更、终止民事权利义务关系的协议。 合同法：合同法是指调整合同法律关系的法律规范的总称。 诺成合同：是指当事人意思表示一致便告成立的合同。 实践合同：又称为要物合同，指除了当事人双方意思表示一致外，尚需交付标的物才能成立的合同。 格式合同：是指合同必要条款的内容直接由法律规定的合同，又称标准合同。 合同法基本原则：对合同关系的本质和规律进行集中抽象和反映、其效力贯穿于合同法始终的根本规则。要约：要约是希望和他人订立合同的意思表示。 要约邀请：又称为要约引诱，是指希望他人向自己发出要约的意思表示。 要约的撤回：是指在要约发出以后，尚未到达受要约人之前，也就是在要约发生效力之前，要约人使其失去法律效力的意思表示。 承诺迟延：是指受要约人在承诺期限届满后才发出的承诺。 承诺撤回：是指受要约人再发出承诺通知以后，在承诺正式生效之前而将其撤回。 拍卖：拍卖是以公开竞价的方式，将特定物品或者财产权利等拍卖标的转让给最高应价者的买卖方式。拍定：拍卖人在竞买人所有应价中选择最高那一个予以接受的意思表示，在法律性质上它其实就是承诺。强制缔约：是指就某一类合同而言，作为合同一方当事人的个人或企业负有应对方的请求与其订立合同的法定义务。这也就是说，此方合同当事人在对方提出要约的时候，非有正当理由不得拒绝承诺。 附合缔约：是指合同条款由当事人一方预先拟定，对方只有附合该条款表示出来的意思，方能成立合同的缔约方式。 缔约过失责任：是指在合同缔结过程中，一方因违背其依据诚实信用原则所应尽的义务，而致使另一方的信赖利益遭受损失时，所应承担的民事责任。 附条件的合同：是指合同当事人约定某种事实状态，并以其将来发生或不发生作为该合同生效或者解除依据的合同。 附期限的合同：是指以将来确定到来的期限作为合同的条款，并在该期限到来时合同的效力发生或终止的合同。 合同无效：指合同已经具备成立要件，但欠缺一定的生效要件，因而自始、确定、当然地不发生法律力。可撤销的合同：是指已经生效但因当事人的意思表示没有表现其真实意志，违反自愿原则而可由一方当事人请求撤销的合同。 效力未定合同：是指已成立的合同因欠缺一定的生效要件，其生效与否尚未确定，须由第三人作出承诺或者拒绝的意思表示才能确定自身效力的合同。 表见代理：是指行为人没有代理权、超越代理权或者代理权终止后以被代理人的名义进行民事行为。 合同的履行：是指合同的当事人按照合同的约定，全面完成各自承担的合同义务，使合同关系得以全部终止的整个行为过程。 全面履行原则：又称正确履行原则或适当履行原则，是指合同的当事人必须按照合同关于标的、数量、质量、价款或报酬、履行地点、履行期限、履行方式等的约定，正确而完整地履行自己的合同义务。 协作履行原则：是指当事人在合同的履行中不仅要适当、全面履行合同的约定，还要基于诚实信用原则，对对方当事人的履行债务行为给予协助，使之能够更好地、更方便地履行合同。 同时履行抗辩权：是指在未约定先后履行顺序的双务合同中，当事人一方在对方未为对待给付以前，有拒绝自己给付的权利。 不安抗辩权：是双务合同中有先为给付义务的当事人，因他方财产显著减少或资力明显减弱，有难为对待给付的情形时，在他方未为对待给付或提供担保前，有拒绝自己给付的权利。 先履行抗辩权：是指在有先后履行顺序的双务合同中，后履行的一方有权要求应该先履行的一方先行履行自己的义务，如果应该先履行的一方未履行或者履行不符合约定，后履行的一方有权拒绝应先履行方的履行请求或拒绝其相应的履行请求。 撤销权：指债权人在债务人放弃对第三者的到期债权、实施无偿处分财产或以非正常低价处分财产的行为而妨害其债权实现时，依法享有的请求法院撤销债务人所实施的上述行为的权利。 合同的变更：所谓合同的变更，在一般情况下都是指依法成立的合同于其尚未履行或者尚未完全履行完毕之前，由当事人达成协议而对其内容进行修改和补充。 合同的转让：是指在合同的内容与客体保持不变的情形下，将合同由原来的主体转移给别的主体的一种法律行为。 合同权利和义务的概括移转：是指债权债务一并转移给第三人，由其完全代替出让人的法律地位，成为

Negotiable 可转让的 The ability to be sold or transferred to another party as a form of payment. Something which is negotiable is transferrable by endorsement and delivery. A negotiable instrument could be a check made out to you, because you could endorse it for payment to you or transfer it to someone else as payment to them. Legal right of the holder to demand and require payment from the drawer, maker, or endorser if the instrument( such as a check, draft, promissory note) is dishonored. Endorsement 背书 1. A legal term that refers to the signing of a document which allows for the legal transfer of a negotiable from one party to another. 2.An attachment to a document that amends or adds to it. Typically, it is an added provision to an insurance policy. Also referred to as a "rider". When an employer signs a check, they are endorsing the transfer of money from the business accounts to the account of the employee.
